Be it enacted by thc Seri? ate ar.d Bouse of Represen tat ices of thc Stale of ?South Carolina, noic met and sitting in General Assembly and ly thc authority of the same : That Colin Macrae, A. J. Freitag and Walter F. Heed, and their associates and successors, are hereby constituted a body politic and corporate, by the name of the Camden Steam Mill Company, with power to sue and bu sued, to plead and be irapleadcd, in all the courts of law j aud equity, may enjoy all the privileges iucident to corporations, and may pur? chase, hold aud convey rca, and personal estate to an amount uot exceeding twenty five thousand dollars. SEC 'I. Thc business of said company shall bc grinding grain, ginning cotton, hulli'Jg and prcising cotton seed, or any other similar mechanical or industrial pursuit they may choose to embark iu the Town ol Camden, South Carolina. Thc honks for subscription to the capital stock ol'said company shall be opened by tbe above named persons in Camden as soon a* convenient after the granting of this chatter, in shares of twenty-five dollars each. Said corporation may i have and use a common seal, which they may alter at pleasure. SEC. 3. The shares shall be deemed personal property, and bc transferred only ou thc books of said company, in suth form ai the directors may prescribe The said company shall, at all times, have a Hen ou all the stock or property of the members ofsa'd corporation iu vested therein lor ail debts due from them to said corporation. Thc stock, property and affairs of said corporation shall be mauaged by a board of directors, not less than three, cor more than five, one of whom shall bc chosen by then? president, and all of whom shall hold their offices for one year, and until others are chosen; and said directors shall bc annually elected at such times and places as the by-laws of said corporation shall prescribe.
