Carolina. AL* ACT TO INCORPORATE THIS POLICY HOLDERS' MFE AND TONTINE ASSURANCE COUPANT OP THE SOUTH. SECTION 1. Be il enacted bf the Senate arid' Honse bf Representatives of the State of South Carolina, now met and sitting in Oeneral Assembly, and by the authority of the same: That William C. Boo, Robert Mure, Henry Cobia, Andrew Simonds, John R. Dukes, George W.: Williams, James R. Pringle. W. K. Ryan, L. D. Mowry, Henry Bischoff, William G. Whilden, A. S. Johnston, George H. Moffatt, James Connor, Wil? liam McBurney, George E. Boggs, John 8. Proston, James Woodrow, E. P. Alexander, Edwin J. Scott, John B. Palmci, R. O'Neale, Jr., William M. ShvfeaoJ),' Henry Mciver, D. Wyatt Aiken, Giles J. Patterson, James P. Bojd?, J. Leighton Wilson, Robort L. McC?nghrin, E. Nye Hutchinson, J. HarVey.Wilson, Murdock McRao, Z. B. Vance, and all other persons who may associate with them, shall be a body politic and corporate, by tho name of tho Policy-Holders' Lifo and Tontine Assur? ance Company of the South; and by that name shall have succession of officers and members, may sue and be sued, plead and be impleaded, in any court whatever, and may exercise all Buch oorporate powers end franchises as arc hereinafter provided. Sta. 2. The business of the Company shall be to make insurance upon the lives of individuals, and every insurance appertaining thereto, or connected there? with, and to grant, purchase or dispose of annuities. The insurance business of the Company shall be conducted on the mutual plan. Tho premiums on all poli? cies issued by thc Company shall be paid in ooah. For any omission to pay any premium due to the Company, after thc payment of one or moro annual premium or premiums, or for any other violation of the conditions of any policy, after said payment, (save and except those against fraud, or attempted fraud, hereinafter provided for,) tho party insured may bo required to surrender his or her policy to the Company, to bc canceled; and in lieu thereof shall be entitlod to receive, in cash, or its equivalent in insurance, the surrender value thereof, at tho timo the premium becomes due and is not paid, or at the time when, for any other cause, the policy may be required to be Bur rendered as aforesaid. In lieu of cash, the Trustees may, at their own option, issue a temporary policy of insurance foi snell a term as the said surrender value, considered os a nett single premium, uiay purchase, and the said term shall b( determined according to tho ago of th? party at the time of the lapse of premium or at the time when, for other cause, tin polioy mny be required to be surrendered and the assumptions of mortality um rate of interest upon which premium o: premiums paid were based. For air violation of the conditions of n polie; designed to protect the Company agains fraud or attempted fraud, tho Trustee may forfeit the policy, and may apply al the previous payments to the uso am benent of the Company. The principu office for the transaction of the busiucs of the Company shall be in the city o Charleston, Sonth Carolina, or at sue! other place as the Trustees may select. Branches of the Company, and agen oies thereof, may be established by th Trastees in any other plaoe. SEC. 3. The oorporate powers an franchises of the Company hereby cr< ?ted shall be vested in a Board of Trui tees, and shall bo exeroised by them, an snob officers and agents as they ma appoint and from time to time empowei The Board of Trustees shall not consii of less than thirty-six persons, a majorit of whom shall be residents of the State < Sonth Carolina; and one-half, and n< more than one-half, of those residing i the State shall be residents of the oity < Charleston ; and no one shall be a Tm sU who ?B not a policy-holder in the Con psuy. The Board of Trustees may, previoi to any annual election of Trustees, ac after giving notice at a previous mentir, of the Board, provide for diminishit the number of Trustees to not less thc twenty-four, in which case the fourth i the whole number, as thus diminishei shall be elected annually, and in tl same manner as is hereinafter provid? in regard to the thirty-six Trustees abo' provided for; and the same powers ar franchises shall vest in said Board, tb diminished, ns were previously vested the Board of tbirty-bix Trust?es. The persons named in the first Seeth of this Act, together with such oth persons as they may select, shall cons tute the first Board of Trustees. Th shall divide themselves, by lot, into fo classes, of one-fourth of the whole nm ber each. The term of the first oh shall expiro at the end of one year frc the first Tuesday in March, 1871 ; that the second class shall expire at thc end two years from that time; that of t third class shall expire at the end three years from that time; that of t fourth class at the end of four years fr< that time, so that in each consecuti yoar after that date tho term of oi fourth of the whole number of t Board of Trustees shall expire. An election shall be held, annually, the first Tuesday in Maroh in each ye to fill the Heats of each class made vaci OH aforesaid; and the persons elected fill the same shall hold office for f< years, or until their successors shall have been ohosen; but any Trustee whose term shall have expired shall be eligible for re-election. All elections for Trus? tees shall be hy ballot, and a plurality of votes shall elect. In the event of a failure to elect Trus? tees on the day appointed for that pur? pose, the remaining Trustees whose terms of office shall not have expired shall have power to fill the said vacan? cies, and also to fill all vacancies that may occur by death, resignation or re? moval from tho State. Fourteen days' previous notice of each annnal election shall be givon in two or more of the newspapers published in the Stato of South Carolina, in ono or more pub? lished in North Carolina, aud in one or more published in Georgia. Three life policy-holders in tho Com? pany shall be appointed, by tho Trustees, managers to bold and declare said elec? tion; and at any election for Trustees, eaoh policy-holder shall be entitled to one vote for his or her own policy, and ono vote for each policy ho or she may bold on tho life or lives of others, which may be cast personally or by proxy. Tho Trustees shall have power nnd au? thority to declare by by-laws what num? ber of Trustees, not less than, seven, shall constitute a quorum for the trans? action of business. They sholl also have power and authority to make all by-laws, rules and regulations not repugnant tc the Constitution and by-laws of the State, for thc government of the officers aud agents of thc Compauy and for the ma? nagement of its nfiuirs, and the same tc alter and amend or repeal at pleasure. They may delegate power to a commit tee or committees of their own numbei to transact any of the business of the Company, except the signing and issu ing of policies of insurance or annuity, and tho payment of losses, which shal be dono on'y by the President and Se cretary, or in their absence, by sud person or persons as may be appointee for that purpose by the Board of Trus tees. They may adopt and keep a com mon seal for the usc of the Company and the same may alter at will. Thej may determine the rates of premium tc be charged, and tho amounts to be in sured on any one life, and thc terms o such insurance, and shall have power te purchase, fer tbo benefit of the Gompa ny, any policy or policies of insurance dividends or other obligations of tin Company;but no officer, trustee or agon of the Company shall be personally, di rcctly or indirectly interested in any sud purchase. The Board of Trustees shall immediately after the organization of th Company, and afterwards, at tho firs meeting of the Board, after each annus, election for Truste; s, elect from their ow number a President, and may oloct aise Vice-Pr?sidents, who sbsill respectivel hold office for the term of ono year, an until their successor shall bo electee Tho Trustees shall have power to elect c appoint a Secretury auel such other o: fleers, agents and employees, as the shall eleem requisite and necessary fe properly conducting tho business of tl Company, who shall hold offico duriu the pleasure ot" tho Board. They mn appoint a President and Vice-Presidon pro tempore, as occasion may require. The President may call special mee inga of the Board of Trustees whenevi requested in writing, so to do, by seve members of thc Board. Tho officers < the Company shall, within sixty da; from the expiration of tho period of ot year from the day of the Company's o ganization under this charter, and with: sixty days after the expiration of evei subsequent period of one year, cause balance to be struck of the affairs of tl Company, which shall exhibit its asac? an d liabilities, both present and conti gent, and also the net surplus after d ducting a Sufficient amount to covoi i outstanding risks and obligations. Ea< policy-holder shall be credited with i equitable share of the said surplus. Su equitable share, at the option of the y licy-holder, shall be paid in cash, or applied to the pnrchaso of an additioi amount of insurance, payable at deat or with the policy itself, expressing t reversionary value of snob equital share, at such rate of interest as t Trustees may designate, or shall be s. plied to tho purchase of an annuity, such rate of interestas tho Trustees sh designate, to be applied to tho reducti of his or her future premiums. In eve of death, the amount stauding to t credit of tho party insured, nt tho 1 preceding yearly balance as aforesa shall bo paid over to the person on tit to receive tho same, and the portion surplus, equitably belonging to him her at the next subsequent yearly lance, shall also be paid, when tho sa Hhall have been ascertained and doclar bat nothing herein contained shall p vent the Trasteos from causing to bo certained and paid with tho policy, si (if any} equitable share belong: thereto. Tho officers of tho Company shall, the yearly poriods aforesaid, causo a nenil balance statement of the affairs the Company to be made, which shall open to the inspection of tho poli holders for sixty days during the us hours of business. The said statement shall show nmonnts reoeived daring the preoed five years for premiums, interest, ? annuities, and also the amoaata paid c ing the same time for losses, expen ?cc, and the balance remaining in Treasury, together with the manner in which the surplus is invested. SEO. 4. The fiscal year of the Company shall terminate on tho thirty-first day of December in each year, and it shall be the duty of tho President, or vice-Presi? dent, and Secretary or Actuary, or a Committee of the Trustees of tho Com? pany, within sixty days thereafter, to preparo and filo in the office of the Comptroller-General of tho State of South Carolina a statement, made under oath, ?bowing that the assets and liabili? ties of the Company, in accordance with, and as required by, the Act of Assembly entitled "An Act to regulate tho Agen? cies of Insurauco Companies not incor? porated in the State of South Carolina," approved March G, 18G9; said statement shall bo examined and compared with the books of tho Company by three or more policy-holders, and its correctness certified to by thom, to tho best of their knowledge and bolicf. SEC. 5. Tho Trustees may iuvest the funds of the Company, or accumulations of money, in bonds secured by mort? gages on unencumbered real estate, worth, exclusive of the exemptions from levy and sale, contained in an Act cuti tled "An Act to determine and perpetu? ate tho Homestead, approved Septem? ber 9, 18G8, one hundred per ceutum moro than the amount agreed to bo loan? ed thereon, or in stocks und bonds of the United States, or of this State, or of any other States of tho United States, or of cities incorporated therein, or in first mortgage bonds of railroad companies, when such bonds aro worth in opeu mar? ket, not less than eighty couts on the dollar, and yielding and paying an inte? rest ou the par value thereof, of not less than five per centum per annum: Pro tided, That the investmentsu tho bonds or stocks of this State shall not be les* than fifty thousand dollars. They may loau money on the hypothecation of such stocks nod bonds as the aforesaid, on such terms and conditions as they maj from limo to time determine, and maj change all the aforesaid investments, and re-invest as often as they may thint proper. SEC. G. It shall not be lawful for th? Company to purchase, hold, or convey real estate except for tho purposes, nut iu the manner following, to wit : 1st. Such as may be reqnired for ih immediate accommodation in the transnc tion of its business. 2d. Such us may have been mortgage? to it in good faith, by way of security fo loans previously contracted, or for moue; due. 3d. Such as may have been conveyc? to it in satisfaction of debts previous!; contracted. .Uh. Such ns may have beenpnrchasei at sales upon judgments, decrees of fore closure of mortgages obtained and mad for such debts, and all such real est?t as may bo acquired as aforesaid, an which shall not bo necessary for tho ac commodation of tho Company iu th convenient transaction of its busiuess shall be sold and disposed of within fiv (5) j'ears after the Company shall bav acquired title thereto, unless the Cou pauy shall procure a certificate from th Comptroller-General that the interest c tho Company will suffer materially by forced sale thereof, in which event tb time for sale may be extended to sue time as thc said Comptroller sha direct. SEC. 7. All policy-holders shall t members of the Company, but no men ber, except officers and agents thereo shall be personally Hablo for any loss < losses of the Company, and such office and agents severally shall only be liab for tho loss or losses arising by reason i their own respective neglect or misco: duct. SEC. 8. Suits at law may be maintai cd by the Company against any of i members for any cause relating to tl busiuess of the Company, also suits law may be prosecuted and maintain? by any member against the Company f loss or losses by death or on tho mat rity of a term policy, if payment is wit held moro than two months after t proof of loss or losses, or claim, h been submitted to tho Company. SEC. 9. This Company shall have a thority to insure for any married worn by herself, and in her own name, or the name of any third party with 1 nssent, as her Trustee, for her sole v and benefit, her own life, or the lifo her husband, or the lifo or lives of 1 child or children, for uuy definite peric or for thc full term of her, his or th natural life or lives, and iu the event the policy or policies, on her, his or th lifo or lives, being for a definite peri or term of years, tho sum or sums, net amount or amounts of tho inaurar becoming due and payable by tho ter of tho policy or policies, shall be pa; bio to her or to her Trustee, to and her own use, free from tho control or i of her husbimd or any of his cr?dito and in the event of tho insurance bei for the term of her, his or their natu life or lives, and of her surviving h band or child, or children, the sum i sums payable by the terms of the pol or policies, shall be payable to her oi her Trustee, to and for her sole use t j benefit, free from tho claims of the le I representatives of her husband or anj his creditors. The amount of the insurance provi? for in this section, as aforesaid, may made payable, in the event of the de of the wife before the definite period which the term-of-years policy on her life-wonld become due if she had lived, and befere the period at whioh the in? surance on lier husband's lifo, or on her child or children's life or lives, becomes due, to her husband, or to her or her child or children, (if of age,) for the use of said child or children, as shall be pro? vided for in the polioy or policies of in? surance, or to the guardian of the said child or children, if under age. SEC. 10. No policy of insuranco shall be issued by this Company until applica? tion shall have been made for insurance amounting in the aggregate to one mil? lion of dollars. Within sixty days after thc organiza? tion of the Company, tho Company shall deposit with the Comptrollor-Gcneral, (there to remain open to inspection nt all times,) fifty thousand dollars, of the stocks and bonds of this State, as a security for the policy-holders against loss, said Company to collect tho interest on said bonds, so long as it remains sol? vent: Provided, however, ?.That no policy shall bo issued by this Company, until tho provisions of this section shall have been complied with. SEC. ll. This charter shall bo subject to any such revision and chango of ita terms, as may hereafter bo adopted by the Geueral Assembly.
