SECTION 1. Be il enacted bf the Senate
arid' Honse bf Representatives of the
State of South Carolina, now met and
sitting in Oeneral Assembly, and by the
authority of the same: That William

politic and corporate, by tho name of tho
Policy-Holders' Lifo and Tontine Assur?
ance Company of the South; and by that
name shall have succession of officers and
members, may sue and be sued, plead
and be impleaded, in any court whatever,
and may exercise all Buch oorporate
powers end franchises as arc hereinafter
provided.
Sta. 2. The business of the Company
shall be to make insurance upon the
lives of individuals, and every insurance
appertaining thereto, or connected there?
with, and to grant, purchase or dispose
of annuities. The insurance business of
the Company shall be conducted on the
mutual plan. Tho premiums on all poli?
cies issued by thc Company shall be paid
in ooah. For any omission to pay any
premium due to the Company, after thc
payment of one or moro annual premium
or premiums, or for any other violation
of the conditions of any policy, after said
payment, (save and except those against
fraud, or attempted fraud, hereinafter
provided for,) tho party insured may bo
required to surrender his or her policy to
the Company, to bc canceled; and in lieu
thereof shall be entitlod to receive, in
cash, or its equivalent in insurance, the
surrender value thereof, at tho timo the
premium becomes due and is not paid,
or at the time when, for any other cause,
the policy may be required to be Bur
rendered as aforesaid. In lieu of cash,
the Trustees may, at their own option,
issue a temporary policy of insurance foi
snell a term as the said surrender value,
considered os a nett single premium, uiay
purchase, and the said term shall b(
determined according to tho ago of th?
party at the time of the lapse of premium
or at the time when, for other cause, tin
polioy mny be required to be surrendered
and the assumptions of mortality um

may forfeit the policy, and may apply al

SEC. 3. The oorporate powers an

The persons named in the first Seeth
of this Act, together with such oth
persons as they may select, shall cons
tute the first Board of Trustees. Th

classes, of one-fourth of the whole nm

shall expiro at the end of one year frc
the first Tuesday in March, 1871 ; that
the second class shall expire at thc end
two years from that time; that of t
third class shall expire at the end

Board of Trustees shall expire.
An election shall be held, annually,
the first Tuesday in Maroh in each ye

years, or until their successors shall have
been ohosen; but any Trustee whose
term shall have expired shall be eligible
for re-election. All elections for Trus?
tees shall be hy ballot, and a plurality of
votes shall elect.

tees on the day appointed for that pur?
pose, the remaining Trustees whose
terms of office shall not have expired

cies, and also to fill all vacancies that
may occur by death, resignation or re?
moval from tho State. Fourteen days'
previous notice of each annnal election
shall be givon in two or more of the
newspapers published in the Stato of
South Carolina, in ono or more pub?
lished in North Carolina, aud in one or
more published in Georgia.
Three life policy-holders in tho Com?
pany shall be appointed, by tho Trustees,
managers to bold and declare said elec?
tion; and at any election for Trustees,
eaoh policy-holder shall be entitled to one
vote for his or her own policy, and ono
vote for each policy ho or she may bold
on tho life or lives of others, which may
be cast personally or by proxy.
Tho Trustees shall have power nnd au?
thority to declare by by-laws what num?
ber of Trustees, not less than, seven,
shall constitute a quorum for the trans?
action of business. They sholl also have
power and authority to make all by-laws,
rules and regulations not repugnant tc
the Constitution and by-laws of the State,
for thc government of the officers aud
agents of thc Compauy and for the ma?
nagement of its nfiuirs, and the same tc
alter and amend or repeal at pleasure.
They may delegate power to a commit
tee or committees of their own numbei
to transact any of the business of the
Company, except the signing and issu
ing of policies of insurance or annuity,
and tho payment of losses, which shal
be dono on'y by the President and Se
cretary, or in their absence, by sud
person or persons as may be appointee
for that purpose by the Board of Trus
tees. They may adopt and keep a com
mon seal for the usc of the Company
and the same may alter at will. Thej
may determine the rates of premium tc
be charged, and tho amounts to be in
sured on any one life, and thc terms o
such insurance, and shall have power te
purchase, fer tbo benefit of the Gompa
ny, any policy or policies of insurance
dividends or other obligations of tin
Company;but no officer, trustee or agon
of the Company shall be personally, di

purchase. The Board of Trustees shall

Tho officers of tho Company shall,

The said statement shall show

Treasury, together with the manner in
which the surplus is invested.
SEO. 4. The fiscal year of the Company
shall terminate on tho thirty-first day of
December in each year, and it shall be
the duty of tho President, or vice-Presi?
dent, and Secretary or Actuary, or a
Committee of the Trustees of tho Com?
pany, within sixty days thereafter, to
preparo and filo in the office of the
Comptroller-General of tho State of
South Carolina a statement, made under
oath, ?bowing that the assets and liabili?
ties of the Company, in accordance with,
and as required by, the Act of Assembly
entitled "An Act to regulate tho Agen?
cies of Insurauco Companies not incor?
porated in the State of South Carolina,"
approved March G, 18G9; said statement
shall bo examined and compared with
the books of tho Company by three or
more policy-holders, and its correctness
certified to by thom, to tho best of their
knowledge and bolicf.
SEC. 5. Tho Trustees may iuvest the
funds of the Company, or accumulations
of money, in bonds secured by mort?
gages on unencumbered real estate,
worth, exclusive of the exemptions from
levy and sale, contained in an Act cuti
tled "An Act to determine and perpetu?
ate tho Homestead, approved Septem?
ber 9, 18G8, one hundred per ceutum
moro than the amount agreed to bo loan?
ed thereon, or in stocks und bonds of the
United States, or of this State, or of any
other States of tho United States, or of
cities incorporated therein, or in first
mortgage bonds of railroad companies,
when such bonds aro worth in opeu mar?
ket, not less than eighty couts on the
dollar, and yielding and paying an inte?
rest ou the par value thereof, of not less
than five per centum per annum: Pro
tided, That the investmentsu tho bonds
or stocks of this State shall not be les*
than fifty thousand dollars. They may

stocks nod bonds as the aforesaid, on
such terms and conditions as they maj

change all the aforesaid investments, and
re-invest as often as they may thint
proper.
SEC. G. It shall not be lawful for th?
Company to purchase, hold, or convey
real estate except for tho purposes, nut
iu the manner following, to wit :
1st. Such as may be reqnired for ih
immediate accommodation in the transnc
tion of its business.
2d. Such us may have been mortgage?
to it in good faith, by way of security fo
loans previously contracted, or for moue;
due.
3d. Such as may have been conveyc?
to it in satisfaction of debts previous!;
contracted.

at sales upon judgments, decrees of fore
closure of mortgages obtained and mad

as may bo acquired as aforesaid, an

SEC. 7. All policy-holders shall t

SEC. 9. This Company shall have a
thority to insure for any married worn
by herself, and in her own name, or
the name of any third party with 1
nssent, as her Trustee, for her sole v
and benefit, her own life, or the lifo
her husband, or the lifo or lives of 1
child or children, for uuy definite peric
or for thc full term of her, his or th
natural life or lives, and iu the event
the policy or policies, on her, his or th
lifo or lives, being for a definite peri
or term of years, tho sum or sums,
net amount or amounts of tho inaurar
becoming due and payable by tho ter
of tho policy or policies, shall be pa;
bio to her or to her Trustee, to and
her own use, free from tho control or i
of her husbimd or any of his cr?dito

life or lives, and of her surviving h

child or children, if under age.
SEC. 10. No policy of insuranco shall
be issued by this Company until applica?
tion shall have been made for insurance
amounting in the aggregate to one mil?
lion of dollars.
Within sixty days after thc organiza?
tion of the Company, tho Company shall
deposit with the Comptrollor-Gcneral,
(there to remain open to inspection nt all
times,) fifty thousand dollars, of the
stocks and bonds of this State, as a
security for the policy-holders against
loss, said Company to collect tho interest
on said bonds, so long as it remains sol?
vent: Provided, however, ?.That no policy
shall bo issued by this Company, until
tho provisions of this section shall have
been complied with.
SEC. ll. This charter shall bo subject
to any such revision and chango of ita
terms, as may hereafter bo adopted by
the Geueral Assembly.
