But in ciss whoro the corporation has been ere ated or organized under -pocial Act of tho Legislature, or where such cor. poration has been cieated or organ ized under a general. law, and its chartor has been amended by a special Act, the Secretary of State, upon recip',) of the cortificate of the board of directors of the resolution of the stockholders aforesaid, and that all the requiromets of this Act have been complied with as afore said, shall forthwith issuo to said corporation a certificato of the in croaso of the capital stock, which cer tificato shall b recorded in tle oflico of the register of mesno convoyance, or of the clerk of Court of the county in which said corporation has its principal place of business, and the increase of the capital stock of cor poration shall be authorized when such cortificato is lodged for record in said office. In cases whert the capital stock is inceased as by thi-s Act provided, the stockholdor or stockholders, thereof, registered on the books of said corporation att the t.ime whle 81(h) increase of stock shall 1)0 a0uthorizd, shall have the profeI nces of taking such increase of stock inl proportion to tle amount. of the stock ho she or they may then own; but if sich stockholder or stockH1o%lers shall not avail himself, horself or themselves of such privi lodge within tin lays after the lodg mnlt. for record of such certificate of increase of tihe capital stock, the board of (lirectors may dispose of the said increased capital stock as they may deem necessary, but at its mar ket value inl monoy or property. That the said corporation so increas ing itS capital stock shall pay to the Secretary of State the fees graded as follows: Five dollars for any increaso of capital stock of $5,000 or loss; $10 for more than $5,000 up to and including $25,000; $15 for more than $25,000 up to and including $50,000; $20 for more than $50,000 up to ard including $100,000, and $1 additional for each $10,000 in croaso or fraction thereof above $250 000 which fees shall accompany the certificato of the l)board of di rectors. Section 3. Decrease of capital stock: (a) When, in t he judgemnent of the board of directors of aniy corpo rat ion mentioned in the first sect ion of this Act, thle actumil stock of such corporation hats from ainy cause been impaired, and is less than the par value of t.he shares representing the same, in such cases noninal i capiital may be redlucedl to what in the judg ment of the board of directors is t he actual value of t.he stock of the cor porat.ion. When the capital is thus redluced1, the ouitstand(ing( cortihicates shall be called in andl t he cert ificates of the reduced capital ap)port ioned among the stockholders according toa their respective holdings: .Provided(, however, that snch reduct ioiis shall in no wvay -ipair the liabilit,y of the st.e.:kholder-s to c,redlitors uponau claims againat the corporation existing at the t.ime of snch ired notion.
