MOVE TO ENJOIN MILL MEETING. Important Stop Taken in Ware Shoals Contest. THE FIGHT CONTINUES Judge Gage to Hear Motion of Minority (or an Order Enjoining Special Stockholders' Meeting. An interesting and important step in the now famous Ware Shoals mill light was taken last week hy the attorneys representing the minority stockholders of the company in that they will appear before Judge George W. Gage in Green wood this week praying for an injunc tion to stay or prevent the proposed meeting of stockholders on April 22nd at Ware Shoals, where the majority stockholders will increase the capital stock of the mill to ono~and a half mil lion unless prevented from so doing by the injunction asked for. The attorneys ~tn Uns action are those representing the plaintiffs in the pending suit against the Riegels and others of the majority side for damages and "specific perform ance," viz., Simpson, Cooper & Babb, P. P. McGowan and A. C. Todd, of the Laurens bar, and Simpson & Bomar, of the Spartanburg bar. These attorneys met in Spartanburg on Tuesday for joint consultation and the above men tioned action was decided upon. Judge Gage is holding the court of com mon pleas in Greenwood this week and it is hoped to secure his order in time to prevent the proposed meeting. A temporary injunction, lasting until the pending suit is tried, will be asked for if a permanent order cannot be secured. Notice was served on the defendants' attorneys Tuesday. If the injunction is secured then the issues will be settled by the suit brought by J. O. C. Fleming and others, for the complaint in said suit contains a clause asking that the Riegels be prevented from issuing any preferred stock on the grounds that it would be a violation of the original contract entered into by the Riegels and the minority stockholders. This case will be heard next week un less the attorneys for the defendants succeed in having it postponed. As has already been stated in this correspon dence the suit against the Riegels is to require them to carry out the form of the agreement entered upon and to pay damages for the losses sustained during the period of their control. This agree ment forbids the issuance of preferred stock. Following is the affidavit upon which is based the prayer for the injunction: Personally came before me N. B. Dial, one of the plaintiffs in this action, who, being duly sworn, says that at the time he was negotiating with the defen dants, Benj. Riegel and Benj. D. Rie gel, and others with respect to their be coming interested as stockholders in Ware Shoals Manufacturing Company, he stated to said defendants and the other defendants herein with whom he negotiated that when the corporation, Ware Shoals Manufacturing Company, was formed and the stock then held therein was subscribed for by the vari ous stockholders, it was distinctly stated, understood and agreed that all the capital stock in said corporation should be common stock and that there would be no preferred stock issued, and as evidence of such understanding de ponent exhibited to said patties named a certain prospectus, copy of which is hereto attached; and deponent says that the defendants well knew and under stood that the stock so subscribed in said corporation by many of the plain* tiffs and other minority stockholders now interested with them was sub scribed and taken with the understand ing that preferred stock should not be issued in said corporation. Deponent further says that to his knowledge it is absolutely unnecessary that preferred stock to the amount of $500,000, or any other amount, and that in his judgment it will be greatly to the prejudice and injury of all the present stockholders holding common stock in said corpora tion for their said stock to be burdened with the preferred stock which the de fendants now propose to issue. Depo nent has no hesitation in saying further that in his judgment the issuance of said stock as proposed by said defen dants will greatly depreciate the selling and the divide..;! earning value of all common stock of the said corporation. Deponent attaches to this affidavit a statement of the financial condition of Ware Shoals Manufacturing Company as issued on January 31, 1908, which shows that at that time the said com pany had on hand and in bank more thah $100,000 in cash, and shows further that if the cash on hand, together with the proceeds of tho sale of quick assets, should be applied to the indebtedness of said corporation, tho balance of indebt edness then remaining due would be comparatively small for a mill of the size, age and capacity of the defendant, Ware Shoals Manufacturing Company. Deponent further states that during the unlawful control by the defendants of said Ware Shoals Manufacturing Company, as alleged in the complaint, which amounts to money, have been unnecessarily and extravagantly ex pended in the erection of unnecessary dwelling houses, unnecessary village improvements and water works, unnec essary power plant or parts thereof and for other purposes, which sums, to gether with the sum of about $28,000 of commissions on sales of goods caused to be paid out by the defendants in vio lation of their agreement set out in the complaint as commissions on sales of goods if properly applied, would have freed, or almost freed, the plant of tho company from debt. Deponent further says that the plain tiffs and other stockholders in Ware Shoals Manufacturing Company have never received on their stock in said company any dividends whatever, and if the defendants shall be allowed to cause to bo issued the preferred stock now proposed this will mean ?if present conditions continu?^-a. denial of any dividends to all |ommon stockholders for a long time to come. O. C. Fleming, the only direc tors representing the minority stock holders then present, voted and pro tested, and that their co-plaintiff, J. T. Johnson, also protested by letter against the issuance of such stock. Deponent further states that the de fendants herein other than Ware Shoals Manufacturing Company, together with their relatives and associates, own and control more than two-thirds ot the stock of Ware Shoals Manufacturing Company, and that unless restrained by this court the said defendants at the approaching meeting of stockholders will cause resolutions to be adopted for the issuance of preferred stock in ac cordance with the notice hereto at tached and that the plaintiff in this ac tion are remediless to prevent such wrong save through the intervention of this court. Petitions for Dispensary Election. Petitions for a dispensary election are in circulation in the city and throughout the county which have already nearly enough signatures to warrant the elec tion. It is recalled that Laurens has had one election already on this ques tion but on the charge of illegality the election was declared void, and accord ing to the statutes no election can be held in this county until the coming fall. The prohibition or rather the anti-dis pensary forces, though, have taken time by the forelock and will be prepared when the time arrives. It is understood that these petitions must be in the hands of the Supervisor by the first day of May. The work of repainting the old Ben Delia hotel was begun last Wednesday. This hotel, while still widely known as the Ben-Delia, is now properly "Gray's hotel," having been under the manage ment of Mr. Clarence E. Gray for some time past. Messrs. Aiken and Watts, owners of the property, had the work started Wednesday morning and it will be pushed to a rapid completion. Among the schools visited recently by Superintendent Nash are: Central school, in charge of Miss Gena Henry, has enrolled 53 pupils and school building has been recently paint ed and is furnished with desks, maps, chair, table, blackboards and a State library. Lanford school, Prof. A. Q. Rice, principal, Misses Phidona and Owens assistants, has an enrollment of 89 pu pils. The building is furnished with deaks, map, heaters, blackboards and a State library. Gray Court, April 18th.?The Com mittee appointed to take subscriptions for the Bank of Gray Court made a report on last Saturday showing a to tal of sixteen thousand dollars sub scribed to this institution, fifteen thous and was first proposed capital stock, but since this amount has been raised some suggest trying a few days longer in the endeavor to get the $20,000. So the committee will resume its canvas for a while and report at another meet ing. If the twenty thousand is not secured the bank will be captilized at $15,000, at all events the Bank of Gray Court is a certainty. Death of a Little Boy. Little John A., the young son of Mr. Z. V. Justice died of cholera infantum on Saturday night at 11 o'clock, at the residence of Mrs. W. W. Bradley, where Mr. and Mrs. Justice were boarding. The interment was at the city cemetery Sunday afternoon, the service being conducted by Rev. A. T. Jamieson, of Greenwood. Mr. Justice is here from Spartanburg at work on the Enterprise Bank buinding; his child had been sick for a short time and the end came Saturday night. The little hoy was twenty months old. Death of a Young Man. Mr. Fred Curry, the twenty-year-old son of Mr. Lewis Curry of Dials town ship, died last Sunday of pneumonia, preceeded by an attack of measles. The funeral was held Monday morning at the home of his parents, and the inter ment followed at Dials church, the ser vices being conducted by the Rev. G. H. Waddell. Trial of Jeff Knight's Slayer. Accompanied by one of his sons Mr. W. Neal Knight, of Tumbling Shoals, has gone to Col'jmbiana, Shelby County, Ala., to be present next week at the trial of the negro, Tom Patterson, who is charged with the murder of Mi\ Jeff B. Knight, the eldest son of Mr. W. N. Knight, who was killed in Alabama last | December. Patterson has been ar raigned on the charge of murder in the Shelby County criminal court and the case is set for trial next Tuesday. Referee in Ware Shoals Case. It was announced at seven o'clock Monday night that Judge Gage hud ap pointed Mr. J. E. McDonald, of Wins boro, special referee in the Ware Shoals case. If he agrees to serve Mr. McDonald will hear the suit brought by Messrs. Fleming and others against the Riegels, and pass upon it. Just when the hearing will be is not known. This does not affect the motion for injunction I j before Judge Gage the latter part of this week. Notice to Teachers and Irustees. The next regular teachers examina tion will be held at Laurens, S. Rasor is preparing to budd a residence which will probably be the handsomest and most costly residence in town. Dr. Hough, cousin of Prof. Hough, of this place, made a visit to our town last week. The doctor has just grad uated in medicine and is looking around for a location. He will probably locate at Cross Hill. Mrs. J. D. Witherspoon visited friends in Greenwood last week. Mr. Hugh Leaman and Mr. Turner, of Clinton, were in town last Sunday evening and returned on the night train. Dr. J. H. Miller will attend Presby tery at Greers this week. Miss Hagood, sister of Miss Hagood, music teacher at this place, spent sev eral days with her sister last week. Mr. M. A. Leaman has purchased a water works plant and will have it in stalled at his residence. The pump will be worked by a gasoline engine. A moving picture show was given at Spearman's hall last Monday evening. Rev. G. M. Hollingsworth will move his family to Cross Hill some time soon. Mr. Henry Hendrix, Jr., is quite sick with measles. Mr. B. Goodman met with a serious loss last week. His two cows got out of the lot last Thursday night and strolled out on the railroad track. A train killed both of them. Some weeks ago Mr. Goodman had a horse killed in the same way. He bought a horse from a man at Mountville. It got out and was making its way back to Mount ville alorjg the railroad and was killed by a train. Mr. Frank Simmons is at home on a visit. He has been in business in At lanta several months.
