Sec. 2. A "monoply" is any union, or combination, or consolidation, <>r atllliation of capital, credit, property, assets, trade custom, skill or acts, or any other valuable thing or possession, by or between persons, tirms or corporations, or associations of persons, tirms or corporations, whereby anyone of the purposes or objects mentioned in this act is accompliscd, or sought to be accomplished, or whereby any one or more of said purposes are promoted, or attempted to he. executed or carried out, or whereby the several results described herein are reasonably to he produced: and a "monopoly" as thus defined and contemplated in ciuacs not merely such combinations by and between two or more persons, tlrms or corporal ions acting for tlieinsolves, but is especially defined to include all uggrcgat ions, amalgamations, aniliations, consolidations or incorporations, of capital, skill, credit,assets, property, customs, trade, or other valuable tiling or possession, whether effected by the ordinary methods of partnership or by act ual union under the legal form of a corporation, or an Incorporated lxidy resulting from the union of one or more distinct linns or corporrtions, or by the purchase, acquisition or cont rol of shares or cert ideates of stock or lx>nds. or other cor-' poratc property or franchises, and all i corporations or partnerships that have ! been or may tie created by the consolidation or amalgamat ion of the seperate capital, stock, bonds, assets, credit, properties, custom, t rade or corporate or llrm belongings of two or more firms or corporations or companies, arc especially declared to constitute monopolies, within the meaning ol this act, if so created or entered into for any one or or more of the purposes named in this act; and a "monopoly." as defined In this section, is hereby declared to be unlawful and against public policy; and any and till persons, firms, corporations or association of persons engaged therein shall be 1 ...r-.-.i viceiiii-vi ami aujiiu^rd guilty <?I ?l COM- | Bp!racy to defraud, and shall he subject to the penalties prescribed in this act. Sec. ft. if any person, persons, company, partnership, association or corporation engaged in tin* manufacture of any article of commerce or consumption from the raw material produced or mined in this State, shall, with the intent or purpose of driving out competition, or for the purpose of financially injuring competitors, sell at less than the cost of manufacture, or give away their manufatured products, for the purpose of driving out competition or financially injuring competitors engaged in the manufacture and refining of raw material in ttiis State, said person, persons, company, partnership, associat ion or corporation resorting to this method of securing a monopoly in the manufacture refining and sale of I he finished product produced or mined in this State, shall be deemed guilty of a conspiracy to form or secure a trust or monopoly in restraint of t rade, and, on conviction, shall he subject lo the penalties of this act. Sco. 4, If any person, persons, com-1 pany, partnership, association, corporation or agent, engaged in the manufacture or sale of any article of commerce or consumption, produced, manufactured or mined In this State or elsewhere, shall, with the intent or purpose of driving out competition, or for the purpose of financially injuring competitors, sell within this State at less than cost of manufacture or production, or sell in such a way or give away within this State, their products for the purpose of driving out competition, or financially injuring competitors engaged in similar business, said person, persons,company, partnership, association, corporation or agent re ! ? Sec. Any person, partnership, tirm or association, or any representative or agent t hereof, or any corporation or company, or any olllccr. representative or agent thereof, violating any of the provisions of this act. shall forfeit not less than two hundred dollars. nor more titan live thousand dollars. for every such offence, and each day such person, corporal ion, partnership, or association shall continue to. do so. shall he a separate offence, the! penalties in such cases to be recovered j by an act Ion of the State, at the rela- j t ion ot t lie attorney general or the; solicitor ot tlie judicial circuit within: which t lie otileiico was commit ted; the money s thus rolledcd to go into the State treasury, and to become a part j ot the general fund except as herein-1 after provided. If am t wo or more nersonsl 1" I or corporations, who arc engaged in bu.\ itur or selling any article ol commerce, manufacture. mechanism, merchandise. cominodit y.convenience, repair, any product of mining or any article or thing whatsoever, shall enter into any pool, trust, agreement, combination, confederation, associa-1 tion or understanding to control or: limit the trade in any such article or j t hing: or to limit compel it ion in such j trade by refusing to buy from or sell ! to any other person or corporal ion any j such art icle or t hing aforesaid, for the reason thai such other person or cor- j poration is not a member of or a party to such pool, trust, agreement, combination, association or understanding; or shall boy cot t of threaten any person or corporation, for buying from or selling to any other person or I corporation who is not a member of or a party to such pool, trust, agreement, comhination, confederation, association, or understanding, any such article or thing aforesaid, it shall he a violation of this act: and any person, linn, or corporation or association of persons committing such violation shall he deemed and adjudged guilty of a consniraev to defraud and U\all im subject to the penalties prescribed in this act. See. 7. Any corporation created or organized by or under l.be laws of this State which shall violate any of the provisions of the preceding sect ions of this act shall thereby forfeit its corporate rights and franchises: and its corporate existence shall, upon the proper proof being made thereof in any court of competent jurisdict ion in this State, he by the. court declared forfeited, void and of none effect, and shall thereupon cease and determine; and any corporation created or organized by or under the laws of any State or country, which shall violate any of the provisions of the preceding sections of this act. shall thereby forfeit its right and privilege thereafter to do any business in this State: and upon proper proof being made thereof in any court of competent jurisdiction in t his State, its right and privilege to do business in this State shall be declared forfeited: and in all proceedings to have such forfeiture declared, proof that any person who lias been act ing as agent of sueli foreign corporation in transacting its business in this State lias been, while acting as such agent and in the name, behalf or interest of swell foreign corporation, violating any provision of the preceding section of this act..shall he received as prima facie proof of t he act of the corporation itself: and it shall he the duty of the clerk of said court to certify the decree thereof to the secretary of stale, and if it he an insurance company to the comptroller general of the State, who shall take notice and he governed thereby as to the corporate powers and rights of said corporation. Sec. <S. It shall he the duty of the secretary of state, on or about the first of .I wlv of each year and at such other times as he may deem necessary, to address to the president, secretary or treasurer of each incorporated company doing business in this State, a letter of inquiry as to whether the said corporation has all or any part of its business or interest in or with any trust combination or association of persons or stockholders, as named in the preceding provisions of this act, and to require an answer under oath of the president, secretary or trcasur < i. ui <ui,v iiihtuh <m Nilm company. That ail parties making the I alliidavit provided for in this section shall he exempt from criminal prosecution for any violation of law that may be disclosed by such altldavil: It is further provided, That the secretary of state shall, from time to time, when he may have reason to believe that individuals or partnerships arc doing business in this state in violation of this act, address the letter of inquiry herein provided for to such in-1 dividuals or partnerships, and require! of them the same answer under oath; proscribed in this section for the otll- : eers of corporations, the affidavit to which must be made by the individual addressed, or some member of the partnership addressed, and the form of ailidavit herein provided with such changes sis may be necessary to make it applicable to individuals and partnerships, shall he enclosed in said letter of inquiry. Sec. p. 11 shall he the duty of the | attorney general and the prosecuting attorney of each circuit where the offense is committed, pesnect ivolv t<>! enforce the provisions of t his act. The prosecution attorney or solicitor shall institute and conduct all suits begun in the circuit courts, and upon appeal the attorney general shall prosecute said suits in the supreme court. Sec. 10. The. provisions of the foregoing sections, and the pains and penalties provided for violations of this act shall he held and construed to he cumulative to all laws now in force in this State: And provided. That the provisions of t his act shall not exempt from punishment or forfeiture any person, linn, association of persons or corporations, who may have violated or offended against any law now in existence that may he or may construed to he repealed l?y this act olio conflict herewith: And provided, further, That nothing in this act shall lie deemed or construed to affect any suits or prosecut ions now pending or hereafter to be instituted upon any cause of action, forfeiture or penalty accruing or to accrue prior to t be date j of tbe taking elTect of tills act. but all | such debts to maintain, institute <>r prosecute all such causes of action are , hereby reserved lo the State in the same manner and with the same effect i as if this law had not been passed. The big parade, exhibit ion and review took place Saturday in honor of \\ ashingtun's birt hday. Then* was at least three thousand men in camp on the grounds near to the model camp of the t'nited States marines. Section 1. That the trallic in seed j cotton by purchase, baiter or exchange j without license is hereby prohibited. Sec. 2. That the supervisor in each ; county in this State shall annually issue licenses to trallic in seed cotton by purchase, barter or exchange, within the period beginning the 1st day of August and ending the 20th day of December of each year, to sueli person or persons as shall tile with the respective hoard of county commissioners a written application therefor, the graining 01 wnicn sMii 11 do rccommendod by ;il least one hundred land owners, resident within the township wherein said applicant intends to do business: such license shall specify the exact place whereat the said business shall in* carried on and the period with-, in which such trattle is permitted, and 1 shall continue in force between the i 1st day of August and the 20th day1 of iH'cotnber of the year said license has fjoon granted: and for such lieense if granted, a fee of not less titan live hundred dollars shall he paid by the applieant to the county supervisor. ! who shall, titter deducting ji commission of lo percent., pay over to the county treasurer, lo he applied to t he ordinary county expenses, ;tll moneys collected by him from said licenses. Sec. t. That any person to whom license to t rathe in seed cotton may be granted shall keep at said place of business a book in which shall be entered the d;do of every purchase, from whom purchased and the qmintity purchased, which hook shall always be open to inspection of persons applying therefor: and anv nerson to whom a \ license may be granted as herein provided failing to comply with the requirements of this act, <?r any person or persons who shall, on conviction, he liable to the penalties specified in section .'t of this act: Provided That the provisions of this act shall not apply to sea island or long staple cot ton. Sec. ft. That it shall be the duty of the respective supervisors to force the provisions of t his act.
