Pursuant to a resolution of thi board of directors of the Glenn-Lowr: Manufacturing company, a meeting o the stockholders of said company i: hereby called to be held at Whitmire South Carolina, on the 22nd day o July, 1911,. at 10 o'clock in the fore noon, to consider and aQt upon thi following resolutions of said hoard o directors of said company, providins for an increase of the capital stock o said company by the issue of fivi hundred shares of common stock o the par value of one hundred dollarn a share, and of forty-five hundrek shares of preferred stock of the pal value of one hundred dollars a share with the perferences, liabilities an( conditions set out in said resoltuions viz: W;ereas it is deemed advantageou' to enlarge the plant of the Glenn Lowry Manufacturing company by ad ding thereto thirty- thousand spindle. and the usual accompaniment of loom, with such additional building and oth er equipment as may be necessary; and, whereas, it is desirable that suci addition to thle plant should be full3 paid for when completed as is the cas( with the present plant; therefore 1. Be it resolved by the board of di rectors of the Glenn-Lowry Manufac turing company that the capital stocl of the Gl:enn-Lowry Manufacturin company be increased so that said capital stock shall consist of twelve thousand five hundred share: of the par value of one hundred dol lars a share;- said capital stock tc consit of two classes, viz: five thou" sand shares shall be known as Com mon Stock, and the remaining sevei thousand five hundred shares shall bE known. as Preferred Stock. 2. Be it further resolved that the Preferred Stock shall have a prefer ence over Common Stock, both as t< assets in case of final liquidation an< as to cumulatives dividends out of the not earnings to the exetent of 7 nei cent. per annum, payable semi-annu ally: the Common Stock to be -entitlec to a like dividend, payable semi-annu ally," but not cumulative, out of thi iet earnings remaini;ig after' paymeni of dividends on the Preferred S'ock the .dates for the payment of dividemd to be'the first day of January and the first day of July of 0ath year. 3. Be it further resolved that the two thousarid shares of Preferrec Stock feest issi)ed shall be redeemabl4 at the option of the company at any time . by lot after ' the first day of January, 1910; that the one thousand shares of Preferred Stock next issued shall be redeemable in like manner at any time after the arst day of Janu ary, 1915: and that the forty-five hun dred shares of Preferr'ed Stock to be issued if'nder these resolutiorg/ shal] be redeemable in like manner at any time after the first day .of January, 1920. All sui'plus profits, after pay i-ng the said dividends, shall be appro priated as follows: On and after the first day of January, 1910, -60 per cent. thereof to the purchase. of Preferred Stock selected by lot, and 'the remain ing 40 per cent. to go to tne surplus fund; the Preferred Stock so purchas ed to be held' by th0 treasurer of the company until all of the said Prefer red Stock has been so purchased, and then issued as Common Stock, , pro rata: Provided, however, that the two~ thousand shares of Pr,eferred Stoc,k first issued shall be first redeemed and re-issued as Common Stock to the holders of Comrmon ?'tock ,'ro rata: Provided, further, that the lone thou sand shares of Preferred Stock next issued shall be redeemed ~and re-is sued as Common Stock to the holders of Common Stock pro rata before the forty-five hundred shares of Preferred Stock to be issued under these resolu Lions are redeen\ied .and re-issued as aforesaid. 4. Be it further resolved, that no mortgage shall be placed on the plant or plants of the company until all of said Preferred Stock of all classes shall have been retired and taken up. 5. Be it further resolved that the foregoing resolutions be submitted to the stockholders of ithe Glenn-Lowry MLaufacturing company t9 be consid ared and acted on by them at a meet ng of said stockholders, which is iereby called to be held at the com any's office at Whitmire, South Caro [ins, on the twenty-second day of July, 1911, at 10 o'clock in the fore 2oon.
