Constitution of the Chamber of Commerce of Newberry, S. C. ARTICLE I. Name. Section 1. This organization shall be called the Chamber of Commerce, of Newberry, S. C. ARTICIE II. Who Shall Constitute Membership. Sec. 1. Every white professional and business man and farmer who is a -resident of Newberry county shall be eligble to regular membership, provid ed that applicant is not under 21 eears of age. Sec. 2. Every person desiring to be eome a member shall so ' ignify by wrItten. application and be recom imended by at least two members ot the organization.. Sec. 3. The application shall be made in writing to the board of gov ernor at a regular or call meeting, and a ballot shall be taken immediate ly by the board. A two-third vote of the members of the board shall be aecessary to elect a member. ARTICLE III. Officers. Sec. 1. The officers of this organ ization shall consist of president, two 'rice-presidents, a board of six gov ernors, a secretary and a treasurer, who shall be elected for a term of one year at the annual meeting to be held the third Thursday in March, ex cept the secretary and the treasurer, who shall be elected by the board of governors, and the president and the two vice-presidents shall be members of the board of governors. If for any eanse there be a failure to elect, the former officers shall hold over until their respective offices until their suc eessor shall have been chosen. Provid ed the board may elect the same per son as secretary-i-reasurer. Sec. 2. A majo.ity of the board of governois shall constitute a quorum for the transacti.,n of business. Sec. 3. The president shall be chair man of the board of governors and the vice-presidents shall be members thereof. ARTICLE IV. Sec. 1. It shall be the duty of the board of governors to have the active management of the chamber of comn mierce, and they shall at their first meeting elect a seocretary and a treas xrer, who shall be subject to their in structions. They shall have general management of the organization and' ix the dues of members, adopt rules and regulations for the government of the organization, create such comn mittees as in their judgment may be necessary, and define the duties of said A committees and. appoint the members thereof. They shall require the sec -retary and treasurer to keep an ac-. curate and iteized statement of thne receipts and disbursements, and sub mit a monthly report of same. They shall also fix the compensation to be paid the secretary and treasurer. They shall call at least quarterly me~etings of the chamber of commerce at which meetinssg they shall mnake report of the financial condition of the organ ization, and if in their judgment it 1s necessary, they shall call the chain ben of commerce together oftener. At the annual meeting they shall submit a report covering their doings for the year, showing the financial condition and making such recommendations as to. them' may seem to the best inter ests of the chamber of commerce. In short, it shall be/their duty to have * supervision and management of the chamber of commerce. In case of a - vacancy in the board of governors, they shall have authority to fill the same until the regular annual meet ing. ARTICLE V. Special Meetings. Sec. 1. Special meetings shall be called my the board of governors upon written request to do so signed by ten members of the chamber fcommerce. ARTICLE VI. * Quorum. Sec. 1. Fifteen m~embers shall con stitute a quorum for the transaction of business. ARTICLE VII. Amendments. Sec. 1.
