That for the purpose of raid? ing the necessary capital stock of said company, it shall be Iawfnl to open books of subscription, in the State of South Carolina, in the Counties of Abbe? ville and Edgefleld; and in the State of Georgia, in the Counties of Richmond and Columbia; and in snob oities and towns as may be deemed for the best in? terest of the corporation, under the direotion of the corporators, to an - amount not exceeding one million dol? lars (81,000,000.) in shares of twenty dollars ($20) each, to constitute a joint capital stock, for the purpose af con? structing and carrying into operation the aforesaid railroad, or any part thereof. And it sholl be the duty of the said oor Eorators, or a majority of them, to open ooks of subscription as soon ofter th? ratification of ' this Act os may be practi? cable, of which twenty days' previous notice must be given in any newspaper or newspapers of the States aforesaid;; and the subscription books sholl be kept open for sixty days; that on eaoh share of stock subscribed, the said subscribers shall pay two dollars, ($2,) or its equiva? lent, in currency, to the corporators, who shall give a oertifloate for the same;, and on t>?j non-payment of said instal? ment, the subscription shall be void; the corporators shall deposit the money received by them on said cash instal? ments in a solvent bank, in any of the States aforesaid, und at the expiration of every thirty days. Whenever the said sum of ouo hundred and fifty thousand dollars (0150,000) is subscribed, in tho manner herein prescribed, the subscribers, then executors, administrators and assigns,, shall be, and they are hereby, dede red. to bo incorporated into a company, by tho name of the "Greenwood und Au? gusta Railroad Company," and may. organizo as herein provided. Sta. 5. The said compauy, by its name above mentioned, shall have perpetual BD?O?ssion of memberr, shull hold real and personal property, may sue and be sued, may plead and be impleaded, moy have and use a common seal, which they may break and usu at pleasure, anti make all such by-laws, rules and regula? tions os they may deem necessary for the well-ordering and conducting the affairs of the company. At the first meeting of the said company, to be oalled by tho corpo? rators, ss above stated, and at all subse? quent meetings, ft shall be lawful for any stockholder to be represented by proxy, whoso appointment shall be in. writing, signed by such stockholder; but a person not a stockholder shall not rep? rirent such proxy. A majority of two thirds of the stockholders present, or represented by proxy, aro empowered to transact any aud all business connected, with tho company. At the first meeting of stockholdors, and annually thereafter, nt such timo and placo as may bo op pointed by the by-laws, they shall elect, by ballot, to serve oho your and until another election, a President and ten Directors.
