Heinitah, R. L. Bryan, J. J. McCarter. W. B. Stanley, J. P. Thomas and W. K. Bachraan, together with other persons who now are, or here? after may be, associated with them, be, and they aro hereby, declared a body politic and corporate, for the pnrposu of making loans of money, secured by mortgage of real es? tate or personal property, to their members aud stockholder!!, by the name and style of ! the "Columbia Building and Loan Associa? tion," the capital stock of which shall con? sist of twelve hundred shares, to be paid in .by successive monthly instalineuts of one dollar on each share, so long ns the oorpora tiou shall continue, the said shares to be held, transferred, assigned and pledged, and the holders thereof to bo subject to such fines and forfeitures for defaults iu their payments, according to such regulations as may bo prescribed by the by-laws of said corporation. SEC. 2. That the said corporation shall have power and authority to make any such rules and by-laws for its government as aro not repngnant to thc Constitution and laws of tho land; shall havo such number and succession of members und officers as shall be ordained aud chosen according to the said rules and by-laws made or to be made by them ; shall have aud keep a common seal, and may alter the same at will; may sue and bo sued, plead and be impleaded, in any Court of Law or Equity in this j State; and shall have and enjoy all and every right and privilego incident und be louging to corporate bodies, according to tho laws of the land. ? That tho funds of said corpora? tion shall bo loaned und advanced to the members and stockholders, upon the se? curity of real or personal estate, iu such mode, ou such terms, and under such condi? tions, and subject to such regulations, as may, from time to time, bo prescribed by tho rules and by-laws of said corporation. Aud it shall be lawful for the said corpora? tion to hold such lands, tenements, heredi? taments and personal property as aro now, or shall hereafter be, mortgaged or con? voyed to them, iu good faith, by way of se? curity upon its luaus and advances; ami may purchusc at sales thereof, made accord? ing to law, upon judgments or decrees at law or iu equity for tho recovery of their debts, aud to sell, alien, or otherwise dis? pose of the same, as they, from time to time, may deem expedient. SEC. 4. That whenever it shall occur that the fuuds of tho said corporation shall re? main unproductive and uncalled for, for the I spaco of two months, the corporation shall have power to loan whatever amount may bo thus on hand to others than stockhold? ers and members, for such time, and at suoh rates of interest, as may be established by virtue of such rules and by-laws as may be made by said corporation. SEC. 5. That whenever the funds of tho said corporation shall have accumulated to such an amouut that, upon a fair aud just division thereof, each stockholder and mem? ber shall have received, or be entitled to re? ceive, the sum of two hundred dollars, or property of that value, for each and every share of stock by him or her so held, and such distribution and division of the funds shall have been so made, then this corpora? tion shall cease and.determine.
