The annual reports of the two institutions
were snhmittad by their respective Presidents,
and unanimously adopted.
The following amendment to the by laws o(
tiie railroad company was introduced, and was
disposed of in accordance with section 10 ol
article 2nd of the same :
"That the Board ol Directors shall he authorized,
in ease of the existence of contagions (lis
case or other paramount cause, to convene tin
annual meeting of stockholders at some pianother

At a meeting of the Hoard of Directors of
Itlie South Carolina Railroad Company, held
immediately after the adjournment of the
stockholders' meeting, W. J. Magrath. Esq.,
was unanimously re-elected President for the
ensuing year.
At a meeting of the Board of Directors of
the South-western Railroad Bank, held at the
same time, James Rose, ]><)., was unanimously
re-elected President for the ensuing year.

TIJK THIRD FALL OF JACKSON:
The Mississippi in says: The following
particulars of events connected with the evacuation
of Jackson, are from a reliable source :
On Friday morning, at 9 o'clock, ollicial information
was received at Jackson that the
enemy were advancing on Clinton, in two col umns,
25,000 strong, by the Queen's Hill and
Clinton roads. Owing to such immense superiority
of numhois, Gen. Tee declined to givt
them further battle, and retired towards Can
ton, to effect a junction with Gen. Coring, whe
V?ad rpat-licfi Madison Station with his coin
rmand that morning. About the time that Gen
Lee left Clinton, an tnmeiisc smoke was oh
served in that vicinity. At 12 o'clock, the
order was given to evacuate Jackson, as tin
enemy were then repor.ed within six miles o
the place. All soldiers at once left the place
the citizens retired to their houses, and a pain
ful stillness reigned over Lhe thricc-doonici
city. About 5 o'clock in the evening, the ene
mv entered the city, driving a small detach
racnt of our cavalry before them. Their de
moniac yolls were heard on the East bank o
Pearl river. One of the party, left to dismantle
the pontoon bridge, was mortally wounded.
' The bridge was effectually destroyed.
Gen. French's division is now at Morton.?
The division had been held in reserve on the
East bank of Pearl river. Neither it nor Loring's
division took part in any of the engage
mcnt?. The latter was held at Canton to
, watch the movements of Lite column which had
started from the Yazoo". Gen. Lee's cavalry
did nohlv, but they were nut able to contend
against twenty to one. The conduct of Geri.
I Adams' brigade, and ? portion of the brigade
commanded by Col. Starke, is beyond all praise.
On Friday, they permittee! the enemv to advance
only four miles. In Gen, Adams' old
regiment alone, ten were reported lulled and
>i*i\ wounded. .Maj. 15ridges, of Gen Lee's
staff, was mortally wounded. 'The bearing of
t Jen. Lee was perfectly sublime. In no sense
' : can' any portion of the responsibility for this
i third loss of Jackson fall upon him.
On Friday, Gen. Ross' cavalry brigade, afteV
i destroying some transports, met the enemy

number, with revolvers. It is represented as
the most desperate fighting of the war. A regi
incnt of negro cavalry, which they intercepted
in a lane, was completely slaughtered.
Our army fell back of Pearl river by way of
Grant's ferry, which is about twelve miles above

Large conflagrations were visible in the vicinity
of Jackson and Madison Station at 10
o'clock Saturday night. . Jiefore Gen. French
retired, lie caused a large lot of cotton at the
depot to be destroyed. A few cars were left at
the depot. The railroad between Brandon and
Jackson was left uninjured by our troops.
In addition to the two columns which moved
out on Canton and Jackson, another was reported
as advancing on Crystal Springs. Sherman
was in chief command.
Reinforcements, we learn, have been pouring
West, and a stand will be made at Morton All
telegraphic comnftt mentions, except for military
purposes, have been interdicted bv General
Polk, which fact accounts for our failure to receive
intelligence of these important movements

Indeed, indications for several months past go

it adopted In the recapture (if Jackson, the

Helta* made no substantial gain by it, but'onlv
multiplied his difficulties; while, perhaps, he
has acceleratd those uiovemenis on oar part
