dtvftdaeio a Fcsuore,
Washington, Jan. t.?A general
outline of tha tentative draft of anti?
trust legislation prepared by major?
ity members of the house committee
... ? '~ry for action by the full
committee, gubjeet to a conference
with I'resident Wilson, became
known toniglkt While members of
the oommlttoi? talked with the pres?
to ent some weeks ago. the proposed
bills so far have not the adminis?
tration stamp, and thoy will be dis?
cussed at a conference betwen the
president and the committee men im?
mediately following the president's
return.
The bills drafted, after conferences
between Chairman Clayton. Repre?
sentative Carlln of Virginia, chair?
men of the trust subcommittee, and
Representatives Floyd of Arkansas,
McCoy of New Jersey end othera
cover these three main points:
1. Interlocking directorate*
I. Trade relations and prices.
9. Injunction proceedings and
damage suits by individuals.
Is every case President Wilson's
idea of providing penalties for in?
dividuals as well as for corporations
lo case of violations has been fol?
lowed. It was decided it would be
bettor to draft several bill* instead
of Incorporating all antitrust pro?
posals In an omnibus measure sup?
plementary to the Sherman act. An
attempt to define combinations and
conspiracies in restraint of trade, as
far as possible, has been made In the
bills already prepared.
The bill to Inhibit interlocking
directorate* is regarded as the most I
Important of the three. It applies to
banks and trust companies and to
every Industrial corporation engaged
In Interstate trade. The tentative
draft of thn measure provides that:
"After the 23rd day of December.,
I 1914, an officer or director of a fed?
eral reserve bank, a branch bank, na?
tional bank or banking association,
or any State hank, banking association
or trust company admitted to mem?
bership In a federal reserve bank
shall not be an officer or director of
any other bank, banking association
or trust company, or of any financial
corporation, institution or association
engaged in the business of banking.
Nor shall he engage in the banking
business Individually or as a member
of a firm or association engaged in
such business: nor shatl he be an of?
ficer or director of any other cor?
poration, organisation or association
the principal part of whose authorized
or actual business it to buy, sell or
hold the stocks and bonds, securities
or evidences of indebtedness of eor
I porations, organisations or associa?
tions, or to finance the sale of such
stocks, bondi, securities or evidences
of indebtedness, or to negotiate loans
to corporations, organisations or as?
sociations; nor of any other corpora?
tion, organisation or association own?
ing stock or an interest in a corpora?
tion, organization or association con-;
ductin ?' principally such authorized or
actual business.
"A director of Class A o.' a federal
, reserve bank may be an officer or a
' dlrectcr, or both an officer and a dl
: rector of one member bank."
The other two classes are prohibit-,
I ed In the currency law from holding
the other offices.
This part of the measure was draft?
ed by Representative McCoy and is
understood to have the approval of
, other judiciary members.

rangements and enabling director?
ships and control to pass to a large
army of new men, instead of keeping
the industrial control of various lines'
of activity in the hands of a few. i
Under its terms no officer or di?
rector in ar ' industrial corporation j
engaged in interstate trade would be1
permitted to be an officer or direc?
tor in another industrial interstate;
corporation in allied business. Manu- j
facturers of railroad cars, locomo?
tives, railroad rails and structural
steel, or men engaged in mining or
selling coal, would be barred from
becoming directors or other officers
or employes of railroads engaged in
interstate commerce. The bill would
not become effective until two years
after passage, to allow adjustment of
business arrangements.
The other measure? would take ef?
fect immediately upon passage.
The bill to stop agreement upon
regulation of prices has drastic pro- I
visions. It is designed to stop the fix?
ing by wholesalers of prices at which
tho manufactured article shall be |
sold to the puL.ic and to prevent
"big business" from entering into
contracts to control prices of any
commodity.
The measure on injunctions and
damage suits will givo individuals as
well as the government the right to
start injunction proceedings for any
attempt at injury. In civil proceed?
ings begun by the federal government
under the Sherman law. in which a
judgment or final or interlocutory de
| cree has been entered, holding the
defendants guilty o:' conduct prohibit*
i *d by the act. it would permit in?
dividuals claiming to be injured by
[ such conduct to be admitted as a
party to the suit, with the same re
i
' lief as if they had brought an inde
l pendent suit. ThiH would give the
individual the benellt of the results ol
I a proceeding by the government.
Members of the Judiciary commit
' tee believe the measures will
I strengthen the Sherman law without
[ injustice to the rights of business.
