The following in the text of the bill incorporating “The Caro lina Southern Railroad Com- r” which is now before the eneral Assembly of South Car olina for consideration. pany Qt The House Committee on Rail roads, to whom was referred a Bill to incorporate the Carolina Southern Railroad Company, respectfully report: That they have carefully considered the same, and recommend that the Bill do pass. All of which is respectfully submitted. C. A. C. WALLER, for Committee. A BILL To Incorporate “The Carolina Southern Railroad Company.” Be it Enacted by the Senate and House of Representatives of the State of South Carolina, now met and sitting in Qeneral As sembly and by the authority of the same: Section 1. That William H. Lyles, James Woodrow, W. Q. Childs, W. A. Clark, J. S. Mul ler, Andrew Crawford, L. D. Childs, John T. Sloan, Jr., and Willie Jones, and such other persons or corporations as may be associated with them, their successors and assigns, he, and they hereby are, constituted a body politic and corporate un der the name and style of The Carolina Southern Railroad Company. Sec. 2. The said company is hereby authorized and empow ered to construct or acquire, maintain and operate a railroad from the Town of Cheraw, in the County of Chesterfield, or some point on the North Carolina line in the County of Marlborough, or the County of Chesterfield, through the Counties of Marl borough and Chesterfield, either or both, through the Counties of Darlington and Sumter, either or both, and through any other intervening Counties, to such point on the Savannah River within the County of Barnwell or the County of Hampton as may be determined by the Board of Directors. Sec. 4. The capital stock of said company shall be one mill ion dollars, divided into shares of one hundred dollars each, which shall be personal property, and shall he transferable as the by-laws of the company may provide ; but said company may orgauize and commence the con struction of said railroad as soon as fifty thousand dollars shall have been subscribed in good faith to the capital stock thereof and as much as ten per cent, thereof paid in cash, or other property, as provided by law. For the purpose of organization a general meeting of the sub scribers shall he held, after ten days’ notice to the subscribers by mail or personal service, at which meeting, a majority of the stock so subscribed being represented in person or by proxy, by-laws may be adopted and such officers as may be pre scribed thereby may be elected. Any portion of such capital stock may be issued as preferred or guaranteed stock as may be de termined upon. Sec. 4. The company shall have a lien upon the stock of each subscriber for all amounts that may be due upon his sub scription for stock, and may en force the payment thereof by a sale of such‘stock or otherwise as may be prescribed by its by laws. Sec. 5. The capital stock of said company may be increased from time to time, for such pur poses and to such extent as may be determined by the Board of Directors, not to exceed five millions of dollars except in case of consolidation with some other railroad company or companies; in which event the stock of such consolidated company may be the amount authorized by this Act together with the amount authorized by the charter or charters of such other railroad company or companies. Sec. 6. It may be lawful for any city or town interested in the construction of said railroad to subscribe to the capital stock of said company such sum or gums in bonds or money as a majority of the qualified elec tors of such city or town, voting at any election hereafter provid- «d for may authorise, anythin; contained in the charter of sue! municipal corporation to the contrary notwithstanding. If ibscription shall be made semi-annually, and to be of the denominations of one hundred i dollars, five hundred dollars and one thousand dollars, or either, 1 and to be received by said com pany at par: Sec. 7. For the purpose of de termining whether such sub scriptions shall be made, and the amount thereof, it shall be the duty of the municipal au thorities of such city or town, upon the written application of a majority of the real estate owners of such city or town, specifying the amount to be subscribed and whether it shall be payable in money or bonds, to submit to the qualified elec tors of such city or town the question of “subscription” or “no subscription” to the capi tal stock of said company, at an election to be ordered, speci fying the time, place and pur pose of such election; and shall appoint managers according to law, who shall, without compen sation, hold and conduct such election, at which election the ballots shall have written or printed thereon either the word “subscription” or the words “no subscription.” Said municipal authorities shall fix the amount of such subscription iu accor dance with such petitiou, and shall give three weeks’ notice of such election by publication the eof in one or more of the newspapers published in the County in which such city or town may be. Sec. 8 Such managers shall count the votes at their respec tive precincts and make their returns to the municipal authori ties of such city or town, who shall receive and tabulate the same and declare the result, which result shall be certified to as correct and filed with the records of such city or town. Contests in such election shall be determined by such municipal authorities. Sec. 9 In case a majority of the ballots cast shall have writ ten, or printed, thereon the word “subscription,” the municipal authorities of such city or town shall subscribe to the capital stock of said company in benalf of such city or town the amount fixed as aforesaid, specifying :h the manner of payment of sue! such su bonds, bonds coupon years after the to be paid subscription, if the same shall be in money , as may be specified in said petition. Sec. 10. If such subscription shall be in money, the municipal authorities of such city or town shall annually levy and collect, in such manner as ordinary cor- BUC h rai poration taxes are collected, an company amount sufficient to meet the an- , nual installments of such sub- have all of scription ; and if it shall be in bonds, they shall, until the whole of the principal and interest of said bonds shall be paid, annual ly levy and collect in like man ner an amount sufficient to pay the interest upon such bonds as the same becomes due, and shall pay over the amount so collected upon presentation of the coupons of said bonds as they become due. Ten years previous to the maturity of said bonds the mun icipal authorities of such city or town shall proceed to levy and assess annually upon taxable property of such city or town, in the same manner as is herein before prescribed, an additional per centum sufficient topav one- tenth of the principal of sak bonds until the same shall be fully paid off, which tax shall be collected in the manner here inbefore provided, and shall be known as the “Carolina South ern Railroad Sinking Fund Tax,” and shall be kept apart from all other funds, and shall constitute a sinking fund for the payment of the principal of said bonds and shall be applied to the pay ment thereof as follows, to wit: annually, as soon as possible af ter the collection of such sinking fund tax the municipal authori ties of such city or town shall publish, in one or more news papers published in the County where such city or town may be, or if there be no newspaper pub lished therein, then in one or more newspapers published in the City of Columbia, a notice calling for offers of such bonds for redemption, and the lowest offer or offers received shall be accepted to the amount of the cash on hand to the credit of said “sinking fund :” Provided, That if such offer or offers shall be above par, they need not be accepted unless said munici pal authorities shall deem it ex pedient so to do. Upon the ac ceptance of any such offer, said authorities shall pay over to the holder of such bonds the amount due thereon according to the times of such offer and shall can cel said bonds and file the same away as vouchers for the mon eys so disbursed. So much of said“Sinkin£ Fund Tax” as may not be used m the retirement of said bonds before their maturity shall be held inviolate until the maturity of said bonds and be then applied to the payment thereof. Sec. 11. In all conventions of the stockholders of said com pany, such city or town may be represented to the full amount of its subscription to the capital stock thereof by not fewer than three nor more than five dele gates to be appointed by such municipal authorities. Sec. 12. All takes collected by the municipal authorities of the city or town so subscribing from said railroad company shall be kept separate from all other taxes so collected, and shall be applied by said munici pal authorities exclusively to the payment of the interestand prin cipal of the bonds so subscribed by said city or town, until the whole of said bonds shall havo been paid. Sec. 13, That Mid company shall have authority to borrow money to such extent and in such manner as it may deem ad visable at a rate of interest not exceeding seven per cent, per annum, and to issue them for such coupon or registered bonds or other evidences of indebted ness as it may deem fit, and to secure such bonds or otaer evi dences <j1 indebtedness both as to principal and interest by mortgages or deeds of trust up on the whole of the property, income, franchises and privil eges of said cc mpany or any or any part thereof, and upon all property which said company may acquire after the execution of such mortgages or deeds of trust. Sec. 14. A President and not fewer than five Directors shall be elected annually by the stock holders of said company, who shall hold office for one year and until their successors are elected; and in case of vacancies in the office of President or Directors they may be filled by the Board of Directors until the next an nual meeting of the stockhold ers. Sec. 15. Said company may acquire or construct and operate branch roads from its mam line not exceeding fifty miles in length. Sec. 16 It may be lawful for any railroad or transportation company, organized under the laws of this or any other State, from time to time to subscribe to or pu’•chase and hold the stock and bonds o: either of said com pany, of any company formed under the provisions of this Act, or to guarantee or endorse such bonds and stocks or either of them ; and it shall and may be lawful for any railroad or trans portation company organized under the laws of this or any other State to purche e, use or lease the road, pro perty and franchises of said company or any other company formed un der the provisio is of this Act for such time and upon such terms as may be agreed upon between the contracting parties.
