Charleston, April 29.?The South Carolina and Georgia railroad will pass into the hands of the Southern railway at 12 o'clock tomorrow night. The deal was consummated at the olfice of the S. C. and G. road this morning. It is in the nature of a lease, and not a sale. The lease is tor 130 years, with absolute control of all the property of the South Carolina and Georgia road. It is said that the terms of the contract give the Southern road the privilege of purchasing the property at the expiration of the lease. The terms of the lease were not made public today. Vice-President A. 13. Andrews of the Southern was seen and asked for a statement shortly alter the meeting adjourned, and in reply lie said that no statement had as yet been prepared for the public, but he would probably have something to say within the next day or two. Mr. B. L. Abney, state attorney for the Southern road, when seen said he only represented the road from a legal standpoint and had nothing to say concerning the deal. Mr. J. W. Barnwell, the legal representative of the South Carolina and Georgia road, said, when asked about the lease, that nothing could be given out at the time. None of the gentlemen who were approached attempted to deny that the lease had been closed, and it is certain that the deal, which has been reported for some weeks, was closed today. It is understood that the Southern will take charge at once and operate the line beginning on Monday evening. A meeting of the stockholders of the South Carolina and Georgia road was held to day at the general ollices of the road, corner of King and Ann streets, at II o'clock, for the purpose of guar anteeingthe payment and interest of the first mortgage honds of the par value of .$ 1 .SOO.OOO, the said honds to hear -1 1-2 per cent, in terest. payable semi annually, and ItcmArk,"\hlP Ctirp n 1 Dhonnullcm Kknna, .lackson Co., W. Resolutions were introduced to J this effect and were uanimously adopted. The meeting was attended by Col. A. B. Andrews, vice-president of the Southern railway, B. li. Abney, general counsel for South (Carolina of the Southern, .1. \V. Barnwell, counsel for the! i South Carolina and Georgia road, 'and Mr. I'otter of Now York, attorney for President Parsons of the South Carolina and (Georgia ! road. The meeting was in session for some time most of the time being taken uj> in drawing up the res lolutions and papers connected with t he meeting. While the meeting was called for this bond guarantee, its real I business was evidently the ratification of the absorption of the S. C. and G. by the Southern. There were no stockholders of the S. C. and G. proper at the meeting, though the call was issued to the stockholders. The S. C. and G. was represented by Mr. Barnwell and Mr. I'otter and the Southern oflicers were participants in the meeting. The action on the bond matter was thus practically taken by ihe, new owners. For several weeks there has been a persistent rumor to the effect that there was a deal on between the Southern and the South Carolina ai.d Georgia road, and j when an effort was made to con firm thn story from the olficials of the Sooth Carolina and Georgia road at this end of the line the report was denied. The visit of Col. Andrews to Charleston were thought to he significant,! and knowing ones were not (lis posed to accept the denials. The control of the South Caro-1 i 1 ina and (ieorgia road by the Southern is considered the best I | thing that has happened fori i ] Charleston in a long time, fori lit is believed that the Southern i will make Charleston its chief South Atlantic port, and will establish a trade between this port and Cuba and Puerto Rico. Moreover, Charleston will be brought into close touch with the Piedmont section and will be able to recover the trade of the upper I part of the state that has been i lost through unfriendly railroad, I combinations during the past lfij years.
