C. Duk#s, Samuel iiu ger, and James Chapman ; at Columbia, Andre vV illuce, John Bryce, Alexander Kirk; at Can den, C. J. Shannon, Wm. .V'Willie, and t Afatheson; at Cheraw, James Wright, Alexar der Graham, and Brown Bryan , and said Coii missioncrs, or a majority ot them, at each of til said places shall, on the second Monday of Jun next, and the two following days, from 10 o'cioc of the forenoon, until two o'clock of the aftc; noon of each day, at sucli place in Churlestoi Columbia, Caimlen and Clieraw, as they sha appoint, receive subscriptions to the Capit; Mock of the said Company, from all persons o feringto subscribe thereunto, and paying at tb time of subscribing twenty dollars on each sliai subscribed by them respectively. Provided, That tho said Commi. sioners shall give at least thirty days notice, h advertisement, in the several Gazettes publishe in the said several places, of the time and plac of receiving such subscriptions; and Provide also, that no person shall be allowed to subscril on any one of the said three days, moro than on hundred shares, either in hi* own name, or in th name or names of any other person or person; or of any co-partuership or corporation ; an Provided further, that every subscriber, shall i the time of subscribing, declare on oath, that is histruo intention, that tho shares subscribe by him, if subscribed in his own name, not e.t pressly in trust for any other person or person; shall be his prope.-ty, and that he has not entei ed into any contract, agreement or understand ing, with any person or persons for the sale c transfer of such share s or any of them, or the they, or any of them, shall be held in trust ft any other person or persons; and if subscribe in his own name, expressly in trust for some otl er person or persons, that it is his true intentio that they shallonsfor tho sole benefit of sue pwwoa or persons, and that neither he nor sue *???? *>nti>rpd into an person or pcrscm iiiuvi contract, agre pent, or understanding with an other person or ersous for the 6ilo or transfer c such shares, or any of them; and if subscribe in the name of any other person or persons, cc partnership or corporation, that it is his true in tention that they shall be tho property of th person or persons, co-partnership or corporation in whose naino or names they are subscribed and that to the best of his knowledge and belie such person or persons, co-partnership or coi porution, has or have not entered into any con tract, agreement or understanding, fur tho sal ?rtranslVrof such shares, or any of them, 0 that they or any of them should be held in trus for any other person or persons. An Provided further, that no Bank shall bo permil ted, directly or indirectly, to subscribe for an part of the capital stock of the Company hereb created. Sea 2. And tho above named Commissioner at Camden, Cheraw, and Columbia, shall on th .first Aleuday of A/arch, respectively, forwar correct lists of the shares subscribed, and als of the monies paid on such shares at the tim of subscribing, to tho above named Commission era atChharleston for the purpose 01 apportion iug the same; and the Commissioners at Charles ton shall make out and forward to all the otlic above named Commissioners respectively, a sch( duie of the said apportionments, whereupon th said respective Cojuissioncrem shall forwar forthwith to tho Commissioners at Charlesto the monies which have been paid in upon sue shares as are apportioned to the respective sut scribcre; and such said subscriber * paying tliei subscription monies respectively, shall form th Company above mentioned, upon complyin with tho conditions and being subject to in clauses hereinafter set forth. Sec. 4. If more than ten thousand shares sha be subscribed, the Commissioners shall distri bute the ten thousand shares of which the cap; tal stock of tho said Company is to consisl among the subscribers as nearly as may be i; proportion to the nuinber of shares subscribe by them respectively; Provided always, that n subscription for not more than five shares shal be reduced unless the whole number of share subscribed cannot be otherwise reduced to tei thousand. Provided, if any number less thai ten thousand, and exceeding five thousan .thares, be us b6cribed, the charter thereby shal not be forfeited, but the Company may be form ed consisting of the number of shares actuall subscribed, which shall not thereafter be incrcay ed. Sec. 5. Incase the number of shares subscr, bed en the three days herein before appointed fc recoiving subscriptions shall be ess than te thousaiufcthe Commissioners shall re :eive furthe subscriptions not exceeding such number c .shares as with those already subscribed, sha make up the number'of ten thousand shares, ? any time during the ten days next following, th fourth Monday in June, and keejung them ope after public notice, during the aforeeaid period c ten days, and subscribers shall not then be sul ject to the limitation herein before prescribed a to the nuinber of shares to be subscribed by an one person, nor shall they be required to tab thi oath herein before prescribed.' In order to avoid the great consumption of tim which would be caused by counting the mone as paid in, the Commissioners will rcjeive th amount paid on each subscription sealed up in separate parcel endorsed with the subscriber same, the sum contained in the package and th description of notes of which it consists; an if any package upon being opened and counte shall be found to contain less than the amour endorsed, or any otlier than notes of specie paj ing Banks of this State, 6uch subscription wi be reduced in proportion to iho deficiency. Ju case of over subscription the commissioi ers will, as soon as practicable, apportion th stock among the subscribers and refund th money paid in on the oversubscription.
