The following is the constitution!
and by-laws of the Bamberg Chamber
of Commerce, adopted at the meeting
held at the court house last Thurs-;

Article 1.?NAME.

of Commerce.
OBJECT.
Sec. 2. The Bamberg Chamber of
Commerce is organized for the pur- ;
pose of advancing the commercial,
industrial, and civic interests of the
city of Bamberg; to promote integrity j
and good faith; just and equitable,
principles in busines^; uniformity in!
commercial usages; and to acquire.!
prestrve and distribute industrial, j
commercial and civic statistics and j
information of value; to discover and
correct abuses; to prevent or adjust
controversies; to have a part as representing
our city in the consideration
and decision of State and national
issues; to cultivate among busi
ness men of the city a friendly intercourse
and a commendable rivalry;
to foster and promote desirable industries
and manufactures; to stimulate
an honest, active and enterprising
commerce; to encourage diversified
and all general farming interests
in the region about Bamberg.
METHODS.
Sec. 3. This chamber in its activities
shall be non-partisan, nonsectional;
and non-sectarian, and
shall take no part in or lend its influence
to the election or appointment
of any candidate for State,
county, or city office.
Article II.?MEMBERSHIP.
Sec. 1. The Bamberg Chamber of
Commerce shall be composed of active,
and honorary members.
ACTIVE MEMBERS.
Sec. 2. Men of good standing, interested
in the commercial, industrial
and civic progress of the city
shall be eligible for active membership
upon the presentation of their
names by the secretary to the board
of directors, and the payment of the
registration fee of one dollar.
HONORARY MEMBERS.
Sec. 3. Honorary members may be
elected by the board of directors up
on nomination of any member of the
Chamber of Commerce because of distinction
in public affairs, and election
as such shall include all the privileges
of active membership, with the
exemption from the payment of all
fees and dues. /
Article III.?REVENUE.
Sec. 1. The revenues of the Chamber
of Commerce shall be derived
from the annual fee of $1.00 per
capita for active membership payable
at the beginning of each fiscal year;
from donations from individuals,

firms and corporations, and from
such assessments as may at any regular
or special meet^t be ordered by
a two-thirds vote of all members
present, provided the proposed assessment
has been first passed upon
and recommended by the board of directors
and notice has been given ten
days previous to the time of acting
upon such recommendation of as.
sessment to each member of the
Chamber of Commerce either in person
or through publication in the
county papers, or posting on the bul- {
letin board.
Article IV.?OFFICERS.
Sec. 1. The government of this
Chamber of Commerce, the direction
of its work, and the control of its
property shall be vested in a board
of directors consisting of seventeen
members who shall be elected an
nually as hereinafter provided. Their
duties shall begin within three days
after their election, when they shall
meet, qualify, and elect from their
own number a president, a vice president,
a treasurer, and a secretary,
provided, however, that the office of
treasurer and secretary may be combined,
and provided further, that
when deemed expedient a secretary
may be elected from outside the
board of directors, in which last
named event the secretary shall not
also serve as treasurer. The officers
elected by the board of prectors shall
discharge the duties and functions of
their offices for both the board of directors
and the entire body of the
Chamber of Commerce.
DUTIES OF OFFICERS.
Sec. 2. President?The president
shall preside at all meetings of the
chamber and of the board of directors.
He shall perform all duties in
cident to his office and advise sucn
action as may be deemed by him likely
to increase the usefulness of the
chamber.
Sec. 3. Vice president?The vice
president shall act in the absence of

disability of both the president and
vice president, a member of the
board of directors shall be chosen tc

See. 3. Treasurer?The treasurer
shall receive and disburse the funds
of the chamber, and shall keep all
moneys of the chamber deposited in
its name, and shall pay out same on
the order of the board of directors,
or upon orders of the secretary, countersigned
by the president, and shall
be required to give bond as may be
deemed sufficient by the board of directors.
Sec. 4. Secretary?It shall be the
duty of the secretary to' keep and
preserve in proper form the minutes
of the Chamber of Commerce and of
the board of directors, to keep the
books and accounts of members, to
collect all dues, fees, assessments,
subscriptions and the like, to conduct
the official correspondence of < the
chamber, preserve and keep all books,
documents, and communications, etc.,
and perform all duties incident to his
office, subject to the direction of the
board of directors. At the expiration
of his term of office h'e shall deliver
to the board of directors ail books,
papers and property of the chamber.
The solary of the secretary shall
be fixed by the board of directors.
Sec. 5. Executive committee?-The
president, vice president, and treasurer,
with two other directors to be
appointed by the president shall constitute
an executive committee which
shall act in the interim of board
meetings in carrying out the plans
and purposes of the board, and shall
have such additional powers as from
time to time the board of directors
may authorize.
Article V.?COMMITTEES.
The president shall appoint from
time to time such special committees
as may be deemed necessary for promoting
the various interests undertaken
by the Chamber of Commerce,
or ordered by the board of directors
or the chamber.
An auditing committee shall be
nominated by the president at a meeting
of the chamber prior to the annual
meeting, said nominations to be
acted upon by the chamber. It shall
be the duty of this auditing committee
to examine the books and accounts
of the secretary and treasurer
at the close of each fiscal year and
report its findings to the board of directors.
This committee shall further
be empowered to make suggestions
as to the manner of keeping the
books, records, accounts, etc., and the
manner of conducting the business of
the chamber. .
Article VI.?MEETINGS.
Sec. 1. The annual meeting of the
chamber shall be held on the second
Tuesday in February of each year,
at which date the fiscal year shall begin.
Regular meetings of the chamber
shall be held upon dates determined
upon by the board of directors
not less frequently than once in three
months. Special meetings may be
called whenever the directors deem it
advisable. Special meetings of the
board of directors or of the chamber
may be called upon request of ten
members of the chamber.
QUORUM.
Sec. 2. Twenty members shall
constitute a quorum at any regular
or special meeting of the chamber,
and four shall constitute a quorum
ht any meeting of the board of directors.
Article VII.?ELECTIONS.
Sec. 1. The election of directors
shall be held on the second Tuesday
in February of each year.
Sec. 2. At the last regular meeting
of the chamber prior to the annual
election nominations shall be
made from the floor of twenty-five
names of members from which members
may select seventeen for directors.
The secretary shall furnish
each member with a list of these
nominations prior to the election in
suitable form to be used as a ballot.
The seventeen receiving the highest
number of votes cast at the annual
election shall be constituted and declared
members of the board of directors
for the ensuing year. All voting
for directors shall be by ballot.
No proxies shall be allowed.

Article VIII.?DISBURSEMENTS.
No disbursement of the funds of
the chamber shall be made unless the
same shall have been approved and
ordered by the executive committee
