“WHAT HAPPENS AFTER
A MERGER,” by Mrs. Betty
Oliver, Harlan, Inc., of Jack
sonville, Florida.
Definition of merger: Speci
fically, the combination of sev
eral companies, corporations,
etc., in one, as by issuing
stock of the controlling corpor
ation to replace the greater
part of that of the other(Web-
ster’s Dictionary).
Sounds pretty cut and dried,
doesn’t it? But take the case
of several insurance agencies
merging ; there is quite a bit
more than a brief definition in
volved.
The executives of the agen
cies involved, who are the
stockholders, have to plan far
in advance of the actual merger;
the legal aspects and other vi
tal decisions that have to be
made prior to the signing of
papers, taking into considera
tion all of the benefits, etc.,
of their individual agency.
But, consider the office staff
of merging agencies.
Naturally, each “boss” is
concerned as to any personality
or job conflict in considering
the merger. But in the case
of Harlan, Inc., of Florida, made
up of four agencies whomerged
within the past two years, we
have taken the individual talents
of 28 well qualified insurance
women and placed each one in
the position best suited to her
ability.
M^-iy factors were consid
ered in the placement of job
positions, such as background
of experience, years of service
and, of course, age- as it would
pertain to her anticipated length
of service. The personal output
of work was studied to deter
mine range of pay scale and
overall personality as it would
pertain to customer contact
In order to have a smooth
breakdown of Individual agency
barriers and also to have a back
up for vacations and sick leave
we are striving toward an al
phabetical assignments of acc
ounts, to enable the women to
have an overall knowledge of
every phase of insurance, and
not just the lines in which they
have specialized.
In this way we have devel
oped an excellent underwriting
staff consisting of a Personal
Lines Department, a Commer
cial Lines Department and a
Marine Aviation Department. A
uniform filing system has been
adopted and we have combined
our accounting procedures to
the benefit of everyone.
There are unlimited details
involved in a merger of in
surance agencies, suchascorn-
bining insurance formsandpol-
icies, setting up new agency
contracts, licensing of individ
ual agents with nur compan
ies and many other endless
jobs of this nature.
When you take into consider
ation that all these jobs have
to be handled in addition to the
every day work load - and we
all know that insurance takes
constant day-to-day handling
what with renewals, endorse
ments, claims and countless
other problems which arise in
the insurance industry - we feel
this is quite a feat to be proud
of.
All of our staff have pitched
in to solve these problems
together, and it is a pleasure
to have everyone come into the
agency and see our smooth op
eration. We are all personally
proud of our firm and feel that
it is one of the finest in the
country.
