WHEREAS, certain litigation is now pending in the name j|f the Town of Clinton against * its • Mayor and others and the Mayor and Aldermen are desirious of reaching an adjust ment of the differences which now exist amongst them and on the advice, of Counsel for all parties to settle and -end the-pending litigation; all partied fully realizing that such adjustment is for the best interest of the Town: THEREFORE, BE IT AGREED: Sec. 1. Tha': the Mayor and Aider- men recognize iha: under the law of South Carolina, any and all Ordinan ces and Resolutions passed by the Town Council in session assembled or passed by a majority vote of the Town Council in such session assem bled is, and shall be, the law of the Town. \ ] Sec. 2. That Ordinances, copies of which are hereto attached, prescrib ing ttfe general duties of the Mayor and the Town Council, shall be passed by the unanimous vote of the Mayor and the Aldermen. Sec. 3. That upon the adoption of the said Ordinances all of the litiga- shall be given ffbm the time of maHr ing or posting Sec. 4. That, in the absence, disa bility or failure of the Mayor .or Mayor pro tern to attend any regular or special meeting of said Council as hereinabove provided, any four mem bers of said Council shall constitute ? quorum, and may act upon any mat ers properly coming bifore' such meeting. Sec. 5. That on or after the passage ci this Ordinance, it shall be unlaw ful for the Mayor or any other mem ber of the Town Council or any em ployee of the Town of Clinton to au thorize the paving oi any .street ,or sidewalk t or any part of a street or sidewalk or to authorize the extension of any part of the sewer systeAi of the said Town of Clinton or to. put down any new project of water or sewer s;.«tem or to enlarge the light end powe*^ plant, or to extend any street or open u^ any new* street, or ♦o*make any purchases of‘ machinery, equipment, trucks, tractors, wagons, electric light poles, electric wires, coal oi any materials or supplies for the Town of Clinton, either for cash or upon th^ credit of said Town of Clin ton, without authorization therefor by the Town Council assembled, either tion now pending between the. Town ^ a regular or special meeting of and its officers shall be dismissed and ended and all taxable court costs and disbursements in connection with the said litigation, including Attorneys’ fees incurred by all parties, shall be paid by the Town of Clinton. Sec. 4. That all claims against the Town of Clinton heretofore paid fr'om the Town Treasury, whether formally passed upon and approved by the Town Council or not, shall be and the same hereby are ordered approved and the payment of such claims is hereby confirmed. Sec. 5. That all claims for work done or service rendered to the Town of Clthton Or for .material furnished to the Town or for salaries of officials or employees, which have the approval either of the Mayor or the Town Council up to this date, shall' be ap proved and ordered paid by the Coun cil so that all matters in controversy up to the date of this resolution shali be, and are hereby ended and settled/ This shall not embrace contracts for work or services of any kind not ac tually performed, but is intended to cover work actually done, and services actually rendered and ipaterial actual ly furn shed. Sec. 6. That all pending charges of insubordination against the officers or employee* of the Tov/n *are to be dismiso^d, and such officers^ and em ployees as lave been regularly eni- pbn ed by the Town C *ji cil of the Tcwi; of Clinton or pu/suant to il» authorization, are to be. i :tained in the s ervice of tne Town according to the terms of their emph>j inent. That, on or after the pas sage of this Ordinance, it shall be un lawful for the Mayor or any other member of the Town Council of the Town of Clinton or* any* other em ployee of the said Town of Clinton to employ any person or persons'in any department of the Town of Clinton, in any capacity whatsoever, without first being duly authorized to make such employment or to engage such person or persons by the Town Coun cil of said Town Council duly assem bled, either at a regular or special meeting thereof.' Sec. 7. That, on and after the pass age of this Ordinance, it shall be un lawful for the Mayor or any other member of the Town Council of the Town of Clinton or any employee of the Town of Clinton to pay or cause r - r hundred ($100.00) dollara monthly. And the said Water and Light Plant Superintendent is further authorized subject to thcr approval of the Mayor, add day laborers tc employ wee and to replace the same; Provided: The aggregate amount to be paid for such day or weekly laborers does not exceed seventy-five .£$75.00) dollars per week. - Sec. 6. That the Mayor and Town Clerk and Treasurer of said Town of Clinton be and are hereby authorized and directed to issue checks to pay: The weekly street pay-roll not to ex ceed $175.00; to pay the light and power plant pay-roll weekly not to exceed $75.00; to pay .five (5) policemen not to exceed in the aggre gate $590.00 monthly; to pay Street under authority of Town Council, and after approval by the Mayor for any purchase of material or supplies for any department of the Towrf of Clin ton, and all bills, claims or accounts on contracts duly authorized by the Town Council. Sec. 4. That the Committee on Au dit and Disbursemfentsf be and ire hereby authorized and directed to pre- par eami recommend to Town Council a voucher form of check to be used in disbursing all funds of the Town of Clinton, which voucher shall state the nature of the claims or items to be paid thereby and all said voucher checks shall be signed not only by the Clerk and Treasurer of the Town of Clinton but shall be countersigned by the Mayor who shall use one or Superintendent $110.00 monthly; to j the other form of endorsements to fit pay City Engineer $333.33 monthly; the case as below provided: to pay rodman for City Engineer Johnston $100.00 monthly; to pay Water and Light Plant Superinten dent $160.00 monthly; to pay one day man and one night man and an elec trician at power plant monthly ndt to exeeed a total of $315.00; to .pay Town Clerk and Treasurer $110.00 , V/ — * monthly; to pay Mayor's salary of $100.00 monthly; to pay Recorder’s salary $25.00 monthly; to pay each one of the Aldermen monthly $5.00; and all salaries and pay-rolls within limits fixed by Council. An Ordinance to prescribe Rules and Regulafions for Meeting of the Council of the Town of Clinton; to Prescribe the Rules for Purchasing Material and Supplies and Payment, of the Same for and by the Town of Clinton; to Prescribe Rules and Regu lations for the Employment of Police men and other Town Eimployees and to Prescribe the Manrfer of Paying Salaries, Wages and other Expendi tures of said Town. Be it Ordained by the Town Coun cil of the Town of Clinton, S. C., in Council Assembled: Sec. 1. That, on oT after the pas sage of this Ordinance there shall be a regular meeting of the Town Coun cil of the Town of Clinton on the first Monday of each month, at such hour as may be determined upon by the Mayor; Provided: That when the day for said regular meeting shall be ~a legal holiday, the meeting for that month shall be on the Tuesday next ensuing after the first Monday. Sec. 2. That: Four members of thd Council shall constitute a quorum of said Council, and no action on any matter relating to the affairs of the Town of Clinton shall be taken by said Council without a quorum being present, either at a regular or special meeting. Sec. 3. That: The Mayor or Mayor pro- tern in the absence of or disability of the Mayor shall call a special meet ing of the Town Council of the Town of Clinton at any time Upon request of any two or more members of the Council; Provide^: That reasonaWe notice of the time,, place and purpose of ^uch meeting be given to all mem- berft 'of said Council, and provided further: That no matters shall be takeh up at any special meeting of aaid Council except those contained in the notice of said meeting or by the unanimous consent of the said Council present. Provided further, that in the event of an emergency the Mayor upon the request of the head of any Department and with the approval of at least one member of the Committee on Audit and Disbursementz,. shall make, purchase, and employ necessary labor and pay for such work and material and use the same as is heces- sury to properly meet the emergency. Sec. 4. That the Street Superinten dent be and is hereby apthorized sub- ject to the approval of the M^yor, to employ such labor as- is necessary for carrying on the work in his de partment, and to replace such labor; Provided: That the aggregate amount to be paid such labor so employed shall not exceed one hundred seventy- five ($175.00) dollars per week. Sec. 5.
