MICKLE, Ex'r. mar 2P, 1850 . 25 w3m TO THE STOCKHOLDERS OF THE SOUTH CAROLINA RAILROAD COMPANY, At the last meeting of the Board of Directors, held 011 the 20th instant, the following resolutions were adopted: " Resolved, That the exigencies of the Company require that the remaining instalments upon the existing shares shall be called in. " Resolred, That the same Committee be authorized to arrange the details, and advertise the culls, accompanied with an address to the Stockholders explanatory of the advantages of the ! measure " 1 1 lu obeaience to tnese resolutions, we ut-g leave to submit to you a short statement of the condition of yonr affairs; and we hope it will have the effect of convincing .you that the calling in of the remaining instalments is a measure which, though demanded, it is true, by our necessities, is supported equally by the soundest considerations of policy; and we are the more anxious to conviuce you of this, because we earnestly desire a united and spirited co-operation on your part in the measure, as essential to impart efficiency to the administration of our affairs, and sustain, by the confidence it will imply in the enterprise, the market value of your shares. The able report of your own Committee, submitted through their Chairman, Mr. Ravenel, at the last Annual Convention, renders it unnecessary for us to go into any details. It was there shown that the aggregate debts of the Company amounted on the 31st of December, 1849.10 V $3,515,507 Wo held certain securities, Ac. of the amount of 232,030 Which reduces the actual balance of indebted ness to * $3,238,177 The improvement* actually in progress and in contemplation, will require a further outlay of (a* per Mr. llavenel * Keport) 636.000 Forming ah aggregate indebtedness actual and proximate, of $3,919,774 Of this sum there will be paid out of the proceed* of tbe iron sold to the Greenville Company 216,000 | '1 ' ? Leaving finally a debt, permanent and floating, of $3,703,477 This iff the difficulty with which we have to : contend. The Board caused an elaborate report to be prepared and submitted to 'them by this Committee; and though predetermined against calling in the instilments, after a careful r.onsddc.ration of that renort. and natient in? vestigation and discussion of the subject in all its bearings, their judgment became entirely convinced that it was a measure imperatively demanded by the emergency, and strongly sustained by wisdom and prudence. We will endeavor to show you what the operation will be upon your present condition and future prospects. We estimate the average gran* income at $1,000,000 Tim current expenses at 45 per cent $450,000 The reserved fund for wear and tear of iron and machinery at 15 per cent. 150,000 600,000 Leaving for the nett annual earnings $400,000 To payo per cent dividend and interest on $6,600,000 will require 306,000 By this measure, then, we shall be enabled to pay ail pressing demands against tnc company ; fix definitely the extent of the debt to be funded, and eventually discharged, by a new issue of stock ; complete all the improvements in progress, and bring the capabilities of the Road into full and efficient action; enter upon the payment of regular and certain dividends, and give the shares an appreciable and permanent value. Relying upon the soundness of these conclusions, the Board have instructed us, in announcing the call of the instalments, to apprise you also of the confident expectation they entertain that in July next they will commence, and continue regularly, as they believe, the payment of semi-annual dividends out of the earnings of the Company; and we are directed to express the hope that this statement of your affairs will inspire you, as it has them, with renewed confidence in the enterprize, and prevent any sacrifice of the shares. The moderation of their views does not permit them to encourage the expectation of larger dividends than 0 per cent bat even the most prudent will readily nd mit that it is very far from unreasonable to expect that the income will be greater, and the expenses less, than the sums stated in the foregoing estimate : results that would, of course, materially enlarge the dividends, particularly as the interest on the permanent debt would be stationary, It will also be borne in mind, that very great extensions of our communication will soon take filfc'ce by the Greenville and Anderson, Charotte and Manchester Roads, and by the Roads in Upper Georgia, Alabama and Tennessee, which are coming to completion, and that very considerable additions to the transportation and travel, and consequently to the profits of our Road, must, hereafter, result from their completion. The extent of the future increase of income from these sources, we do not pretend to estimate; but every intelligent mind will perceive its bearing upon the present value of our shares. ?' With these results in prospect, not a share ought to be sold at any sacrifice, nor should necessity force any to make such sacrifices.? Money is abundant everywhere, and cannot be scarce here. This is a great public work, in which the State, the City, and many of our Banks and other public institutions, are largely interested; and those private stockholders who require some aid to meet this call, cannot, under such circumstances, nnd at such a time, fail to obtain it.
