faithfully conducted adventure come in last for losses, gains, or liabilities, as the case may l>e. 1 J J iL. 1 A ,* UovoVinf i mil persiiancu uiui me oiuuaiiiuucn) uaiv uv taken tliis view of the matter. No administra! tio:i of its affairs could be expected in a few years to pay for seven millions of dollars worth of property with on^y three millions of dollars to commence upon. This would be unprecedented, no skill could hope for it. There is about 39,000 shares, or less than ! 3,000,000 of dollars paid, and near that whole amount was paid for the Hamburg road. The late President of the Company estimates the property at about $7,000,000, and the debts at over S3,000,000. Taking this estimate as correct, nothing has been lost; there is an annual nett income of over 400,000, or upwards of 13 j>er cent, on the amount of stock held. In the discussion on the report alluded to nhove, ana in tnc report iisen, it seemeu m me as if 110 one was over desirous to call in the $*2T), if there was any other way to relieve the Company from their embarrassments, and thus enable its business to go on successfully. My particular attention being directed to the whole subject,'as a citizen of the State of South Carolina, and us one. incerely desiring the good f all the (Kirties co :c rued, I beg leave to submit, with the utmost deference, to the Directors and Stockholders the following suggestions, which strike inv mind as worthy of consideration, and if carried out cannot fail to place this cherished enterprise, this great Carolina undertaking, on a solid basis. Let the Stock of nearly 1,000,000 now in the S. VV. rail road hank be transferred to'the road. Wind up the Bank itself, for it is a useless appendage to the road, and quite unnccssarv to r the trading community of Charleston. And j then the 34,000 shares -held now in the road j and bank, which cost 100, will he bona-fide | rail road stock, and the 4,000 shares at 875, | >e raised to 8100 each :fs the parties see ! proper; if they remained at 875 make the dividend in proportion. This plan, or something lilrn if u-milsl mtikp flip rfnclf rfpnipillilp. unable or unwilling to pay up the balanccTof $25, could sell out at or above par, and the investment being then a good one, purchasers M ould soon make it full. 'Illis arrangement would effect to do away with the mongrel rail road and rail road Bank Stock all the Stock would be rail road Stock, and all the Stockholders have one interest, and no more payments be required. All the money subscrilied lor rail road should lie |>|>licHi to rail road purposes. Place the road on this fair, firm footing, and k ihust become the very best stock in the country, with an annual grossi ncome of about 1000000, which will increase every year, all the debts can be paid off in good time and six per cent dividends made upon the capital stock. Great complaint has been made almnt the mismanagement r of the road, which if admitted, must weigh strongly in favor of my plan, for with all that, the road has paid a better per centage than the hank. I apprehend the debtors to the Bank might object to the call on them for payment, but they have to_pay - finally, and it is much better that *1 ." ...l i a uit*> oiiuuiu pa> uji, wiiu na>c aiuv it*gcncu, than that the stockholders should pay more, who have paid so much already. No distress can come from this course, only among the debtors to the batik, and if they can't pay now, they never can pay. Of course, they should have as much time as the iudispensible necessities of the road will admit. Great clamor has been made about the union Afi. r.L. .wl ! ..* i ui uaim anu juiiv, ua w i uiijj m pi uiuijmc <um false in policy, urging an instant separation, while there is at least as much, if not more reason for the separation of road and hank in our case. There is no necessity for a hank to do the baukiug-busiuess of the road, any other hank in Charleston could attend to it as well, even the much ahused bank of the Shite, could he made our fiscal agent with as much propriety, as we, the people, are the real owners of both. It looks like strange inconsistency in an in corporation, taking the road and hank as one lending out money and realizing thereon four per cent per annum, and borrowing money at tlie same time at six jkt cent per annum. The history of our rail road reads curiously chartered to run from Charleston to Cineiunatti, Ohio, commenced business with two banks, and ItOUCrht n third hntilf in ( Snnrirhi Kmnrlit nmitli. 0- ... o" er rail road charter and property at about as much as the whole amount of stock subscribed a small capitol with a large credit, and most nuignificent undertakings, really, the wonder is, when all things are considered, that we find its condition as good as itris. The South Carolina rail road cnterprize is a glorious one for our State, and every man in the State should feel proud of it. The Stockholders are not the only men interested, but the publie, the character of the State, the spirit of the age is concerned, and great sacrifices and inconveniences would be submitted to rather than see it fail; but our aim is to nrevent its failure, and preserve ourselves nt the same time. I have no other motive in urging the extinguishment of the hank, and the addition of its means to the road, than what I consider the good of all nor do I urge it farther, than to a full, deliberate consideration ; if found as 1 think it, the proper course, let it Ik? adopted, if another and a la'tter one is offered, of course we will adopt that. In this rather lengthy communication, I have merely glanced at several points of the subject, with the hope that others more competent than myself will take them up for discussion. I'll rnnvTiiv SOLON ROBINSON, ESQ.
