COLUMBIA, B. G., August 12. 1672. Hon. F. L. Cardoso, Secretary of Stats. SIB: Your extraordinary letter of Au gust 6, addressed to your attorneys, Messrs. Melton and Corbin, relative to yonr connection with the financial trans notions- of the State and a treatise upon constitutional law, &o., ?co., is before me. I will reply briefly to that portion of it devoted to myself. First, yon say, "that in November, 1870, I (you) began to suspect that the conversion bonds that bad been sealed by mo (you) wore not being nsed for tbe purpose for which they were intended." My only reply to this weak and absurd statement is, that there never was a con versioti bond sealed by you; that you did not know for what purpose it was sealed, or might bave known, bad yon desired to do so. If you did not know, it was your own fault, the proof of wbiob is ample. Second, concerning the sterling bonds authorized by Act of the General Assembly, session of 1870-71, you have made so many ridiculous assertions, un? substantiated by a single line of testi? mony, that I pronounce all yon have written upon tho Bubjeot, except upon two points, as pure invention, and leave the public to judge of your motives. Upon the two points referred to, I have only to say to the first statement, "thal you sealed $3,500,000, and refused tc seal any more," the first part-viz: thal you sealed $3,500,000-is correct. Th? other part of the statement is falso, ai you were never asked to seal any more as they were never taken from the Ame rican Bank Note Company, for signatnn or sealing. This does not rest upon nr statement alone; there is proof of th? fact, which I will furnish, if you an bold enough to deny it. The second statement, "that theTrea surer or Finanoial Board meant to hypo thecate the entire $6,000,000 of thea bonds, as late as March last, without th knowledge of the Sterling Fund Board and were only prevented from doing B by the timely repeal of the Aot and oan collation of the bonds by authority c the Legislature, " so far as 1 am con cerned, both as Treasurer and membe of the Financial Board, I pronounce th same to bo false; and for proof of m assertions, I refer to Governor Scott an Attorney-General Chamberlain as evi dence. I will add, furthermore, that all thea bonds were in my possession, in charg of the American Bank Note Company in New York, from tho date of thei preparation, after they had received th seal of the State, until just before th General Assembly adjourned in Marc last; and that at no time did I conten plate tho negotiation or sale of them i any manner whatever, nor did I or tb Financial Board attempt so to do. defy proof to the contrary, and charg you with either entire forgetfulness or wilful perversion of the truth. In regard to your statements relatn to sealing bonds in the month of "Ooti ber, 1871," and following down to tl period of the passage of the Yalidatin Act, so far as it relates to conversation purporting to have taken place betwee yourself and myself, I have only to sa; that I will not admit that there is ac truth whatever in the words that ye have put in my mooth. But it is imm teri al to the public what may have bec said by yon or myself upon the subjec acts and facts aro what the public wan You declaro, with great apparent sel oomplaoenoy, that "since October 1871, you have not sealed a single bom though repeatedly requested to do so to which I reply, that you have nev refuaod to seal any bonds presented you since that period, nntil those nc belonging to Messrs. Morton, Bliss Go. were presented, as I have had < band all the bonds that I required f conversion, already sealed by you, ai still have some for that purpose, but n OBufiioient number to meet the demai above alluded to. You then go on to state what langua you used to the State Treasurer, ai what he used in reply, in reference the conversion and disposition of bone all of whioh rests entirely npon ya statement, unsubstantiated by evident and ia unworthy of notice. Whetbe Used the language you impute to me not, is of no consequence to the prof interpretation of my acts, and no g< tletnan would have dragged such irre vant matter bef?te the public. "SEC, 2. That the acts of thc otf of this State authorized under tho visions of tho laws of thia State, an tho aeveral Acts hereinbefore rofcrre to tho oxtent of all issues of bond obligations enumerated and set fort the said report of the Treasurer, bo aro hereby in all things ratified, firmed nnd established. "SEO. 3. That each and all tho b named in said annual report of tho '. surer of this State for tho fiscal ending Ootober 81, 1871, be, und the1 same are hereby declared to be, legal and valid bonds of the State of Sooth Caro? lina, for the payment of which the faith, credit and funds of the State have been, and are hereby, pledged: Provided, That no bonds be included which are not registered in the Treasury at the time of the passage of this Act, as pro? vided for by Section 14, Article IX, of the Constitution, relating to ?uance and taxation." lt further Bays: "SEO. 8. The Governor is hereby au? thorized and required to sign nil of the bonds named iu this Act. The State 2'reasurer is authorized and required to countersign the same. And the Secretary of State is authorized and required to affix the seal of the State to the Bame without delay: Provided, That no bonds shall be ' signed by the Governor, or countersign? ed by the Treasurer, except for the con? version of bonds and stockB already issued pursuant to law." The bonds wbioh yon assert to have1 been illegally issued, therefore"are de? clared by the foregoing sections to be "duly and lawfully issued in conformity I with the true intent and meaning of the I several Aots of the General Assembly. " Perhaps the Legislature will be consi? dered quite as good authority as your? self. Your remarks upon the legal aspects of the case might as well have been loft ] for your attorneys whom you have em? ployed to conduct it, ono of whom you yourself eaid you "felt free to inform me, gave it as bis opinion that the courts ! would, if asked, require you to seal the \ bonds." 1'ue absurdity of addressing a letter to your attorneys, and parading before them your opinion upon constitu? tional law, needs no comment. The reauon why you have noted against the advice of your ablest counsel, must be apparent at this limo to any ono at all acquainted with you and your latest ambition.
