AH ACT TO INCORPORATE TBS DARLINGTON LAND JOINT STOCK AND LOAN ASSOCIA? TION OT DARLINGTON, SOUTH CAROLINA . . SECTION 1. Be ii enacted by the Senate and House of Representatives of the State of South Carolina, now met and sitting in General Assembly, and hythe authority of tho1 same, That Richard H. Humbert, T. O. Cox, S. J, Keith, J. A. Smith. Wm. Braley, J. A Williamson, P. 0. Fludd, Alfred Hart, Edward Mickey, A. P. Fozd, Richard Ford, F. J. Pugh, Adam Brio ton, Wm. Grand, J. D. Warley, A. ?Singleton and J. W. Thomas, to ge? er with suoh other persons as now are, or hereafter may be, associated with them bo, and they are hereby, declared . a body politic and corporate, for the pur? pose of buying and holding real estate in the County of Darlington, or at any point within the County, or the State of South. Carolina, and making loans of money, secured by mortgages of real estate, and the hypothecation of bonds, stocka and other choses in aotion, and personal property, to its members and stockholders, by the name and style of the "Darlington Land Joint Stock and Loan Association of Darlington, South Carolina." The capital stock of said as? sociation to consist of five thousand shares, of the value of twenty-five-dol? lars per share, but as soon as two thou? sand shares shall have been subscribed thereto, the said association shall organ? ize and commence operations, said shares to be paid by successive monthly instalments of one dollar on each share so long as the said association Bhall con? tinue; the said shares to bo hold, trans? ferred, assigned and pledged, and the holders thereof to bo subject to such fines, penalties and forfeituros, for de? fault in their payments, as the regula? tions and by-laws of the said association may prescribe. SEC. 2. That tho said association Bhall have number and saccession of officers and members as shall bo ordained and ohosen, according to tho rules and by? laws made, or to be made, by them for their government; and shall have power and authority, from time to timo, and at all times, to make such ralos and by? laws as are not repugnant to tho Consti? tution and the laws of the land; to have and keep a common seal, and to alter the samo at will; to sue and be sacd, im Iriead and bo i m pleaded, in any court of aw or equity in this State; and shall have and enjoy every right and privilege inoidont and belonging to corporate bodies, according to tho laws of tho land. SEC. 3. That the funds of tho said as? sociation shall be invested either in the purchase of real estate, in tho County of 'Darlington, South Carolina, or in any County or sub-division of tho State of South Carolina, whioh shall be rented out or leased, or sold and conveyed, to the members and stockholders of said oasooiation, upon snob terms and condi? tions as, from time to time, may be pre? scribed by its roles and by-laws, or be loaned oat and advanoed to tho members and stockholders thereof, upon the se? curity and by hypothecation of real es? tate in tho County of Darlington, or any other sub-division of the State aforesaid, or bonds, stocks, or choses in action on personal property, on suoh terms and conditions an. from time to time, may be prescribed by the rules and by-laws aforesaid. And it shall and may be law ful for tho said association to hold and enjoy, for tho mutual benefit of its mem? bers and stockholders, all such lands, tenements and hereditaments as may bo bona fide purchased by and conveyed to it; or as may be mortgaged to it, by way of security, upon its loans and advances; or as may be purchased by, or trans? ferred and conveyed to it, at sales undor judgments or decrees, at law or equity, for securing, or recovering, or in com? promise settlement of any debt cr debts due to it; and to sell, alien, barter, ex? change, convey, mortgage, or otherwiso _-I dispose of tho same, from time to time, ana -whenever deemed expedient. SEO. 4. That if any of the fonda of the said association shall remain unpro? ductive, or uninvested and unneeded, or uncalled for,' for tho s pao o of two months, by ita own members and stock? holders, it shall bo lawful tor the said association to lend out what moneys may be on hand to others than stockholders, at snob rates of interest (on such secu? rity, whether of mortgage or real estate, choses in action, or other personal pro? perty) ss may be agreed on, to be safely invested, to be repaid within one year. SEO. 5. That, whenever the funds and assets of the said association shall have accumulated to such an amount, that, upon a fair division thereof, such stock? holders, for each and every share of stock held by him ot her, shall have re? ceived, or be entitled to re?oive, the sum of two hundred dollars, or the value thereof in property or assets, and such division and distribution shall have been made, then the said association shall cease and determine: Provided, however. That in case, the said association shall not have dosed its operations and affairs, as above provided for, within a shorter period, then this Aot shall not continue in force beyond twenty years. SEO. 6. That if any officer or sab officer of the said association shall uso the moneys of said association, other than those prescribed by this Act, he shall, on proof thereof, be deemed guilty of a misdemeanor, and sentenced to pay a fine of twice the amount of money so appropriated, and imprison? ment for a term of not lees than six months. SEO. 7. This Act shall be deemed a public Aot, and be given and received in evidence without being specially pleaded. Approved March 13, 1872. AN AOX TO ESTABLISH A COMPANY UNDER THE NAME OF THE SULLIVAN'S ISLAND FERRY COMPANY, AND TO MODIFY THE CHARTER OF THE MOUNT FLEAS ANT FERRY COMPANY, AND FOB OTHES PURPOSES. SECTION 1. lie ii enacted by the Senate and House of Representatives of the State of South Carolina, now met and sitting in General Assembly, and by the autiiority of the same, That Douglass Nesbitt, John B. Conner, D. F. Fleming, Henry Jones, William Gregg, Charles J. Andell, W. B. Jervey, and other such persons as may beoome members, be, and they are hereby, declared a body politic and cor 8orate, by the name of the Sullivan's aland Ferry Company, for the purpose of convoying passengers and transferring goods, wares and merchandize between the oity of Charleston and Sullivan's Island, in the County of Charleston, and between the said city and any other place or placen; and by that name may sue and be sued, plead and be impleaded, in any court in this State; may have a com? mon seal; may purchase, hold and con? voy real estate to any amount not ex? ceeding forty thousand dollars; and may have and enjoy all the rights, powers and privileges inoident to a corporation. SRO. 2. That the capital stock of said company shall be thirty thousand dol? lars, with a privilege of increasing the same, from time to time, to any amount not exceeding ono hundred thousand dollars. And every member of the said company shall be individually liable for all debts contracted during the time he shall be a member or share-holder in the said company to the extent of tho par value of his or her shares in tho samo, and shall be answerable in any action at law thereof, against him or her, notwithstanding tho non-joinder of tho other sharo-holders or any of them, at any time after tho return of 7iulla bona may have boen mado by tho Sheriff of Charleston County, upon any execution issued against tho said company. But nothing herein contained shall bc con? strued to deprivo auy of tho sharo-hold? ers of any equitable rights against tho creditors or the share-holders of the said company. SEC. 3. That tho first mooting of tho said corporation may bo called by tho persons, or a majority of them, named in this Act, at such timo and place as they may think fit, after duo public notico thereof. And at said meeting, or any subsequent meeting, said corpora? tion may make, alter, amend or repeal such by-laws und regulations for tho organization of tho sumo, and tho ma? nagement of the business thereof, as a majority of tho stockholders may direct: Provided, The same bo not inconsistent with, or repugnant to, tho Constitution and laws of this State, or tho Unitod States. SEC. 4. That this Act shall bo taken and deemed to be a public Act; shall bo and continuo in force for tho term of fourteen yearp. SEC. 5. That the several Acts of De? cember 2?), 185G, and of December 21, 18G5, relating to tho charter of thc Mount Pleasant Ferry Company bo, and tho samo aro hereby, repealed; and all Acts and parts of Acts inconsistent with this Act ure hereby repealed.
