In the election of President and Direct? ora, in the establishment of the by-laws, and all other acta to be done by tho stockholders, in their corporate capacity, each stockholder shall be entitled to one vote for every paid-up share of the stock subscribed by him. SEO. 7. That, for the purpose of ac? quiring suoh lands or right of way as they may. require for the location and construction of the said railroad, with auch depots, warehouses, stations, wharves, and other necessary establish - monts, or for extending or altering the same, the said company shall have every right, power and privilege heretofore granted to and which is now or has been uBed or enjoyed by any railroad com? pany heretofore incorporated in either of the States aforesaid; and shall also be entitled to the use and benefit of every process and proceeding provided by law for enabling railroad companies, in either of the States aforesaid, to obtain such lands or rights of way as they re? quire, in oases in which tho consent of the owners cannot be obtained. And the said company shall have the same exclusivo right of transportation on their railroad whioh is possessed and enjoyed ? by any other railroad in either of the aforementioned States. And persons trespassing, intruding or wilfully de? stroying any of tho property of the said company, shall be liable to all penalties to whioh persons wilfully destroying, damaging or obstructing any other rail? road, or parts or parcels thereof, are made liable by any law in either of the States aforesaid. And the said company shall have the same presumptive right and title, and to the same extent, to lands through whioh their railroad may be built, in absence of any agreement with the proprietor or proprietors ol such lands, whioh is possessed or en? joyed by any other railroad, in thc States mentioned above, as to the lands through which their railroad may have been or may be constructed, in absence of any contract with the owners thereof, SEO. 8. That it shall be lawful for the said company to increase their capita' stock to any amount not exceeding twe million dollars, ($2,000,000,) by receiv? ing subscriptions for additional shares on such terms and conditions as thej may think proper to prescribe; and als< to borrow money for tho purposes afore said, on suoh terms and at suoh rates o intereat, as they may think proper. ?SEO. 9. Subscriptions to the stock o said company bhall be payable by icstal menta.of five ($5) dollars on each share after paying first instalment aa aforesaid andjat intervals of not less than ninety days, under suoh regulations as may bi prescribed by the by-laws. Publii notice of the time and place of paymen of eaoh instalment shall be given a least twenty days beforehand; and, ii case any instalment or any share remaii nnpaid for the space of thirty days af te the time for paymont thereof, the nhar shall be forfeited and vested in said com pany, and the defaulting stockholder re leased from all obligations to pay th amount unpaid on the forfeited share The shares of the capital stock of sai< aompaoy shall be personal property ond shall be assignable and transfera ble, in suoh manner, and under enc regulations, as may be proscribed by th by-laws. SEO. 10. The President and Director ef the company shall have authority t execute all the powers hereby granted t said company, subject to such limiti tiona and restrictions ns may be impose by the by-laws. There must bo a annual meeting of the stockholders, t sich time as may bo appointed by tb by-laws, at which the President and D rectors shall mako a report, in writinj o? the affairs and condition of the cou pany, whioh report shall bo publisbe in a newspaper, of eaoh of the Stat aforesaid.
