AN ACT TO AUTHORIZE THE FORMATION OF, AND TO INCORPORATE, THE LAURENS AND ASHEVILLE RAILROAD. ' SECTION 1. lie il enacted by the Senate and Ho- te of Representatives of the State of Sou . Carolina, now mel and silling in Genero Assembly, and by the authority of the same, That J. R. Fowler, William Mills, Laason Owens, Samuel Fleming, Wm. H. Langston, Y. J. P. Owens, J. Crews, W. E. Earle, Thomas M. Cox, Alexander Isaacs, Wilson Cook, Alex. MoBee, H. P. Hammett, L. Williams, Hewlett Sullivan,"James P. Moore, and their associates and successors, bo, and they are hereby, decltred a body politic and corporate, under the uumo and stylo of the Laurens and Asheville Railroad Company, for the purpose of construct? ing a railroad from tho town of Laurens to the towu of Greenville, and thonco towards Asheville, N. C., by the most direct and passable rou to. SEC. 2. That, for tho pnrposo of rais? ing the capital stock of said company, it shall bo lawful to open books, at tho town of Laurens, under the direotion of J. R. Fowlor, Wm. Mills, Lanson Owens, Samuel Fleming, Wm. H. Langston, Y. J. P. Owens and J. Crews; at the town of Greenville, under W. E. Earle, Thos. M. Cox, Alexander Isaacs, Wilson Cook, Alex. MoBee, H. P. Hammett, L. Wil? liams, Hewlett Sullivan and James P. Moore; and at such other places, in. the Counties of Laurens and Greenville, and under the direotion of such other per? sons, as the commissioners in tho re? spective Counties heroin abovo named may designate, for the purpose of secur? ing subscriptions to an amount not ex? ceeding two million five hundred thou? sand dollars, in shares of ono hundred dollars eaob, to constitute a joint capital stock, for the purpose of constructing and carrying into operation the said railroad; and on each share of indi? vidual stock the subscribers shall pay to the commissioners, who shall be author? ized to take the same, tho som of five dollars, lawful money of the United States. SEO. 3. That when tho sum of ono "hundred thousand dollars shall have been subscribed in the manner before specified, the subscribers shall be, and they are hereby, declared a body corpo? rate, to be known by the name and style of the Laurens and Asheville Railroad Company, and may meet and organizo said company, at suoh time and place, as may be designated by the commis? sioners, for the town of Laurens herein? before named. SEO. 4. That, for tho purpose of or? ganizing said company, all such powers as are conferred by the charter of tho Greenville and Columbia Railroad Com? pany on the commissioners at Green? ville, shall be, and are hereby, conferred on the commissioners herein appointed, at the town of Laurens; and all the powers, rights and privileges granted by the said charter, and its amendments, to the Greenville and Columbia Railroad Company, shall be, and they are hereby, granted to the Laurens and Asheville Railroad Company, and subject to like restrictions as are therein contained, ex? cept as to tho capital stock, tho sum ne? cessary to authorize organization, and the amount of shares, except so far as may be necessary to conform to the spe? cial provisions of this Act: Provided, however. That nothing herein contained shall be so construed as to bind the State to subsoribo stock in said company, or make any appropriation to enable the said company to build said road, or in any manner to loan the credit of the State thereto. SEO. 6. Be it further enacted, That il shall be lawful for any County, town? ship, town or oity in thia State, inter? ested in the construction of tho said railroad, to subscribe to the capital stook of said company such sum as the majority of the voters of such County, township, town or city may authorize their constituted authorities to subsoribo and the Chairman of the Board of Coun ty Commissioners of any County, or the Mayor or Intendant of any town or cit} in this State, when instructed by r?solu tion of a convention of tax-payers o such Couuty, township, town or city said convention to be called, after rea sonable notice, by the Chairman of th? Board of County Commissioners, or the Mayor or Intendant of tho town or city upon tbe application of not less that ten tax-payers, in writing-io hereby re quired to submit the question of ann subscription, and tho amount to bo sub scribed to the said road, to a vote of th legn? voters thereof, the said Mayor Chairman or Intendant to designato th preoincts for voting, and to appoint suit able managers to conduot the same, an deolnre tho result. SEC. 6. That if any County, township town or city shall make a subscriptio to said road, as provided in tho foregc ing H ec t?o ? i said subscription shall b raised by taxation, in annual instalment' of not loss than ten nor more than twei ty years, as the pooplo may authorize i the vote aforesaid. SEC. 7. That whenever any subscrir tion shall bo made by any County, towi ship, town or city to said road, as afon said, tho County Auditor, or other o floe discharging tho dutios of Count Auditor, skull assess annually, upon tl: tax-payers of such County, townshij town or city, such per centum as mn be necessary to raise tho annual insta ment required by said subsoriptioi which shall bo known and styled in tl tax books aa the said railroad tax, which shall be collected by the County Trea? surer, under the sumo regulations BB are provided by law for the colleotion of the State and County taxes, and which shall bo paid over by said County Treasurer as soon aa collected to the Treasurer of said Railroad Company. SEO. 8. That, upon tho payment of said annual railroad tax by tho tax-pay? ers, the County Treasurer, or other of? ficer collecting said tax, Bhall give to each tax-payer a certificate of tho amount paid by him on said railroad tax, which certificate shall be convertible into stock in said Railroad Company, at par, in tho hands of said tax-payer or tho bearer thereof, when presented to the company for that purpose. SEO. 9. That, iu all conventions of the stockholders of said company, such County, township, town or city, BB may subscribe to tho capital stock thereof, may be represented by not less than three nor moro than fivo delegates, who shall represent such portion of tho sub? scription of the said County, township, town or city, ns moy not hayo been con? verted into individual stock, by the cer? tificates of the tax-payers aforesaid; and said delegates may bo appointed in pri? mary convention of tho tax-payers of such County, township, town or city, os tho case may bc, in such manner us tue said conventions may determine; and for this purpose, tho Chairman of the County Commissioners of any County, or tho Mayor or Iutendant of any town or city, in which such subscriptions may be made, is hereby required to call a convention of such tax-payers, at least ten days before the meeting of any con? vention of stockholders of said company to which tho delegates aro to be ap? pointed. SEO. 10. That said company is autho? rized to receivo subscription to its capi? tal stock in lands or labor, as may be agreed upon botwecn said company and said subscribers, uud may acquire, by grant, purchase, leaso or otherwise, any estate, real or personal, whatsoever, and tho samo to hold, use, sell, convey and dispose of, as tho interest of said com? pany requires. ??EC IX. That ' tho County Commis? sioners of tho Counties of Laurens und Greenville, and tho proper authorities of tho towns and villages iu the Couutius subscribing to tho capital stock of tho said Laurens and ?soovillo Railroad, be empowered, as soon as tho said company shall have complied with tho terms of subscription of any of tho above-men? tioned Counties, towns, cities or villages, and said subscriptions accepted by said company, then the said County Commis? sioners of such County, or tho proper authority of such towns and villages, are authorized and required to issue bonds to the amount of said subscrip? tion, and to have levied and collected, par to par, on all taxablo property in said County, \owns or villages, a sum of money sufficient to meet the interest ac? cruing on such bonds ns may bo issued to meet such subscription to tho capital stock of said Laurens and Asheville) Railroad Company, and to provide for the payment of such bonds ns they may lill due. SEC. 12. That tho said company be, and they aro hereby, authorized to issue first mortgage bonds in an amount or amounts not exceeding twenty thousand dollars per mile, for each and every mile of the said road, as Boon as each milo of the same shall .bo completed, and so on until the completion of the entiro road. Be il enacted by the Senate and House of Representatives of the State of South Carolina, now met and sitting in General Assembly, and by the authority of (he same, That Thomas Middleton, Roll? ing Mathas, Abram Deas, their associ? ates and successors, aro made a body corporate and politio, under tho name and stylo of tho Salem Presbyterian Church, of Wadmalaw Island, South Ca? rolina, with all the powers now granted to or vested in Buch like corporations by law; to sua and bo euee], plead and be tLipleaded, and to havo n common seal, tc alter at will; and make such rules and by-laws to govern tho corporation afore? said, not repugnant to the laws of this State. Ba il enacted by the Senate und House of Representatives of the State of South Carolina, now met and sitting in General Assembly, and by the authority of '.fte same, That tho Wutoreo Presbyterian Church, of Fairfield County, ia hereby incorporated, with all tho rights and pri? vileges awarded to religious denomiua bions in this State. SEO. 2. That tho said church may acquire property, real ami personal, for religious and educational purposes, and may dispose of, regulato and govern the same as they may deem proper, in ac? cordance with their laws and discipline, such laws not being inconsistent with the laws of tho State. SEO. 3. This Act shall bo deemed a public Act, and shall continue in force until repealed.
