Be il enacted by the Senate and House of Representatives of the State of South Carolina, nora met and sitting in General Assembly, and by the authority of the same, That all persons, citizens of ' tho State of South Carolina, who are now, or may hereafter become, inhabitants of the town of Townville, in the County of Anderson, shall be deemed, and are hereby declared, a body politic and cor? porate, and that said town shall ho called and known by the name of Town? ville; and its limits shall be deemed and held to extend one-half mile in every direction from the Townville Baptist Church, in said town. SEC. 2. That the said town shall be governed by an Intendant and four Wardens, who shall be elected on the first Wednesday in April next, on which day, as well ns on the first Wednesday in April of every year thereafter, an elec? tion shall be held for an Intendant and four Wardens, who shall bo citizens of the State of South Carolina, and shall have been resident in the said town for sixty days immediately preceding sp.id election, at such plaoe in said town as the Intendant and Wardens shall desig? nate, ten days' notioe, in writing, being previously given. That H. R. Vandi ver, B. F. Gantt, W. J. Harbin and J. W. Spearman be, and they are, appoint? ed a Board of Managers, to hold the first election under this Act. That all male inhabitants of the said town, of the age of twenty-one years, who have re? sided therein sixty days previously to said eleotion, shall be entitled to vote for said lutendant and Wardens; and the eleotion shall be held from nine in the morning until three o'olook in the afternoon, when the polls shall be closed, and the Managers shall publioly count the votes, and proclaim the elec? tion, and give notioe thereof, in writing, to the persons elected; und that the In? tendant and Wardens, for the time being, shall appoint the Managers to hold the ensuiug eleotion, at least twenty days prior to the day of election; that the Intendant and WardenB, before en? tering upon the duties of their offioes, shall take the following oath, to be ad? ministered to the officers first eleoted by some officer duly authorized to adminis? ter an oath, and by the outgoing In? tendant to the Intendant and Wardens thereafter elected, to wit: "As Intendant (or Warden) of Townville, I will equally and impartially, to the best of my skill and ability, exercise the trust reposed in me, and will use my best endeavors to preserve the peace aud carry into effect, according to law, the purposes of my appointment: So help me God." SEO. 3. That in oaso a vacancy shall occur in the office of Intendaut, or any of the Wardens, by death, resignation, removal from the State or town, or from any other cause, an eleotion shall be held by the appointment of the In? tendaut and Wardens, or Wardens, as the case may be, ten days' notice there? of, as aforesaid, being given. Aud in case of the sickness or temporary absence of the Intendant, the WardenB forming a Council shall be empowered to elect one of their number to act as Intendant, during such sickness or absence. SEO. 4. That tho Intendant and Wardens, duly eleoted and qualified, shall, during their term of service, seve? rally and respectively, be empowered to preserve the public peace, within the limits of said town; and the Intendant shall, as often as occasion may require, summon the WardenB to meet him in Connoil, a majority of whom shall con? stitute a quorum for the transaction of business, and shall be kuown by the name of the Town Council of Townville; and they and their successors ia office shall have a common seal, and shall have power and authority to appoint, from time to time, such and so many proper persons to act as marshals and policemen os they shall deem necessary and proper; which officers shall have ail the powers, privileges aud emoluments, and bo subjeot to all tue duties, penal? ties and regulations provided by tho laws of this State for the oflico of con? stable. And the Intendant and Ward? ens, in Council, shall have power and authority, under their corporate seal, to ordain and establish all each rules, by? laws, respecting the streets, ways, public wells or springs, or fountains of water, markets and police of the said town, and for preserving health, peace, order and good government withiu tho same, j as they may deem expedient sud proper; and tho said Council may affix fines for offences against such by-laws and ordi? nances, and appropriate the samo to the use of the corporation, but no flue shall exceed twenty dollars; all fines may be recovered by an aotion for debt before the proper tribunal. SEC. 5. That the said Council shall have power to abate and remove nui? sances within tho limits of said town; and, also, to olassify and arrange tho in? habitants liablo to police duty, and to require them to perform such duty as occasion may require; and to enforco the performance thereof by appropriate penalties: Provided, ahcays, nevertheless, That the said Town Goaooil shall have power to Compound with persona liable to perform snob 'duties, upon such terms as tboy shall, by ordinance, esta blieb. SEO. 0. That it shall be the duty of tbe Intendant and Wardens to keep all streets aud ways, which may be necessary for public use, within tho limits of said town, open and in good repair; and for that purpose, they aro hereby invested with all the powers, rights and privileges granted, or that may hereafter be grout? ed, by law, to the Count; Commission? ers, within tho limita of said town. And for any neglect of duty, eoid Intendant and WardenB shall be liable to the pains and penalties imposed by law upon the County Commissioners for like neglect. And they are hereby, individually, ex? empt from the performance of road and police duty; and tho inhabitants of said town aro hereby exoused from road and police duty without tho limits of said corporation. SEO. 7. That the said Iatondaut and Wardens shall hove power to compound with persons liable to work on said street? and ways, and to release auch persons therefrom as may desire it, upou tho payment of snob sums of money as said Intendant and Wardens may d?eni a fair equivalent therefor, to b? applied by them to the UBO of the said corpora? tion. . ;. .'. , SEO. 8. That tho eaid Town^Oopocil of Townvillo shall also be empowered to re? tain, possess and enjoy, for tho uso and benefit of said town, all such property as they may now be possessed of or enti? tled to, or which shall hereafter be given, bequeathed to or in any manner acquired by them in their corporate ca? pacity, and to sell, alien or in any way transfer the same, or any part thereof: Provided, The amount of property so held or stock invested shall, in no case, exceed the sum of ten thousand dollars. SEO. 9. That tho said Town Council ol Townvillo sholl also have power to im? pose an annual tax on all real and per? sonal property within the cor po ra tr limits cf said town, except the property belonging to churches and sobools: Pro? vided, Said tax shall not exceed ter cents on the hundred dollars. SEO. 10. That the Intendant aud Wardens of the town of Townvillo sha)] have power to regulate sales at auction within the limits of said town, and tc grant licenses therein to auctioneers Provided, That nothing herein con tained shall extend to sales by or foi Sheriffs, Coroners, Clerks of Courts anc Jndges of Probate, Executors and Ad ministra tors, Assignees, Ref erees anc Constables, or by any other person under the order of any oonrt. SEO. ll. That the Intendant and War dons of the town of Townvillo shal have power and authority to require al persons owning a lot or lots therein ti keep in repair the side-walks adjacent ti their lots, respectively; and, for defaul ia this matter, shall have power and au thority to impose a fine not to exceed tei dollars. SEO. 12. That the power to refuse o: grant liconsos, to keep a tavern, or to re tail intoxicating drinks, be, and the sam is hereby, vested in tho Town Council o Townvillo; and that they be, and ar hereby, also invested with all neoessar; power, by ordinance or ordinances, L suppress or to regulate tho sale of in toxicating drinks, to be drank at th place whore sold, or in or upon any o its appurtenances, or in or upon auy o its highways, streets, lanes, alleys, com mons, kitchens, stores, shops, publi buildings, booths, stalls, or out-house of tbe said town, or within ono hal mile of tho limits of the said town: Prc vided. That no role or regulation sha] be made inconsistent with the Consti tntion and laws of the State. SEO. 13. That the said association shall have number and succession of officers and members as shall be ordained and chosen according to the rules and by? laws made, or to be made by them, for their government; aad shall have poWer and authority, from time to time, and at all times, to make such rules and by? laws as are not repugnant to tho Consti? tution and the laws of the land; to have and koop a common Beal, and to alter tho samo al will; to sue and be sued, im plead aud be implcaded, in any court of law or equity in this State; and shall hove and enjoy every right and privi? lege incident and belonging to corpo? rate bodies, according to the laws of the land. SEO. 8. That the funds of said associ? ation shall be invested either in the pur chaso of real estate in the County of Sumter, South Carolina, or in any County or sub-division of tho State of ' South Carolina, whioh shall bo rented ont, or leased, or sold and conveyed to the members and stockholders of said association, upon such terms and condi? tions as, from time to time, may bo pro? scribed by its rules and by-laws, or to be loaned out and advanced to the mem? bers and stockholders thereof, upon the security and by hypothecation of real estate in the County of Sumter, or any other sub-division of the Stato afore said, or bonds, stocks or choses in action on personal property, on such terms and conditions as, from time to time, may be prescribed by tho rules and by-laws aforesaid. And it shall and may be law? ful for tho said association to hold and enjoy, for tho mutual benefit of its members and stockholders, all such lands, tenements and hereditaments as may be bona fide purchased by and con? veyed to it; or as may be mortgaged to it by way of security upon its loans and advances; or as may be purchased by or transferred and conveyed to it at sales under judgment or decrees, at law or equity, for securing or recovering, or iu compromise settlement of any debts due to it; and to sell, alien, barter, exohange, convey, mortgage, or otherwise dispose of the same, from time to time, and whenever deemed expedient. SEO. 4. That if any of the funds of the aaid association shall remain unpro? ductive, or uninvested, or unneeded, or uncalled for, for the space of two months, by its own members and stock? holders, it shall be lawful for the said association to lend out whatmonoys may be on hand to others than stockholders, at such rates of interest (on such secu? rity, whether of mortgage or real estate, choses in action, or other personal pro? perty) as may bu agreed on, to be safely invested, to bo repaid within one year. SEO. 5. That, whenever tho funds and assets of the said association shall have accumulated to such un amount that, npon a fair division thereof, such stock? holders, for each and every share of Btock held by him or her, shall have re? ceived or bo entitled to receive tho sum of two hundred dollars, or tho value | thereof in property or assets, and such divisions and distributions shall have ] been ?nado, then the said association shall cease and determine: Provided, however, That in case the said associa? tion shall not have closed its operations and affairs, as abovo provided for, withiu a shorter period, then this Act shall con? tinuo iu force until repealed.
