General Assembly or Month Carollnu, Slegular Session, 1871 and 1373. AN ACT TO INCORPORATE THE CITIZENS' BUILDING AND LOAN ASSOCIATION, OF CHARLESTON. SEOTTON 1. Be it enacted by the Senate and House of Representatives of the State of South Carolina, now met and sitting in General Assembly, and by the authority of the same, That William B. Heriot, Hut son Lee, B. S. Bhett, H. L. P. McCor? mick, William B. Steedman, William Thayer, L. D. Mowry, T. A. Wilber and Y. J. Thoma?, together with such other persons as now are, or hereafter may be. associated with them, be, and they are hereby, deolared a body politic and cor? porate, for the purpose buying and holding real estate in tu.: County of Charleston, South Carolina, und making loans of money secured by mortgages of real- estate and the hypothecation of bonds, stocks and other choses, and per? sonal property to its members and stock? holders, and others, by the name and style of the Citizens' Building and Loan Association, of Charleston. The capital stock of said Association to consist of two thousand Ave hundred Bhares; but as soon as one thousand shares aro sub? scribed thereto, the said Association shall organize and commence operations. Said shares to be paid by successive monthly instalments of one dollar on eaoh share, so long as the said Associa? tion shall ooutinue; the said shares to bo held, transferred, assigned and pledged, and the holders thereof to bo subject to such flues, penalties und forfeitures for default in their payments, as the regula? tions and by-laws of tho said Association may prescribe. SEO. 2. That the said Association shall have suoh number and succession of of? ficers and members as shall be ordained and ohosen aooording to the rules and by-laws made or to be made by them, for their government, and shall havo power and authority, from time to time, and at all times, to make all snob rules, . regulations and by-laws as are not re? pugnant to .the Constitution and the laws of the land; to have and keep a common seal, and the same to alter at will ; to sue and be sued, im plead and be impleaded, in any court of law or equity i in this State, and shall have and enjoy every right and privilege incident and belonging to corporate bodies, according to the laws of the land. SEO. 3. That tho funds of the said As? sociation shall be invested, either in the purchase of real estate in the County of Charleston, South Carolina, whioh shall be rented out or leased, or sold and con? veyed to the members and stockholders of said Association, upon suoh terms and conditions and estates as from time to time may bo prescribed by its rules and by-laws; or be loaned out and advanced to the members and stockholders thereof, npon the security and hypothecation of real estate in Charleston aforesaid, or bonds, stocks or ohosos in action, or per? sonal property, on such terms and con? ditions as from timo to timo may be pre? scribed by the rules and by-laws afore? said. And it shall and may be lawful for tho said Association to hold and en? joy, for the mutual benefit of its mem? bers and stockholders, all suoh lands, tenements, hereditaments aud appurte? nances as may bo bona fide purchased by and conveyed to it, or as may be mortgaged to it by way of security upon its loans and advances, or as may be bought by or transferred and convoyed to it as sales under judgments or de? crees at law or equity for securing and reoovoring, or in compromiso settlement of any debt or debts due to it, and to sell, alien, barter, exchango, convey, mortgage or otherwise disposa of the same, from time to time, and whonever deemed necessary and expedient. Tho stockholders in this association shall bo severally liable for all debts and obliga? tions created or contracted by the Asso? ciation, to an amount double the amount of their stock. SEO. 4. That if any of tho funds of tho said Association Bhall remain unproduc? tive or uninvested and uncalled for, for the space of two months, by its own members and stockholders, it shall be lawful for said Association to lend out what moneys may be on hand to others thau stockholders, at suoh ratos of inte? rest as may bo agreed on, to bo safely invested, and to ho repaid within ono year. SEO. 5. That whenever the fonds and assets of the Association shall have accu? mulated to euch an amount that, npon a fair division thereof, each stockholder for each and every Bbaro of stock held by him or her, shall have received, or be entitled to receive, the sum of two hun? dred dollars, or tho value thereof in pro? perty or assets, and snoh division and distribution sholl have been made, then the said Association shall cease and de? termine: Provided, 7iowever, That in case the said Association shall not have closed its operations and affairs, as above providod for, within a shorter period, then this Act shall not continue in forco beyond ten years. SEO. C. That this Act shall bo deemed a public Act, and be given and received in evidence without being specially pleaded. Approved March 13, 1872. AN ACT TO CHARTER THE LANCASTER AND CAMDEN RAILROAD COMPANY, OF POCTH CAROLINA. SECTION 1. Be it enacted by the Senate and House of Representatives of the State of South Carolina, nota met and sitting in General Assembly, and by thc authority of the same, That, tor tho purpose of esta? blishing a railroad company from Cam? den to Lancaster, that a charter, with the rights and privileges incidental to the same, be, and is hereby, granted to and vested in H. J. Hickson, H. W. Cousart, Joseph Clark, J. F. G. Mittag, B. J. Witherspoon, D. C. Wolfe, W. M. Shannon, J. B. Kershaw, W.Z. Leitner, Mannes Baum, Samuel Boykin, T. F. McDow, S. H. Brewer, L. J. Patterson and John Kershaw, and their associates, and when a company shall bo formed, in compliance with the conditions herein prescribed, it shall bo known by tho namo of tho Lancaster and Camden Bailroad Company, and shall have a cor? porate existence as a body politic in per? petuity. SEC. 2. That tho capital stock of said company shall bo ono million dollars, in shares of twenty-five dollars, or five acres of land each; and, in order to raise the said capital stock, it shall bo lawful to open books of subscription in suck places, end at Buoh times, as may be deemed for the beat interests of tho cor? poration, under the direction of tho cor? porators; the times and places for rc oeiving such subscriptions to bo deter mined by a majority of the corporators but should a majority iail to fix sud times and places, then such times am places may bo fixed by any six of th< corporators hereinbefora named, having given due notiee of tho same iu an] newspapers of tho State; aud tho sub scription books shall be kept open foi twenty days, from such times, and a such places, as said corporation may dc termine; that on each share of stock sub scribed, or laud to tho value of cad share so subscribed, the said subscribe: shall poy two dollars to tho corporators who shall deposit tho same in some na tional or State bank. When fifty thou sand dollars, or tho valuo thereof ii land, shall have been subscribed, tin said corporators, or any six of them shall givo notice, by publication, for a least ten days, of tho time and place o meeting for organization. SEC. 3. Whonever the said sum o fifty thousand dollars, or the vain thereof in land, shall havo been sub scribed, tho subscribers, their executors administrators and assigns, shall be, am they aro hereby, declared to be iucorpo rated into a company, and shall havo al tho rights and privileges conferred upoi tho South Carolina Central Railroai Company, ratified ?-: Provided however, That nothing berein containc? shall bo so construed as to exempt th said company from payment of taxos Provided, further, That this Act sbal not be construed so as tu bind the Stat to endorse, guaranteo, or aid said road Provided,further, That nothing herei contained shall bo construed as to ci erupt said company from the provision of Section 1, Chapter 03, of the Genen Statutes. Be il enacted by the Sen and House of Representatives of the St of South Carolina, now met and sitliny General Assembly, and by the authority the same, That Ellory M. Brayton, Ch D. Hayno, Frank Arnim, Samuel A. C man, Henry Jones, B. B. Elliott, P. Ki vers, John Williams, S. J. Lee, W. Jonen, H. J. Maxwell, and their suce sors and assooiat?s, be, and they h?reby, constituted a body corpor aud politic, to receive deposits of moi at interest, to loau and invest tho sai and to issuo certificates of depo tinder tho namo of tho Savings Bank Aikou, aud by this namo aro inves with tho following powers, rights i privileges, and subjected to the foll ing restrictions: SEC. 2. That thc capitol shall be tu ty thousand dollars, with the privilege of increasing it to any amount not ex? ceeding two hundred thousand dollars. This eapital shall bo a fund pledged for the security of deposits. SEO. 3. Each share of stock shall be ono hundred dollars, and tho stockhold? ers shall vote at all meetings in propor? tion to tho number of their shares. Sec. 4. The stockholders shall have power to make rules, regulations and by? laws for tho management nnd direotion of its affairs, in accordance with the laws of this State, through their properly constituted officers; they shall have power and authority to do everything necessary and proper for the safo and successful management of the bank. SEO. 5. That this institution may go into operation ns soon ns fifteen thou? sand dollars of thc capital stock shall bo paid in, and not before. SEC. G. That the stockholders of tho said corporation shall bo liable to the amouut of their respectivo share or shaves of stock iu said corporation, for nil its debts und liabilities upon note, bill or otherwise: And further, No di? rector or other oflicor of said corporation shall boriow uny money from said cor? poration. And if any director. or any other officer shall bo convicted, upon in? dictment, of directly or indirectly vio? lating this section, ho shall be punished by fiuo or imprisonment, at thc discre? tion of tho court.
