SECTION 1. Be ii enacted by the Senate and House of Representatives of the State of South Carolina, now met and sitting in General Assembly, and by the authority of the same, That B. F. Graham, Edward Beid, George Kline, H. E. Hay ne, B. F. Briggs, S. A. S wails, W. A. Grant, W. B. Nasty Edward Mickey, O. B. Levy, William Elliott, J. A. Bowley, Barney Humphreys, Jordan Lang, O. C. Bowen, Timothy Harley, T. A. Davis, N. B._ Myers, J. B. Bascomb, S. Greeno, J. S. Mobley, and their associ?tes, successors and assigns, are hereby created a body politic and corporate, under the name and style of the "South Carolina Beal Estate, Planting aud Mining Company," for the purpose of securing foreign and domestic capital in tho parchase and im? provement of lands and other property, and for the working of the same, and for selling and settling the same: Provided, however, That the said corporation shall be organized and go into operation with? in two years from the passage of this Aot. SEO. 2. And be it further provided, That the capital stock of said corpora? tion shall be one million of dollars ($1,000,000) in shares of one hundred dollars ($100) eaoh, with the privilege of increasing the same, from time to time, to the extent necessary for which said company is formed, said increase not to exceed the sum of five millions of dol? lars, ($5,000,000,) and said inorease to be made only at a regular meeting of the said company, upon a vote of two-thirds in amount of the stock for the timo being in favor of such increase. SEO. 3. That tho said nh ares shall he deemed personal property, and shall be transferable only on tho books of the company. SEC. 4. That tho said corporation shall have power to purchase, acquire, hold, use, work and disposo of real estate in any of the Counties of this State, to work and operate mines, to dig phos? phate on any lands held by the said cor? poration, to work and operate farms and plantations within tho State, and to dis? pose, generally, of the products of thc same. SEC. 5. That the said corporation shall also have power to make all by-laws ne? cessary for the disposition of its pro? perty, and for tho management of its affairs, for tho regulation of the term of office of its officers, and prescribing their duties, and to carry out tho general ob? jects of the corporation, and tho same at pleasure to annul and repeal: Provided, That such by-laws, rules and regulations shall not conflict with any laws of tho United States or of the State of South Carolina. SEO. 6. That said corporation shall havo power to borrow money hy issuing interest-bearing bonds, scoured by mort? gage of its property aud franchises, or any portion of tho same; and, for this purpose, may issue bonds for sterling, gold coin or currency, payablo in Lou? don, New York or Charleston, secured by mortgage to trustees for tho paymeut of the said bonds; and, also, may pur? chase land, for cash or for bond, secured by mortgage, or partly for cash, and partly for bouda aod mortgages: Pro? vided, That tho stockholders of said cor? poration shall be Hablo to the amount of their respeotivo share or shares of stock in said corporation, for all its debts aud liabilities upon note, bill or otherwise. The books and accounts of said corpora? tion shall be openod under suoh regula? tions as may bo prcscribod by law. SEO. 7. That said corporation shall h?ve tho power to establish agencies at such places in Europe and Amorica as it may deem desirable for the carrying out of its objects; and may, nlso, hold and purchase tho stocks or bonds of any joint stock or incorporated companies, and the bonds of private individuals. SEO. 8. That, within the timo pro? scribed for the going into operation of this Act, a meeting of the said company shall be held, at which meeting fifteen directora shall bo elected by the said corporation, which said directors shall elect from their own number a President and Treasurer; and they shall also elect suoh other officers and agents as they may deem necessary for effecting the objeot of tho said corporation; and an? nually after the said meeting, the said stockholders shall olect twelve directors. SEO. 9. Tho said corporation shall have succession of officers, power to adopt and uso a corporate seal, to sue and be sued, to plead and bo impleaded, to defend and be defended, in any court of law or equity. . . SEO. 10. This corporation shall have the right to establish wagon roads to and npon its property, with tho privilege of connecting the same with auy roads in tho State, and shall enjoy all the privileges that aro awarded, under the general laws of the State, to any corpo? ration, together with the special privi? leges awarded by this charter. Approved March 13, 1872. AN ACT TO INCORPORATE THE CHARLESTON LOAN AND EXCHANGE COMPANY. SECTION 1. Be it enacted by the Senate and House of Representatives of the State of South Carolina, now met and sitting in General Assembly, and by the authority of the same, That the persons and bodies corporate who shall become stockholders in the manner hereinafter described, and their successors, Bhall be a body politio and corporate, under tho name, style and title of the Charleston Loan and Ex? change Company. SEC. 2. The capital stock of tho said company shall bo one hundred thousand dollars, to be divided into shares of one hundred dollars each, and shall bc raised in the following manner: The following persons aro hereby appointed Commis? sioners to receive subscriptions to the capital stock, to wit: T. H. Williams, H. Bischoff, Wm. Gurney, J. A. Bowley, J. B. Dennis, C. J. Lamb, W. H. Garden? er, Jr., S. A. Swails and J. H. Bunkle. The said Commissioners, or a majority of them, shall open books, at such places in Charleston as they shall ap? point, within sixty days from the passage of this Act, and receive snbscriptiona to the said stock: Provided, The Baid Com? missioners shall have given at least throe days' notice in two daily papors in the city of Charleston, of the time and pince of receiving the subscriptions, and shall require a payment of twenty-five dollars OH each share, to bo mado at the time of snbBoription therefor: And pro? vided, further, That the Board of^Direct ors shall have power, in liko manner, at snoh time as they shall seo fit, to in? crease the said capital to thc sam of five hundred thousand dollar?. SEC. 3. That if, after sixty days from tho time of opening tho books for sub? scription, one-tenth of tho capital stock be subscribed for, thou tho shares to that extent be divided pro rata among the stockholders, nnd the company em? powered to oommenco business. I SEO. 1. That tho said company, under its name, shall have succession of officers and members, and all the powers, privi? leges and franchises incident to a corpo? ration, and shall be oapable of taking, holding and disposing of their capital Btock, according to such rules and regu? lations as they shall, from time to timo, establish, and, also, of taking, holding or disposing of, or investing the in? crease, profits or emoluments of their said capital Btock, and Bhall have fall power and authority to have and use a common seal, and the same to alter and renew at thoir pleasure, and, by the name and title aforesaid, shall be able and capable, at law and in equity, to suo and bo sued, to plead and be impleaded, answer and be answered auto, in all manner of suits, picas, domands aud judicial proceedings whatever; and they are further empowered to appoint a President, Board of Directors, und such officers as they may deem expedient, for the proper protection and transaction of their business. SEC. 5. That thc said company is hereby authorized and empowered to make contracts, and to rnako loans of money, upou security of real estate, personal property and choses in action, to barter iu all kinds of merchantable article?, to givo and to hold in exchange upon such rates of interest M may bo agreed upon between tho persons or parties borrowing, and exchaugo at a rato agreed upon by the Board of Direc? tors. SEC. G. That tho said company shall have right and power to acquire, pur? chase, take and hold, in its corporate name, lands and real estate, and tho samo to demise, grant, sell, exchange and convey in foo simplo, or otherwise, and that tho sum of three hundred dollars bo yearly returnable to the Stato, out of tho uext income derived by the com? pany, and that this Act remain in force for the poriod of twenty years. Approved March 13, 1872. AN ACT TO INCORPORATE THE CHARLESTON LOAN ASSOCIATION, OF TUB CITY OF CHARLESTON. SECTION 1. Be it enacted by the Senate and House of Representa', i vis of the Slate of South Carolina, now met and silting in General Assembly, and by the authority of the same, That Samuel E. Gaillard, l\ fi, Frost, NV. A. Grunt, M. J. Kirsch, O. R. Levy, A. P. Ford, W. H. Jones, Jr., and Jamos A. Bowley, together with such other persons as now are, or here? after may be, associated with them, be, and they aro hereby, declared a body politic aud corporate, for the purpose ol buying aud holding real estato in thc County of Charleston, or any point within tho State of South Carolina, and making loans of money, secured by mortguges of real estato, and thc hypo? thecation of bonds, and other choses in action, and personal property, to itt members and stockholders, by tho name and stylo of tho "Chai lesion Loan As? sociation, of tho city of Charleston.' Tho capital stock of said association tc consist of two thousand five hundred shares, but as soon as ouo thousand shares shall have been subscribed thero to, the said association shall organize and commence operations, said shares tc bo paid by successive monthly instill mcuts of ono dollar on each tdiare, sc long as the Baid association shall conti nae; tho said shares to bo held, trans forre?, assigned and pledged, and thi holders thereof to bo subjected to sud fines, penalties and forfeitures, for dc fault in their payments, as tho regula tionsnud by-laws of the said associalioi may prescribe. fcEC. 2. That the said association shal have euoh number and succession of of? ficers and members as shall be ordained and ohoaen, acoording to the rules and by-laws made, or to be made, by them for their government, and shall have power and authority, from time to time, and at all times, to make saab rules and by-laws as are not repugnant to the Con? stitution and the laws of the land, to have and keep a common seal, and to alter the same at will; to sue and be sued, plead and be impleaded, in any court of law or equity in this State; and shall have and enjoy every right and privilege incident and belonging to cor? porate bodies, according to tho laws of tho land. SEO. 3. That the funds of the said as? sociation shall be invested either in the purchase of real estates in the County of Charleston, South Carolina, or in any County or sub-division of the State of Sonth Carolina, which shall be rented out or leased, or sold and conveyed to the membeis and stockholders of said association, upon snob terms and condi? tions as, from time to time, may bo pre? scribed by its rules and by-laws, or be loaned out and advanced to the members and stockholders thereof, upon the se? curity and by hypothecation of real es? tate iu Charleston, or tho State afore? said, or bonds, stocks or choses in action, or personal property, on such terms and conditions as, from time to time, may bo prescribed by tho rules and by-laws aforesaid. And it shall and may be law? ful for the said association to hold and enjoy, for the mutual benefit of its mem? bers and stockholders, all such lands, tenements and hereditaments as may bo bona fide, purchased by and convoyed to it, or as may be mortgaged to it, by way of security upon its loans and advances, or os may bo hy or transferred and con? veyed to it at sales under judgments or decrees at law or equity, for securing or recoveriug, or in compromise settlement of any debt or debts due to it; and to sell, alien, barter, exchange, convey, mortgage or otherwise disposo of the same, from time to time, and whenever deemed expedient. SEO. -i. That if any of thc fund3 of tho said association shall remain unpro? ductive, or uninvested aud unneeded, or uncalled for, for the space of two months, by its own members and stock? holders, it shall be lawful for tho said association to loud out what moneys may bo on hand to others than stockholders, at such rates of interest (on such secu? rity, whether of mortgage or real estate, choses in action, or other personal pro? perty,) us may be agreed upon, to be safely invested, to bo repaid within one year. SEO. 5. That whenever the funds aud assets of tho said association shall have accumulated to such an amount that, upon a fair division thereof, such stock? holders, for each aud every share ol stock held by him or her, shall have re? ceived, or be entitled to receive the sum of two hundred dollars, or tho value thereof iu property or assets, and f-uch division and distribution shall havo been made, then the said association shall cease aud determine: Provided, however, That in case the said association shull not havo closed its operations and affairs, as above provided for, withiu a shorter period, then this Act shall not continue iu force beyond teu years. SEC. G. That this Act shall be deemed a public Ac-, aud bo giveu ami received iu evidence without being specially pleaded. Approved March 12, 1S72. SEC. 2, That all property heretofore vested iu tho trustees of "Thc Samtei Academical Society," incorporated hy an Aot entitled "Au Act to incorporate certain companies aud societies," passed on tho twentieth eloy of December, A. D. 1837, be, and thc same is hereby, vested in tho ineorporntors named in this Act, and .such iuuorporutorn shall bi deemed nud held in law to bo the propel aud legal Biiccossovs of euch former I rus tees. SEC. 3.
