AN ACT TO CHARTER THE UNION SAVINGS BANE OF GEORGETOWN, S. O. SECTION 1. Be it enacted by tits Senate and House of Representatives of the State of SoxUh Carolina,' now met and sitting in General Assembly, and by the authority of the same, That James A. Bowley, W. H. Jones, Jr., Thomas D. McDowell, S. C. Carr and James Murrell, together with such other persons as aro now or may hereafter be associated with them, shall be, and they are hereby, constituted and made a body politic and corporate, by the name and style of the "Union Sav? ings Bank of Georgetown, South Caro? lina," and by this name and style shall be, and is hereby, made capable in law to have, purchase, enjoy and retain, to it and its successors, lands, rents, tene? ments, goods, chattels and effects of what kind or quality soever, and the same to sell, alien or dispose of; to sue and be sued, plead and be impleaded, answer and bo answered, defend and be defended, in oourts of reoord, or any other place whatsoever; and also to make, have and use a oommon seal, and the same to alter and renew at their pleasure; nnd-also to ordain and put in execution such by-laws and regulations as may seem necessary and convenient for the government of the said corporation, not being contrary to the laws of the State or the Constitution thereof. SEO. 2. The capital stock of said cor? poration shall not be lesa than ten thou? sand dollars, whioh may be increased, from time to time, to a sum not exceed? ing two hundred thousand dollars, and shall be paid in and accumulated as hereinafter provided. SEO. 3. That said corporation shall have power and authority to invest its capital stock or other funds in bank or other stocks, in the purchase of bonds of the United States, bonds issued by this or any State of the United States, and in bonds of any corporate company; to lend money upon personal or real se? curity, to discount bonds, notes and bills of exchange, and to guarantee the pay? ment of notos, bonds, bills of exohange or other evidences of debt. SEO. 4. That said corporation shall receive deposits from any person or per? sons, and all such deposits shall be in? vested as tho Board of Direotors may deem most advantageous, and in accord? ance with Seotion 3, and interest Bhall be allowed to the depositors thereof as may bo directed or provided by the by? laws of the institution.. SEO. 5. Eaoh subscriber to stock in this bank Bhall, on or before the fifth day of eaoh month, pay, at the office of the bank, one dollar per share of his or her subscription, and any subscriber failing to do so shall be fined five cents per share for such delinquency, and for eaoh succeeding ten days of such delin? quency, ten cents per share additional; and if, at the expiration of two months, such delinquency shall still exist, the stock shall be sold at public auction, the proceeds of whioh shall be paid to such delinquent stockholder, after deduoting all ?uea that may bo charged against him, or his proportion of all losses sus? tained, and expenses incurred by the institution, in the oourse of its business. SEO. 6. As soon as the stock becomes of the value of one hundred dollars per share, scrip shall be issued to eaoh stockholder for the number of shares standing in his or her name on the books of the institution, Bigned by the Presi? dent and Cashier, with tho oorporate seal of tho bank affixed, from which time the payment of monthly instal? ments shall cease. SEC. 7. Any stockholder, at any timo prior to the stock beoomiug of the value of one hundred dollars {per shure, muy withdraw from the institution, upon written notice being given at any regular meeting of tho Hoard of Directors, and, at the expiration of ninety days, the in? stitution shall pay to said stockholder the aetual value of his or her stock at the date of notion of withdrawal, tho monthly instalments of such stockholder ceasing from date of such notice; or said stockholder may Bell or transfer his or her interest to uuy other person, tho purchaser being placed on an equality with the other stockholders. SEC. 8. By actual value of the stock is meant the amouut paid in by each stock? holder, together with his or her propor? tion of any losses that may have occur? red, and withholding his or her propor? tion of any investments about which the Boara of Direotors may bo doubtful, until they are satisfied. SEC. 9. As soon after the stock bo comes of tho value of one hundred dol? lars per share, aud H n ip is issued there? for, the Directors may make dividends, at such times and of so much of the profits of tho bank as shall appear to them advisable. SEC. 10. There shall bo eleoted, ns soon after tho ratification of this Act as the corporators and subscribers may deem advisable, and annually thereafter, seven Direotors from their number, who shall appoint one of their number Presi? dent, aud may fill any vacancy occurring in the Board, unless it bo by removal, iu which case tho members shall fill tho 3.imo in general meeting. Tho Bor rd shall appoint (to hold at its pleasure) tho subordinate officers and agents, prescribe their duties and compensation, and take from them such bonds, with security, ns it may deem advisable. SEO. ll. It shall be competent, at any general meeting of stockholders, to change the time o? holding the annual meetings; and extra meetings may be called at any time upon a written appli? cation to the Board of Directora, signed by stockholders representing not lees than one-half of the capital stock; and at all meetings of stockholders each share shall entitle its holders to one vote, and a representation of a majority of the entire stock, by the holders in per? son, or by their proxies, shall be requi? site to eoastitute a quorum. SEC. 12. The said company is horeby declared capable in law of holding and exercising the office of executor, by ap? pointment of any testator; the office of administrator of the testator or intes? tate, by appointment of the Court of Probate; the office of guardian, or other trustee of any estate which may be held in trust, by appointment of any person or court of competent authority to make such appointment, and the office of trustee under auy mortgage; and, in such case, the said company, or execu? tor, administrator or trustee, shall be subject to tho same measure of account? ability and to the same rules and regula? tions of law which pertain to such trusts when held and exercised by natural per? sons, except that, in lieu of any bond to be required of said company for the ad? ministration of any trust, the capital stock and assets of the company shall be pledged for tko faithful discharge of any trust. SEC. 13. That the stockholders of said corporation shall be liable to the amount of their respeotive share or shares of stock in said corporation, for all ita debts and liabilities upon note, bill or other? wise; and further, no director or other officer of said corporation shall borrow any money from said corporation, and if any director or other officer shall be con? victed, upon indictment, of directly or indirectly violating this section, he shall bo punished by fine or imprisonment, nt the discretion of the court. The books and accounts of said corporation shall be opened to inspection under such re? gulations as may be prescribed by law. SEC. ll. This Act shall be deemed a publio Act, and shall be judicially taken notico of without special pleading; and the charter hereby granted shall be iu force from its passage, and continue in force for a period of thirty years. Be it enacted by the Senate and House of Representatives of the State of South Carolina, now met and sitting in General Assembly, and by the authority of the same, That Peter Waggels, Alexan? der Williams, Joseph Robertson, Joseph ? Knights, and their associates and sue I oessors, are hereby made and created a body politic and corporate, under the name and style of the Aiken Light In? fantry, of Aiken, S. G. USEC 2. That tho said corporation, hereby created and established, shall have succession of officers aud members, according to its by-laws, and shall have power to make by-laws, not repugnant to the laws of the land, and to have, use and keep a common seal, and the same to alter at will, to soe and be Bued in any court of this State, and to have and en? joy every right, power and privilege in? cident to such corporation; and it^is hereby empowered to take, hold, retain, possess and enjoy all such property, real and personal, as may be given, be? queathed or devised to it, or may be, iu any manner whatsoever, acquired by the said corporation: Provided, The amount so hold shall not exceed the sum of ten thousand djllars. That the charter of tho Hope Fire En? gine Company, of Charleston, is hereby renewed and continued in force until re? pealed, and the said company is horeb} authorized to adopt tho name and style of the Hope Steam Fire Eugiue Compa? ny, of Charleston: Provided, Tho Hope Steam Fire Engine Company, of Charles I ton, and the members thereof, shall, al I all times, be subject to the provisions oi ! the 12th Section of the Act passed or. ! the 21st day of December, in tho yeal oigbteon hundred aud thirty-six, entitled "An Act for the better regulating of the fire department, in tho city of Charles? ton." Tbat the capital stock of said company shall be one and a half million dollars, with the privilege of increasing it to two and a half millions of dollars if found necessary, to be divided into shares of fifty dollars each; and for the purpose of raising such capital stock, it shall be lawful to opeu books of sub? scription, at such times and places, and to keep them open for such periods of timo, and under tho direction of suob persons as may bo determined on by a majority of said company. That sub? scriptions to said capital stock mny bo made in land, at a rate per aero to be agreed upon at the timo of subscription; and that each and every person subscrib? ing laud shall execute a deed to the said company, and that all amounts sub? scribed, either in land or money, shall constitute the joint 6tock capital, for tho purpose of constructing and carrying into operation the railroad provided for by this Act; and the BU ul railroad com? pany shall have power to mortgage its property and franchises, and issue bonds on suob terms aud conditions, and for such uses aud purposes of suit! corpora? tion as the Coard of Directors thereof may deem expedient. SEC. 1. That tho said railroad shall be subject to the provisions of an Act of tho General Assembly of South Caroli? na, passed September 22, 18(18, entitled "An Act to declare tho manner by which the lands or right of way over the lands of perjons or corporations may be taken for tho construction or use of railways and other works of internal improve? ment:" Provided, however, That nothing herein contained shall be so construed as to exempt the said company from the payment of taxes. SEC. 5. That all Acts, or part3 of Acts, inconsistent with this Act, arc hereby repealed. Approved March 9, 1S72. AN ACT l-OU THE PROTECTION OF BUOYS AND BEACONS. SECTION 1. He il enacted by the Senate and House of Representatives of the State of South Carolina, noto viel and sitting in General Assembly, and by the authority of the same, Any person or persons who shall niovo auy vessel, scow, boat or raft, to any buoy, or beacon, or floating guido, placed by tho United States Light House Board, iu tho navigable waters of this State, or v.'ho shall in any manner make fast thereto any vessel, boat, scow or raft; and any person ox persons who shall wilfully destroy, injure or remove any such beacon or guide, shall forfeit and pay a sum not exceeding ono hun? dred dollars, or be imprisoned in the common jail not exceeding three months. SEC. 2. Said forfeitures may bo reco? vered by an action of tort, complaint or indictment, before auy court competent to try tho same; one-half accruing to the informer or complainant, and tho otbor half to tho County in which the trial shall bo had.
