Whereas bonds or obligations pf this State have been issued, from time to time, to a largo amount, in accordance, aa waa supposed by the officers issuing the same, with the authority and provi? sions of oertaiu Acts of the General As? sembly, inolnding "An Act authorizing a loan to redeem the obligations known as the bills receivable of the State of South Carolina," approved August 26, 186S; also, "An Act to authorize a State loan to pay interest on the public debt," approved August 26, 1868; also, "An Aot to provide fer tba. appointment of a Land Commissioner, and to define his .powers and duties," approved March 27, 1869; also, "An Act to amend tbe last named Act, and for other purposes," approved March 1, 1870; also, "An Act to authorize a loan for the relief of tbe Treasury," "approved February 17, 1869; also, "An ?ot to provide for the conver? sion of State securities," approved March 28, 1869; and "An Aot to author? ize the Financial Agent of the State of South Carolina, in the city of New York, to pledge State bonds as collateral secu? rity, and for 'other purposes," approved March 26, 1869; which said bonds are fully stated and Bot forth in a report made by the Treasurer of the Stato to the General Asssmbly, dated October 31, 1871; and whereas doubts have arisen whether said issues were in strict con? formity to the provisions of the said several Acts under whioh they were ro speotively issued; and whereas it was the true intent and meaning of the seve? ral Aots above set forth that such issues of bends or obligations should be made in the manner in whioh the same have been made, as aforesaid; and whereas, also, doubts have been raised us to the validity of some of tho bonds mentioned in the said annual report of the State Treasurer, for tbe fiscal yearecdiag with October 31, 1871, although mouey bas been borrowed by, or realizad out of, ?aid bonds on account of this State; aud whereas the orodit of this State has bceu affected thereby; SECTION 1. Be it enacted by the Senate and House of Representatives of the Statt of South Carolina, note met and sitting in General Assembly, and by the authority oj tho same, That the enid bonds and obli? gations, issued on behalf of this Stato, aa moutioued und set forth iu the report of the Treasurer of this Stato to thc General Assembly, dated October 31, 1871, wero duly und lawfully issued it conformity with tho true intent nun meaning of the several Acts of tin General A^embly, hereinbefore sot fort! by their ro^pectivo litios. SEO. 2. That the aots of tho officers o; this State, authorized under tho provi sions of tbe laws of this State, and o: the several Acts hereinbefore referred to to tho extent of all issues of bouda oi obligations enumerated and set forth ir the said report ol the Treasurer, be, um are hereby, in nil things, ratified, ooo firmed and established. SEO. 3. That oaoh and all of the bond named in said annual report of the Tren surer of this State for the fiscal yea ending with Outobor 31, 1871, be, um tbe ?ame are, hereby, deolared to b< legal and valid bonds of the .Stato o Sooth Carolina, for tho payment o whioh tho faith, credit and funds of th State have been, and are hereby pledged: Provided, That no bonds b inoluded whioh aro not registered in th Treasury at the timo,of the passage o this Aot, as provided for in Section 14 / rtiole IX, of the Constitution, relatiuj to finance and taxation. SEO. 14. The section of each of tin Acts under whioh said bonds purport *< be issued, which -provides for un uanna tax to pay the interest, is hornby do dared to be a part of this Aot ; un annua tax, in addition to all other taxes, abai be levied upon tho property of the Statt /?ufficient to pay thc interest on tbi bobd? named in. or provided for by, tb!? Hereafter, every, bond -<K>n-! verted or issued under or in pursu?hco oi anyoi ibo 1?ws o' thia Suter, shall bs of tho description and etyle of tboae berotofore issued under an Act entitled '.Au Act to provide for the conversion of State securities," approved Marah 23, ISGO, au tb at all tba bouda of this State ehull be of due description and style, aa aoon aa the ezohange can be made: Pro? vided, That all bonds of the State of South Carolina, cob verted io to stock of said'State, and all stock of the State of South Oarolinaj converted into conver? sion bonds of the State, as provided in tba Act ' hereinbefore mentioned, ap? proved M rob 28,1869, sbnll be canceled immediately upon the conversi?n of the same, and retired from issue or hypothe? cation. SEO. G. All, bonds heretofore author? ized to be issued, bhall be issued in pur? suance of, and in conformity with, the provisions of this Act, und shall bo con? verted into bonds, of tho stylo and de? ecription named in tho next preceding section, os speedily as tho tame cun bo done. SEC. 7. That neither tho sum uor sums realized from nuy eulo ur suits of any of the bonds of thu State, nor tho manner of salo of any of tho bonds of this State, shall in any manner affect or impair the validity. and obligation thereof. ? SEO. 8. Tho Governor is hereby author? ized aud required to sign all the boude named in this Aot. The State Treasurer is authorized and required to counter? sign the samo. And the Secretary of State is authorized and required to aflix the seal of tho State to tho ?ame without delay: Provided, That no bonds shall be signed by the Governor, or counter? signed by the State Treasurer, except for the conversion of bonds or stocks already issued pursuant to law. SEO. 9. Nothing contained in thia Act shall authorize the issue or conversion of any bonds of this Stato other than those named in tho report made by the i State Treasurer, HS specified in the third section of this Act, and such as have been authorized under previous laws of this State. SEO. 10. The Oommercial Warehouse Company, in the oily of New York, and Carolina National Bank, in the city of Colombia, South Carolina, are hereby declared to bo authorized places for the registering of bonds, coupons or stocks of the State of Sooth Carolina, and they ure authorized, on tho passago of this Act, to immediately advertise, in one or two of tho prinoipal papers in each of the cities of New York, Columbia and Charleston, to the bolderr of all tho bonds, coupons or stock of the Stato of South Carolina, tba necessity of regis? tering their bonds, coupons or stock at one of tho above authorized places of registry. lu the registration of said bonds, coupons or stock?, the number and denomination of eaob bond, cou? pon, or certificate of stock, the Aot un? der whioh it was issued, and the name of the person, association, corporation or firm representing the same ahull be re? corded, uud the tima and placo of regis? tration ahull be endorsed upon said bonds, coupons or stocks, so that the same bonds, coupons or stocks may not be presented ut more than ono place ol registration. It shall be tho .duty of thc said Commercial Warehouse Compuny, in tho city of New York, and the Curo lina National Bank, in the city of Co? lumbia, South Carolina, to publish ic the cities of New York, Charleston and Columbia, quarterly statements of whole amount of the bonds, coupons or stockt registered by them, the number, deno mination, and the Act undor which thej were issued. The State Treasurer ant Financial Agent of the State, in the cit] of Now York, shall not pay interest ot said bonds or stocks until they hav< boen registered according to the require monts of this Aot. SEC. ll. All Aots or parts of Acts con trary to, or inconsistent with, this Ac aro, for tho purpose of this Act, bnt fo no other purpose, hereby repealed. SEO. 12. That, for tbe parp?se of build? ing and establishing an air-line railroad from some point near tba oity of An? gosta, Georgia, within the limits of this State, by tba way of the oity of Coln ru? bin, Chesterfield, Cuoraw and Marlboro, to some point on the dividing lino be? tween this Stuto and tho State of North Carolina, to bo determined by tho corpo? rators hereinafter named; that a charter, with the rights and privileges incidental to the same, be, and is hereby, grunted to and vested in Charles Adams, John Smith, Thomas Steers, August Bre? un icke, John T. Lee, Edward Alien, Phillip Heller, M. D. Stono, Lewis Wil? son, I. T. OweuH, lt. L. Jones, Thomas Sauds, James Harvey. M. li. Allen, Amos Miles, David J. That tho capital stock: of said company shall bo two million of dol lars, in BUares ol twenty dollars each; and, in order to raise the said capital stock, it shall bo lawful to open books of sub? scription in suoh places, sud at euch times, as may be deemed for the best interests of tho corporation, under the direction of the corporators; tho time and pluces for receiving such subsorip tioDB to bo determined by a majority of the corporators; but should such n ma? jority fail to fix such times and places, then suoh times and places mny be fixed by any four of the corporators herein before named, having given due notice of the same in any newspaper or news? papers of tho State; and the subscrip? tion books shall be kept open for t wenty days from such time, and at such places us ?aid corporators muy determine; that on each share of stock subscribed, the said subscribers shall pay two dollars to the corporators, who shall deposit the same in some national or State bank.
