An Ad to incorporate the South Carolina Im? provement and TY us t Company. SECTION 1. Beit enacted by the Senate and House of Representatives of the State of South Carolina, now -mei um? sitt\Hg in General As? sembly, and by the authority of the same, That Henry J. Fox, Wm. F. Martin, J. G. Miller, B. F. Whittomore B. J. Donaldson, O. L. Jerralds, W. J. Clapp, H. Best, John McCulla, F. A. Babcock, D. Thomas, Wm. Harris and M. S. Gill, and their associates, are hereby created a body politio and cor? porate, by the name and style of the Sonth Carolina Improvement and Trust Company, for tho purpose of scouring and employing foreign and domostio capital in the purchase of lands, mills, mill sites, water powers, valuable franchises and other property, and iu the erection of mills and factories, and in supplying and operating the same, and also in stocking and working plantations and disposing of tho same: Provided, however, That the said corporation shall bo organized and go into operation within one year after the passage of this Aot. SEC. 2. That the said corporation shall have power to purchase, acquire, hold, usc aud dispose of real estate in any of thc several Counties in this State, but not in any other State, except the same shall be required to secure the payment of elatrnf held by said corporation, to erect mills and factories in this State, and to stock, furnisl and operato the same, and to dispose of gcucraliy, tho articles so made and manu factured, and to stock, and work, and opo rato farms and plantations within this State aud to dispose of, generally, the products o thc same. Said corporation shall havi power, also, to borrow, money by issuing interest-bearing bonds equal in amount t< its paid in capital, as hereinafter provided and to mortgage its corporate franchise ant property to secure the payment of the same to adopt by-laws, and elect officers, au< employ agents und labor in pursuance of th same. SEC. 3. Tho capital stock of said corpora tion shall bo five hundred thousand dollars divided into shares of one hundred dollar each. Tho Directors of said corporatio: may, at any time, with the consent, in wril ing, of the stockholder holding a majorit of the stock, increase such capital. Th shares shall be deemed personal property and may be transferred in such manner o shall be prescribed by the by-laws of th corporation. SEC. 4. The mortgages mentioned herei and the bonds to be issued to secure tl payment of the same, hereinbefore ai hereinafter mentioned, shall be subject the following conditions: Said mortgag shall be, in their order, liens on the corp rate franchises and property of said corp tion. . The bonds shall be made payable twenty yoars from their date, bearing inl rest at the rute of seven per cent., pay?t annually, and tho Directors may confer . any holder of nny such bond the right convert the principal duo and owing the: on into stock of said corporation, at a time not exceeding ten years from the de of the same, under such regulations as t Directors may see fit to adopt. Tho first niuo persons named the first Section of this Act shall constit the first Board of Directors of tho corpc tion hereby created, and shall hold tl places as such until tho first day kof Ap 1870, aud until others shall be electee their stead, and a majority of them may any meetiug of their Board at any t hereafter, designate three or more of tl number to open books, after twenty di previous publio notice in any paper re lally published in this State, receive s sen plions to the capital stock of tho coi rution hereby creuted, at such place places, aud under such regulations, and per coutago to bo paid, in all respects, as Board of Directors may prescribe. 1 number of Directors, after tho first elect shall not bo less than seven or more t twenty-one, to bo fixed upon by the laws. SEO. C. The officers of the corporation hereby created shall consist of a President, Vioe-Presidejot,^ Treasurer.^ and Secretary, who shall be .elected by the, board of Di? rectors from their number, atul sooh com? mittees may be appointed, and such snbor-1 dinate officers, agents and employees, as] the Board may deem proper and necessary. SEC. 7. The term of said corporation is. hereby. limited to fifty (50) years. Said corporation shall have power to adopt and ase a corporpate seal, to sue and be sued, to ?dead and be impleaded, and also to estab ish its principal office in tho city of New York, and such branch offices in different sections of the State, and in foreign conn tries, as the company may require. SEC. 8. Should it be deemed for the inte? rest of this company, or for the improve? ment cf its real estate, cr for the marketing of its products, to havo road improvements, then it is hereby granted to them the privi? lege of constructing roads, either plank or macadamized, with the privilege of con? necting with any other road in tho State. SEC. 9. This corporation shall ODjoy all the privileges that are awarded under tho general laws of tho State to any corporation, together with tho special privileges ac? corded by this charter. That tho Comptroller-General be, aud he is here? by, directed to audit tho accounts of She? riffs for dieting and removing prisoners np to the first day of July, eighteen hundred and sixty-nine, and draw his warrant upon the State Treasurer for tho payment of tho same, in accordance with the provisions of tho Act of tho General Assembly, ratified on the the nineteenth day of December, eighteen huudred and sixty-six; and the Treasurer shall pay said warrant out of any funds in the Treasury appropriated for that | purpose, or not otherwise specially appro? priated. SEC. 2. The Comproller-General shall debit tho amount of tho said accounts thus ! paid to tho soveral Counties, and on or after the first day of July, eighteen hundred and sixty-nine, shall draw his warrant upon the ] County Commissioners of tho respective Counties for the amount of said accounts thus paid; and when presented with the proper vouchers, tho said County Commis? sioners shall pay to the Comptroller-Gene rul the amount of said warrant, which the Comptroller-General shall at once pay over to tho Treasurer, and credit the County j with said amount upon his books.
