An Act to amend the charier of the Sulphuric Acid and Super-l'hosphate Company. SECTION 1. Jie il enacted bu the Senate and House of Representatives of tho State of South Carolina, now met and silling in General As? sembly, and by the authority of the same, That the Sulphuric Aoid and Super-Phos? phate Company shall havo power, from time to time, to increase their capital stock to any amount not exceeding five hundred thousand dollars, including their present capital stock, whenever a majority of tho stockholders pre? sent at aay general meeting, or the Board of Directors by their authority, shall deter? mine. And such additional stock shall be divided among the stockholders exaotly in proportion to their shares in tho capital stock of the company at the time of such increase; but in case any stockholder should not desire to take, or should neglect for one month to take, his or her proportion of such increased stock, the same shall be al? lotted or disposed of among the other stock? holders, and books may be opened for the purpose of obtaining additional subscribers to such increased stock, in such mauner as tho Board of Directors may deem expo? dient. And in no case shall the members who are unwilling to take their proportion in such increase of stock be assessed to con? tribute or to make up such increase. SEO. 2. Whenever any such increase of capital shall have been inndo as aforesaid, tho President and Secretary shall make nllidavit of the fact and tile the same in tho oflice of the Secretary of State, and make publication thereof once a week for three consecutivo weeks in a newspaper in tho city of Charleston, which shall be legal no? tice to all persons dealing with said corpo? ration. SEC. 3. The said company shall have suc? cession of officers and members, to bo ohosen according to thc rules and by-laws made, or to be made, for their government and direction, and shall have power and au? thority to mako by-laws not repugnant to tho laws of tho laud; to have, use aud make a common seal, and tho same to break and alter at will, to sue aud bo sued, plead and bo impleaded, in any Court of Law or Equity; to purchase, take, hold, sell and convey in fee simple, or for less estate, any lands, teuoments or hereditaments, goods, chattels, rights and credits which may bo connected with, or in any mauner conducive to, tho purposes for which said company is established, to dig and mino for earths, marls, rocks and minerals, to muuumoiure tho sumo aud such other materials as they may purchase or acquire iuto chemical, acids and fertilizers, to carry on trade there? in, and cultivate such lauds as may be pur? chased or acquired by the said company for tho purposes aforesaid. SEC. 4. The stockholders in tho said com? pany shall be jointly and severally liable for all debts tbnt cray be duo and owing to all their laborers, servants and apprentices for ? services performed for suoh corporation, and which the said corporation shall fr.il lo pay; said stockholders shall bo also imbi ? to the amount of their respective share or shares of stook in said corporation for all | its debts and liabilities; and, subjectto these | provisions, the said corporation may carry on its business Tree from tile restrictions, limitations and provisions imposed by the second section of the Act to authorize- and regulate th? creation of private corporations within this State, approved the twentieth of December, Anno Doinoni 1866. Ssc. 5. The said company ?B hereby au? thorized to construct a railroad or train way from tho navigable waters on which their works are situate to the North-eastern nod South Carolina Railroads, and for that pur? pose to lay their track along and across any public way: Provided, That such precau cautions are taken as to offer no hindrance to the public uso of such way. SEC. G. That this charter shall remain in force for thirty years after the passage of this Act and until the end of the next en? suing session of the General Assembly: Provided, That on the expiration or disso? lution of the said corporation the property thereof shall be vested iu tho several mem? bers of the said corporation in proportion to their respective shares in tho capital stock after payment of all debt? of said cor? poration. An Act io enable Ike Savannah and Charles? ton Railroad Company to complete their Poad. SECTION 1. Be it enacted by the Senate and House of Representatives of tho. State of South Carolina, noir met and sitting in General Assembly, and by the authority of the same. That the Savannah aud Charleston Railroad Company is authorized aud empowered to borrow and raise the sum of not more than five hundred thousand dollars, to be used in extending and rebuilding their road nu? der the provisions of their charter. SEC. li. That for this purpose, the said company is hereby authorized and empow? ered to issue bonds to the amount of not moro than five hundred thousand dollars, payable twenty years after the dato thereof, with coupons attached for interest at the rate of seven per cent, per anunm, payable seini-auuiialfy. SEC. 3. That the said company is hereby further authorized and required to fund and redeem the coupons for interest of the bonds of the Charleston and Savannah Railroad Company, guaranteed by the State, now past due, and that may fall due on or before the first day of September, 1801), by issuing therefor au equal amount of their bonds, with coupous attached for interest, payable semi-annually, at tho rate of seven percent, per annum, aud tho principal to become due in twenty years after the date thereof. And tho paymeut of the said bonds, so to bo issued in substitution for interest coupons, shall be guaranteed by tho State in the same manner, and ns fully as the said original bonds of tho Charleston and Savaunnh Railroad Company aro now guaranteed, subject, however, to the provi- I sions of Section C of this Act. SEO. 4. Tho bonds hereinbefore author-1 ized for rebuilding said road shall bo used exclusively for the building thereof, and the outfit of the same. No salary shall bo paid to any officer of tho said road out of the funds so raised by this Act. SEO. G. The said Railroad Company shall deposit the interest on all their aforesaid bonds, os it becomes due, with the Financial Agent of the State of South Carolina, in the city of New York, and shnll notify the creditors of the same by public advertise? ment in one newspaper in New York, one in Charleston, aud ono iu Savannah; aud if said company shall fail to pay the interest on its debt within six months after it shall have become due, or fail to pay or provide for tho payment of tho principal of its debt within six months after it shall have becomo due, it shall bo tho duty of the Comptroller-General of tho State, and he shull have tho power, to take immediate possession of said road, with all its appur? tenances, aud lease tho snme to responsible parties, who shall have control thereof un? til the General Assembly shall by law pro? vide for tho Hettlemeut of the affairs of said company in the interest of all its creditors. Tho Governor of tho State is hereby au? thorized and empowered to appoint two Di? rectors to represent the State in tho direc? tion of said company. SEC. 6. That the present lien of the State of South Carolina on said road shall, upon the issue of tho bonds provided for in and by the first Section of this Act, bo post? poned and become a second lien, which said second lien shall extend over and cover tho whole road, its outfit and real estate, as fully as is already provided for by law. The said road shall bo completed by tho first day of Jauuary, 1870. Sue. 7. This Act shall not be of force un? til said Savannah and Charleston Railroad Company consent to tho amendment of their obartcr, so that the property of said corporation shall be subject to taxation in conformity with Section 2 of Article XII of the Constitution, und said cousent be certi? fied, under the seal of said company, to the Comptroller-General and Secretary of State. Upon tho filing of said consont, tho said charter shall bu deemed aud held to be modified in conformity with said Section of tho Constitution: Provided, That no tax shall bo assessed or levied upon said road until tho same shall havn been completed. The foregoing Act having been presented to tho Governor of this State for his ap f.i .ah end not baying been rot urned by him to the branch of the General Assembly in which it originated within the time pre* scribed by tho Constitution, has become a| law without his approval. CARDOZO, Secretary of State of South Carolina. -o It is stated, semi-annually, that tho re? ceipts from customs now promise to be the largest of any one year in the history of the Government, reachiug probably 8190,000, 000, or $20,000,000 in excess of the esti? mates, and it is not impossible that they may even reach the high ligure of $200,000, 000. The internal revenue receipts to the present time are in excess of 8110,000,000. Tho remaining threo months, till July, will cover the greater portion of tho income tax and the special taxes which fall duo May 1, and whieh will augment the receipts to $150,000,000, and possibly to 8100,000, 000. A Washington correspondent says there Admiral Porter ridicules tho idea that any increased naval force had been ordered to Cuba. He said no orders had been given to place all the available vessels at tho Now England navy yards in immediato readiness for sea. He stated that tho intention was to relieve all the vessels on duty on the | Cuban coast monthly during the summer, so as not to expose the crews too loug to the dreaded yellow fever, which sometimes decimates them during tho hot season; but that ns soon as one vossel arrived there an? other would be ordered home, and that the naval force in Cuban waters would not be I increased. Tho Newburyport Herald comes out in favor of General lintier for tho next Go? vernor of Massachusetts, and says: "Wo need just such a man-a mau of great executive powers-to reconstruct affairs at the State House." The Herald also inti? mates that General Butler will be elected to the United States Senate at an early day. The Democrats of Ohio are urging the nomination of General Hoscncranz as their candidate for Governor of that State. Captain George W. Doty, who died in New York city <>u the 17th instant, entered the navy January 1, 1833. He spent seven? teen years and three months on sea service, was nearly throo years on the coast survey, over ten years ou shore duty, and had been on the reserved list nearly live years. He was in tho navy over thirty-five years. I Tho Bavarian Government intends form? ing a military camp nt Schweinfurt, consist? ing of 20,000 men and eight field batteries, aud great military manoeuvres are to come off about next September. They do things on a liboral scale in Chi? cago. William Sturges, one of Solomon Sturges' sons, who has just gone into bank? ruptcy there, reports his liabilities at 84,445,000. For a long while there was a suit in the New York courts to ascertain to whom the Christy estate belouged. Now the point in the suit is to ascertain where the Christy estate has gone. A grand jury in Georgia presented the late Legislature of that State for reckless extravagance in voting themselves niue dol? lars a day. The President has sent to tho Senate since the 4th of March over 1,100 nomina? tions. The Bank of the State of North Carolina is to be taken out of bankruptcy, as it was illegally placed there. It takes fifty-seven paymasters, from Brigadier General down, to pay off the present standing army of tho United States. Mules and Horses.
