SECTION 1. Be it enacted by the Senate and House of Representatives of the State of South Carolina, now met and sitting in General As? sembly, and by ine authority of the same, That the persons and bodies corporate who shall become stockholders ia the manner hereinafter prescribed, aud their successors, shall be a body politic and corporate, under the name, style and title of the "Home In? surance Company," of Charleston. Bac. 2. The capital stock of said com? pany shall bo two hundred thousand dollars, to be divided into eight thousand shares, of twenty-five dollars each, and shall be raised in the following manner: The following per? sons are hereby appointed Commissioners to receive subscriptions to the capital stock, to wit: Augustus L. Tobias, George W. Williams, F. J. Pelzer, Henry Cobia and Henry Buist. The said Commissioners, or a majority of them, shall open books, within thirty days from the passage of this Act, at each places in Charleston as they sholl appoint, from 9 o'clock of tho fore? noon uutil 5 o'clock ot' the afternoon, and receive subscriptions to the said stock: Pro? vided, The said Commissioners shall have given at least five days' notice by advertise? ment in two daily gazettes in the city of Charleston of the time and place of receiv? ing subscriptions, and shall require a pay? ment of five dollars on eaoh share, to be. mode at the time of subscription therefor, payment thereof to be made in tho natioual currency of the Bank of this or other States, or in the currenoy of the United States, or in stocks or bonds of the city of Charleston, or of this State, or of the United'States, or other good and valid se? curities within tho United States, the stocks or bonds to be estimated at the cash market value by the Commissioners: Provided, also, That the Board of Directors sholl have power, in like manner and at such time as they shall seo fit, to increase the said capital to the su m of one million dollars. Ssc. 3. The subscribers paying their sub? scription money, respectively, shall form the company upon complying with the con? ditions and subject to the provisions herein? after sei forth. i . ?ap. 1. That if, at tho opening of the Vooks, more than eight thousand shares 'sholl be subscribe,*.!, the Commissioners shall distribute the eight , thousand shares of which the capital stock is to consist among the subscribers, as nearly as may be, in pro? portion to the number of shares subscribed by them respectively; but the subscription pf twenty shares or less shall not be reduced nnless the whole number of shares sub? scribed for cannot otherwise be reduced to eight thousand. SEC. 5. That in case the number of shares subscribed shall be less than eight thousand, the Commissioners shall roceive further subscriptions to make up that number at any time within one year after the first opening of the books. SEC. G. That the said company, ander its corporate name, shall have succession of officers and members, and all tho powers, privileges aud franchises incident to a cor Eoration, aud shall bo capable of taking, olding aud disposing of their capita] stock according to such rulos and regula? tions as they shall, from linn; to time, estab? lish; aud also of taking, holding or dis? posing of, or investing tho increase, profits Or emoluments of their said capital stock, and Bball have full power and authority to have and uso a commou seal, and the sume . to alter and renew at their pleasure; and by the name and title aforementioned shall be able and capable, at law and in equity, to sue and be sued, implead and be impletided, answer aud bo answered unto, in all man? ner of suits, pleas, demands and judicial proceedings whatsoever; and they are au? thorized andj ompowored to appoint a Pre? sident, Directors, and other necessary officers, at ?neb periods and with such duties as tho said company shall soo fit; and also to make rules aud by-laws for the good government and management of the officers of tho corporation: Provided, The said mles and by-laws shall not bo repagnant to the Constitution and laws of this State and the United States. SRO. 7. That tho said corporation shall have richi, aud rsower to aeauire. nuschaso. take and bold, in its corporato nanto, lands and real estate, and the same to den? iso, grant, sell, assigu, exchange and convey, in fee (simple or otherwise: Provided, The clear yearly income of the real estate so to bo held shall not at any time exceed ten thousand dollars. SEC. 8. That tho said company is hereby authorized and empowered to make con? tracts and underwrite policies of insurance and indemnify against fire on buildings, goods, warep, merchandize, shipping and other property, lying, being, or deposited in this State, or elsewhere, as well as in the city of Charleston; and, also, to make con? tracts, and underwrite policies of assurance and indemnify upon marine risks, whether of vessels or of goods, merchandize or chat? tels, in whole or in part, foreign and do? mestic, whether upon the high seas, or in foreign ports, or in ports of the United States, or within any of the rivers, bays, creeks, canals or waters of this or any other State or country; and, also, to lend or ad? vance money upon bottomry or respon dentia. SEC. 9. That in case of any loss whereby less than one-third of the capital Btock ol the said company shall be lost during the continuance of this charter, no dividend shal thereafter be made until the deficiency shal be made up by the stockholders of the com pany or by the accumulation of the profit,' of its business. SEC. 10. That if the capital of the com panylbe reduced by losses to less than two thirds of the original capital stock, thi deficiency shall be made up by the stock holders in six months after such reductioi shall occur, and in default thereof, tb affairs of the corporation shall be wound up nud they shall cease to do business. SEC. ll. That if the affairs of the corpo ration are not wound up as directed in th preceding section, aud they proceed witt business, then the President and Director shall be, jointly aud severally, liable to raak good all engagements of the company en tered into after the reduction of the capita! but nothing in this Section shall extend t any President or Directors who shall disseii to the proceedings of the company in thee particulars, and who shall enter his prote: in the minutes of the board and publish th samo in the daily gazettes of the city c Charleston. SEC. 12. Thnt the said corporation sha bo invested with full power to enforce upo their members the due observance of a rules and by-laws for tho good govarnmet and management of the affairs of tho con pany, under such penalties as in and by tl said rules and by-laws shall bo limited an appointed, nnd to this end, if need be, slut and may institute and maintain in the corporate name against any one or more i their members all necessary suits, actioi and pleas, either at law or equity, for tl recovery of any sum or sums of money the use of tho said corporation in as amp a manner as snob suits might bo maintain) against persons not members of the corp ration. SEC. 13. That in all elections and otb corporate acts dono by the stockholders the said company every stockholder shall entitled to one vote for each sbaro own by bim or ber, or standing in his or h name: Provided, That no stockholder sh be entitled to moro than forty votes. Ssc.'. 14. That one-fourth of the capital the compan y shall be paid in, and satisfacte proof thereof be furnished to the Com troller-General before the said com pa shall be authorized to commence b.usino and the residue of the capital shall be pi in at suob times and i:i suob manner as t company may appoiut: Provided, Tho win shall bo paid within ono year after they sh have commenced business, nod evidet of the samo furnished the Coinptroller-G< eral. SET. Iii. That tho books of the compn shall bo examined, from time to time, such person or persons as the General . sembly may for that purpose appoint; i the persons so appointed shall have 1 power to compel the attendance of witues and the production of books and papers, t to inquire into the management of tho c< puny. In case of abuse or violation of tl charter, the said company may be proceoi against by sci re facias in tho Court of C< mon Pleas aud General Sesssious in ain the Circuits of this State, and upon con tion shall bo liable to have their cha annulled by tho judgment of the Court. SEC. IC. That ut least one-half of capital of said company shall bo perraunei invested in stock of this Slate, or of the i of Charleston, or of tho United States, o good stocks of incorporated companies w ai this State, or in bonds secured by l mortgage of real estate, worth not less t forty per cent, beyond tho amount invei within this State; and thc company i transfer and sell such stock, or any j thereof, or dispose of or collect tho i bonds for tho purpose of ro-iuvestm whenever a due regard to the safely of funds may require: Provided, Jwiorver, said company shall not deal or trade buying and selling uuy goods, wares, t chandiKo, commodities or stocks whale ??SEC. 17. That no dividend upon tho c tal of the company shall be declared exe ing twelve per cent, ; any excess of p above said per ceutnge shall be carried surplus fund to meet losses and equi dividends. lu oase, however, the pr fall below tbo per centuge nbove specified, the dividends may bo increased to that rate from the surplus fund. The Board of Dircctoas are here? by empowered to call in the remaining in? stalments on the shares of the capital stock in snob sums and ut such times as they may deem advisable: Provided, Two weeks' no tico bo given of each cull. And the said in? stalments shall be payable in tho some medium as hereinbeforo provided as to the first instalment of five dollars. SEC. 19. That this Act shall be deemed a publio Act, and the charter hereby granted shall continue and be in force for twenty years.
