Tennessee and, Kentucky, which are now being constructor!, .th? j

and the entiro North-west. The distance from Greenville to Ashe
rille is about 60 miles, and by experimental surveys, as we are
informed, has been found to bo a practicable route and of as. easy
grade os at any other point of crossing the Blue Bidge. The whole
line across the mountain could most probably be constructed with?
out a tunnel. Then the construction of an extension from Green?
ville to Asheville .will be of immense value, not only to our road but
to the whole State. Tho citizens of Western North Carolina look
to this connection with tho deepest interest and anxiety, and should
be met by us in a corresponding spirit-taking hold of the first
practicable scheme that may present itself for commencing and
completing the line. A connection with the North-west by railroad
is of the greatest possible importance to the section of country
through which our road passes-not only to the road, which would
at onco be placed on the list of roads of the first importance, but
to the whole people-as the great lever for developing the resources
of the country and stimulating the energies of the people.
The following is a statement of the bonded debt of the Company
on the 1st day of January, 1868, and also of certificates of indebt?
edness issued in 1867 under the Act of the Legislature and the
second mortgage:

In the last annual report it was stated that the Board of Direc?
tors had directed the President to execute a second mortgage upon
the property and estate of the Company for $1,500,000. In accord?
ance with their direction, tho mortgage was executed to C. D.
Melton, Esq., of Columbia, as trustee, bearing date May 1st, 1867,
and was properly stamped and recorded in all the Districts through
which the road passes. For a statement of the bonds and certifi?
cates of indebtedness issued under it to April 1st, 1868, reference is
made to the bond account furnished in this report, and also to the
Auditor's Table No. 1. Tho bonds and certificates under the second
mortgage aro offered in payment of all claims against the Company,
of whatever kind or nature, not secured by prior liens, without pre?
ference to any creditor or class of creditors.
For the information of stockholders, it is proper and due to them
to state the nature and condition of the several cases of legal pro?
ceedings which have been commenced against the Compaq.
On the ovening of the 2d day of May last, (the date of your last
annual meeting, ) service of a subpoena was made upon the President
by the Sheriff of Richland District; in tho matter of Charles M.
Furman, Trustee, et al, against the Greenville and Columbia Rail?
road Company; a bill having been filed (on the same day) in the
Court of F.quity for Richland District, to foreclose the mortgage.
Tho parties whose names appear iu the bill, and at whose instance
tho bill was filed, (as it would appear from tho bill,) are John Cald?
well, T. J. Robertson, John P. Southern, Robert N. Lowis and
Charles Smith, representing about $75,000 of bonds, secured by the
first mortgage. A letter*, however, had been received from C. M.
Furman, Esq., Trustee, dated April 22, 1867, in which ho says: "I
have received from Col. Perrin an application for my assent to tho
filing of a bill in my Darno as mortgagor against the Greenville and
Columbia Railroad Company, on the part of holders of snndry
bonds." The case was continued at the last term of the Court of
Equity for Richland District, and an answer to the bill has been
filed.
A portion of the holders of State guaranteed bouds, which have
been substituted for first mortgage bonds, under the Acts of the
Legislature of January 28, 1861, and December 20, 1866, have filed
a bill against C. M. Furman, Trustee, aud the partios whose names
appear in his bill, against tho State aud against the Company, claim?
ing that they hold the lien under thc first mortgage the same as if
they held the original bonds, and cannot bo excluded by any pro?
ceedings under the first mortgage. A copy of the bill has not been
furnished to the Company, but it is understood that objection is
made to the foreclosure of the mortgage.
Tho State, by the Attorney-General, has filed a bill against tho
Company, C. F. Furman, Trustee, and the parties whoso names
appear in his bill; against the parties complainant in the bill filed
by thc holders of State guaranteed bouds; against other largo hold?
ers of first mortgage bonds, and against all other creditors of the
Company. The bill, by its title, is "Information in the nature of a
cross bill, and bill for injunotion and relief.*' lu this latter bill
objections arc made to the foreclosure of the mortgage, nud in pur?
suance of it an order has been made by thc Chancellor, by which the
further separate proceedings in tho suit of C. M. Furman, Trustee,
aud tithers for foreclosure, and of the suit commenced by tho hold?
ers of State guaranteed bonds, have been stayed: and thc suits
commenced against tho Compauy at law by Thomas C. Perrin,
Executor of James M. Perrin; John B. Earle and George Sims,
enjoined, and all persons restrained from instituting suit agaiust
the Company, and the several causes in Equity pending against tito
Company consolidated with tho ease instituted by tho Attorney
General.
Reference is ruado to thc Auditor's Balance Sheet No. 1, for tho
condition of the Company's assets, &o.; and to the tablo of the
Treasurer, No. 2. rfiowiug the receipts aud dibbursoments for tho
year. These tables furnish a very plain, full and satisfactory state?
ment of the accounts iu their several departments.
Reference is also made to tho report of tho acting Genend Super?
intendent, for information in that department-his service only
commencing on the 1st November, his report of tho operations of
thc year will necessarily be limited, ft afibrds much pleasure to
bear testimony tu his industry and perseverance, as displayed, and j
his devotedness to the interests of the ( 'oinpany. The employees in j
all departments, taken as a whole, have exhibited an energy and |
dovotodness lo thc interests of the Company, anda courtesy in their j
intercourse witli the patrons of the road, in their several depart?
ments, rarely excelled, aud which entitle thom to your conlidence
and esteem.
It is a matter of regret that it has been found impossible- t-> com?
