LAWS OF THE STATE. ACTS OF THF G EN ER AX ASSEMBLY OF SOUTH CAROLINA. Pnbltihcd by Authority. AH AOT to Charter the Union Savings Bank, of Columbia, S. C. SECTION- 1. Be it enacted by the Senate and House of Bep rea en ta ti ve a of the State of South Carolina, now met and sitting in General Assembly, and by the authority of the same: That S. L. Leaphart, John Meigban, J. P. Southern, G. M. Walker, Wm. Glaze, Bichard Wearn, W. B. Nash, Wm. Simons, Jas. Davis, and George Symmers, together with such per? sons as are now, or may hereafter be, associ? ated with them, shall be, and they are hereby, constituted and made a body politic and corpo? rate, by the name and aryle of the Union Savings Bank of Columbia, South Carolina, and, by that name and style, shall be, and is hereby, made capable in law to have, pur? chase, enjoy and retain, to it and its succes? sors, lands, rents, tenements, goods, chattels, and effects, of whatever kind or quality soever, and the same to sell, alien or dispose of; to ana and be sued, plead and be impleaded, an? swer and be answered, defend and be defend? ed in courts of record, or any other place what? soever, and, also, to make, have and use a common seal, and the same to break, alter and renew at their pleasure; and, also, to ordain and put in execution such by-laws and regula? tions as may seem necessary and convenient for the government of the said corporation, not being contrary to the laws of this State, or the constitution thereof. SEC. 2. That the capital stock offsaid cor? poration abai! not be less than twenty thousand dollars, whioh may be increased from time to time to a snm not exceeding five hundred thousand dollars, and shall be paid in and ac? cumulated as heroinaftoriprovided. SEC. 3. The said corporation shall have pow? er and authority to invest its capital stock, or other funds, in bank or other stocks, in the purchase of bonds of the United Staten, bonds issued by this or any other State of the United States, and in bonds of any incorporated com? pany, to lend money upon personal or real security, to discount bonds, notes and bills of exobange, and to guarantee the payment of notes, bonds, bills of exchange or other evi deuces of debt. Bia L The said corporation ah all reoeive deposits from any person or persons, and all such deposita shall be invested aa the board of directors may deem most (advantageous, and in accordance with Bec rion, third, and in ' terest shall be allowed to the depositors there? of as may be directed or provided for by the -by-laws of the institution. Bsc. 5. Each subscriber to stock in this bank shall, on or before the fifth day of each month, pay, at the office of the bank, one dol? lar per sharer of his ar her subscription, and ' any subscriber failing to do so shall be fined . five cento per share for suoh delinquency, and, ' for each sncoeeding ten days' of such delin? quency, ten oente per share additional; and if, atibe expiration of two months, such delin? quency shall still .exist, the stock ahaU be sold at public auction, the proceeds of whioh shall be paid tb such delinquent stockholder, after deducting al)fines tbat may be charged against him and bia proportion of all losses sustained and expenses incurred by the institution in the course of its business. Ssa 6. As soon as the stock becomes of the value of one hundred donara per share, scrip shall be issued to each stockholder for the number of shares standing in bis or her name on the books of the institution, signed by the president and cashier, with the corporate seal " of-the bank affixed, from which time the pay? ment of monthly instalments shall cease. m m - . i lill i 111J ll I to the stock becoming of the value of ono hundred dollars per share, may withdraw from the institution, upon written notice being given at any regular meeting of the board of directors, and at the expiration of ninety days v the institution shall pay to eaid stockholder the actual value of bis or her stock at the date of notice of withdrawal, tbe monthly instal? ments of such stockholder ceasing from - date of said notice; .or said stockholder may sell or transfer bis or her interest to any other per? son, the purchaser berna placed on an equality with the other stockholders. SEC. 8. By actual value of the stock is meant the amount paid in 'by each stockholder, to . gather with his or her proportion of any profita, and deducting therefrom his or her proportion of any losses that may have oc? curred, and withholding his or ber proportion of any investments about which the board of directora may be doubtful, until they are sat? isfied. Sss. 9. Aa soon after the stock ba jomes of ] the value of one hundred dollars per share, and scrip is issued therefor, the directors may make dividends at such times, and of so much ot the profita of the bank, as shall ap? pear-to them advisable. Sic. 10. There shall bo elected, as soon after the ratification of this act as the corporators and subscribers may deem advisable, and an? nually thereafter, seven directors from their number, who shall appoint one of their num? ber president, and may fill any vacancy oc? curring in the board, unless it be by removal, in which case the members shah fill the same in general meeting. The board shall appoint (to bold at its pleasure) the subordinate offi? cers and agents, prescribe then* duties and compensation, and take from them such bonds, with' security, as it may deem advis? able. SEC. IL It ahall be . competent, at any gen - eral meeting of the stockholders, to change tbe time of holding the >nnn%i meetings; and extra meetings may be called at any time, upon a written application to the board of directors, signed by stockholders representing not lesa than one-half of the capital Btock; and at all meetings of stockholders each share shall entitle ito bolder to one vote, and a rep? resentation of a majority of the entire stock by the holders in person, or by their proxies, shall be requisite to constitute a quorum. Szo. 12. The said company is hereby declared to be capable in lawjof holding and exercising the office of executor, by appointment of any testator; tho office of administrator of the testator or intestate, by appointment of the court of probate; the office of guardian, or other trustee, or any estate which may be held in trust, by appointment of any person or court of competent authority to make such appointment; and the office of trustee nuder any mortgage. And, io any such case, the said company, as lezecutor, administrator or trustee, shall be subject to the same measure of accountability, and to the same rules and regulations of law, which pertain to such trusts when held and exercised by neutral per? sons, except that, in lien of any bond to be required of said company for the administra? tion of any trust, the capital stook and other -assets of the company shall stand pledged for the faithful discbarge of any suoh trust. SEC. 13. Tbe said corporation shall have au? thority to establish brunch offices at such points tl this State as the directors may elect: Provided, That the business transaction at such branch offices shall constitute a part of j the general business of the bank, and shall be reported to the office in Columbia, at least once in every-mont h. IL This act ahall be deemed a public ?vet, and shall be judicially taken notice of j without special pleading; and the charter granted shall be io force from its passage, and cont inue in force for a period of thirty years. |. The Dally Bulletin says: Receipts to-day of 436 bbls rosin. Spirits turpentine ls decidedly firmer to-day, with a fab* amount of activity, but trans? actions mostly in small parcels. Sales 800 bbls in lots at 64a68c, 65 bbls at 65c, 100 bbls at 65Kc, and 60 bbls at ssc, the market closing strong at the latter price.
