? and Probable Effects.
For some, time past rumora "have been in
creasing of a proposition, io behalf of tbe
Central' Railroad ol Georgia, to become the
lessee of tho South Carolina Railroad. Of
late these- rumors have assumed more cer?
tainty, and, to some extent, have developed
the inducements which will be oflered to the
stockholders o? the South Carolina Railroad.
The chief of these, "is said, will be an en
garment to lease the road and. all proper
ties of the South karolina Railroad fora
long term, of years, paying a .dividend to the
stockholderb ?? ?be rate of four per. cent, on
the par value c: the shares:' In addition to
which i the usual, undertakingwill be made
to pay the interest on the debt, keep the :
road in repair, and return it, in the same or- ,
dor in which it may be received, at the ex- i
piraron of the lease.
. The Central Railroad in Georgia is to the
City of Savannah very much, the same as
t?i.e:South Carolina Railroad i3 to tho City j
of-Charleston. The competition between "
those two roads Is not ody induced by a ,
regard- for.the interests of the stockholders .
in each, but, ia a, great., measure to sustain

the colossal proportions of the Central Rail?
road in Georgia, when the competition of
the Sooth Carolina Railroad has been over?
come. ' The question, therefore, of the. lease
of the Sooth Carolina Railroad is the qaes-'
tioii of the commercial independence, it may
be' Bald, the commercial existence, of the
City or Charleston.
The considerations, however, which.at thia
time it la desired to present io.connection
with this matter are addressed immediately
to tho stockholders of the S jut h Carolina
Railroad. For th? present, we put aside all
questions of pride, whether it affects them
as citizens of the State or residents of the j
City ol Charleston. We address ourselves
to lt as a purely business matter.
For the present, also, we pot aside any
consideration of the. motive or parp?se
which prompts the offer o? the Central Rail- ;
road of.-Georgia to ?ease the South Carolina j
Railroad. It may be that, in the teeth of j
the gigantic efforts of the Central Railroad
to absorb the business of the South and
Southwest and centralize it in Savannah, :
resolta have shown that, with the competi?
tion of the Sooth Carolina Railroad, the
efforts ; of the Central Railroad-have been
unavailing, and that its last effort is to ab?
sorb a competition with which it could not
contend, and buy, in the shape of a lease
of the South Carolina Railroad, tbe life?
blood of the State oi Sooth Carolina, and o?
the City of Charleston. We say nothing by
way of reproach, te the'persons who con?
trol the Ceotral Railroad, or to those who
wish to give to the City of Savannah aa en?
during pre-eminence over the City of
Charleston. They, have heretofore struggled
for the success ol the Central Railroad, and
the pre-eminence of the City of Savannah,
with a zeal which no one can fail to com?
mend. If they cap, after having failed to
overcome us, conduct themselves so skilfully
that they will make us the meaos with which
we shall overthrow ourselves, still greater
will be the credit due to their sagacity.
What particular quality will thenceforth be
considered as characteristic of os is a mat?
ter that; after the lease is signed, we shall
probably know without being told. Bat of
this, more hereafter. It is to the stockhold?
ers of the South Carolina Railroad that we
now speak. What tempts the stockholders
: in this:'ofter?' Simply tho four per cent,
dividend that is promised. If there ls noth?
ing else to be considered, the inducement is
proper, and ID itself ls good. But is the
stockholder certain that, at the end of two,
three br four years, he will have any stock?
And if he bas no stock, where will be his
dividend? These queries may seem strange.
A few words will make them plain eoough.
In two or three years, a certain portloa of
the debt of the South Carolina Railroad will
become dne. If the control of the South
Carolina Railroad has passed into the Cen?
tral . Railroad of Georgia, who is to provide
for the payment of this debt ? The South
Carolin! Railroad, as an independent cor?
poration, will have ceased to exist; it will
'have become a mere appendage of the Cen?
tral Railroad. Will the Central Railroad
j ay the debt? Certainly not. What, then,
will follow? The creditor of the South
G'Wlica Bauroad saes that road; recovers
Iiis j?dgtneat; and th? property of the South
Carolina Railroad-the railroad itself-ia
sold by lae shena. TY? interest of the
stockholder is gone, and all the rights ne
bad as such belong to the pnrchaser at the
"sherifi's Bale. It is idle to talk o? combina?
tions among the stockholders to provide for
the debt. We all know how ridiculous is
the suggestion that the stockholders of the
South Carolina Railroad could or would
combine out or their personal resources to
pay the debt of the road. No other conse?
quence then ensues than that which has
been stated. But who will buy ? The some
parties who are the lessees. For the debt
sued for, whether that debt be $50,000, or
$100,000 or $150,000, they will buy out the
whole of the interest in the South Carolina
Railroad that is now held by its stockhold?
ers. And BO baying, these parchaseis will
hold this road ai their own property, sub?
ject to no other charge than the debt which
is secured by a mortgage of the road. So
bought, subject to that charge, it will be
probably, for the parpases for which the
purchase will be made, the cheapest pur?
chase of a railroad of its kind ever made in
the United States. This danger, therefore,
to the stockholder of the loss of hts stock
cnn only be prevented by not leasing the
road; ,by not'giving the control of rt to
those'whose interests arf adverse to it, nnd
whose interests are promoted by making its
management different from what it now is.
The inducement of this dividend, therefore,
to the stockholder is that he will receive it
for two or tiree years, and then, aa he will
cease to be a stockholder, the dividend will
also cease. The proposition, in fact, is to
each stockholder to sell bis Btock for two or
three years' dividend of four per cent, on its
par value.
If the offer of tUe Central Railroad had
been to bind itself to extend the debt of-the
South Carolina Railroad, during tbe con?
tinuance of the lease, the offer would have
been specious, but. nothing more; for every
stockholder would have seen that, with the
management of the South Carolina Railroad
for a long term of years in the banda of i
rival corporation, at perfect liberty to use it
for the purposes of trade, at the end of Ihe
lease the course of trade would have bern so
changed as to make it impossible hr the
South Carolina Railroad to pay its debt. It
would, in that form, have only deferred for
a certain number of years that result which
now will come to pass in the next three or
four years, after such a lease is made as is
proposed in behalf of tho Central Railroad
of Georgia. _ _
The Last Dodge.
There is a rumor in Columbia, which bas
come to the ears of The Phoenix, that a
Ring, composed of the Southern -Security
Company and some cf the State officials,
have formed a plan for buying the Spartan^
barg and Union Railroad, for a mere song,
at the approaching, sala The State would
lose Its endorsements, amounting to $600,
000, and the Ring, by extending the road
from Alston to Columbia, would head off
the Greenville Road, and make tbe upper
part of the State tributary to the Northern
ports. . ' '. :
Tho Death of Colonel Jam?? H. Taylor.
"The death or Colonel James H. Taylor,
which took place on Saturday evening, was a
severe shock to the whole community. In the
maturity of mind .and body, in vigorous
health, of remarkably abstemious habits, and
content lu the enjoyment of a lite of faithful
and intelligent mercantile labor, he may weil
have looked forward to loflg years of useful
prosperity. Called a second time to take part
In the government of the city, he had already
obtained a commanding Influence among bis
colleague?. His busy brain was flited, with
plana of Improvement for the Charleston In
which he had dwelt for more than four de?
cades... There was no halting or hesitat?
ing In his private or publio career.
He was looked upon as a staunch
citizen, who, whether in commerce'
or In the direction of municipal affair-1,
would work untiringly and unceasingly to
achieve an honorable success. No man in
Charleston seemed less likely to serve as a
melancholy example of tbe uncertainty of
life.. Yet while,his cheery words were ringing
In the ears of bis business friends, while the
pressure ot his hand was still felt by him who
had accompanied the fated man to his very
door, while his stalwart form still lingered on
the retina of those to whom he bad just ex?
posed bis broad plans for the business season,
the shadow of death was over and around
him, and the span of Bis days was well-nigh
run. Without warning, without an instant of
preparation, with no opportunity of bidding
his family a last farewell, the strong man was
stricken down. An exclamation rang from
his lips; In an Instant he was insensible; before
an hour he was dead. Well may we pray, in
the words of the litany, to be saved from Bud?
den death.
Colonel. Taylor was born In Sunderland,
Massachusetts, on March -23,1811. He came
South and settled in Charleston in 1830, being
first employed In the house of William B.
Har ward & Co., ot King street. Afterward he
entered the house of Dick & Holmes in Vendue I
Bange. He then engaged In the dry goods
business on bis own account, and, still later,
became the senior member of the auction firm
of Taylor, Levy & Co. He also did business in
Broad street, as an Insurance agent. Dui lng
the war he was mainly engaged In the auction
business, and, at the close of the war, found
himself the possessor of considerable prop?
erty. He was then admitted as a partner in
the firm of G. W. Williams ?fe Co.,: where, at
the head of the factorage business of that
mammoth house, he remained until his death.
Colonel Taylor always paid especial atien-,
tlon to industrial enterprises. He was one of
the founders of the manufacturing company
whose buildings are now used aa an almshouse;
he waB treasurer, for many years, of the
highly successful Granltevllle Manufacturing
Company, and was aRewards the president of
the Batesvllle Mauulacturlog Company.
In 1832 be became a member of a spirited
military company called the Northern Volun?
teers, ol which he was chosen captain. During
the Confederate war he was a captain of the
Home Guard, being beyond the age of active
service In the field. Ho was, also, aide-de
camp to Major-General Schnierle, whence he
received bis title of colonel.
Colonel Taylor was a member of the Presby?
terian Church, and an earnest worker la all
charitable undertakings. When the Howard
Association was formed, Colonel Taylor be-'
came one of its most active members. Al?
though a Northern man and unaccllmated, be
declined to flee from the yellow fever, and be?
fore he was out of danger himself, he was
busily engaged in nurelng the desolate and
poor. In recognition of his high merit, he
was elected president of the Howard Associa?
tion at its reorganization last summer. Dar

ability, his zeal and, hlB industry were more
lhan ever conspicuous.
Colonel Taylor was a man who, without
courting popularity, gained general confidence
and respect. This was tbe meed of an up?
right and honorable career; a lifetime of stern
rectitude and inflexible mercantile Integrity.
We dare not dwell upon the circumstances,
of his,awfully sudden dea:h. Apparently.in
perfect health, he was seated attable en Satur?
day evening, when he suddenly put bis hand
to iris head saying, "TAis is apoplexy!" He
was then removed to the library la an insen?
sible condition. His physicians, who were in?
stantly summoned, were unable in any way to
relieve him, and he breathed his lost at six
o'clock without, for an Instant, recovering bis
co nsc lon s ness. ?' .
His funeral services will take place this af?
ternoon, at three o'clock, at the Glebe street
Presbyterian Church.

and becomes somewhat prosy; but the "Two
"Mrs. Scud?mores," an exciting sketch, is
brought to a close, and the "Haunted Enghe
"nio" ls both short and graphic. A practical
paper in discussion pl "Toe Nine Hours' Move?
ment" ls especially valuable and cheering at
this time, and the third article upon 'Trench
"flomd Life" is as thoughtful and attractive as
its two predecessors. Instead of a purely
political article, we have, this month, a narra- j
tive of the loss of the troop-sblp Megaera, by
one of the survivors; as fascinating a history
as any of the taleB of disasters at sea in
which the young take delight.
