day, May 2. Dr. M. LaBorde was called .to tho (
Chair, and Mr. C. V. Carrington, Secretary of the j
Company, was requested to act as Secretary of the -
meeting. The Chairman appointed a comraittoe ,
to verify proxies, and called upon the stockholders
for tho" amount of their individual stock. Tho,
committee reported 49,161 shares represented.
The President, H. P. Hammett, Esq., read.the re- j
port of the Presidentrand Directora, together with
the Superintendent's report. These were referred (
to acommitteo, who, after examination, reported |
thb'entire'. indebtedness of the company to be J
something over $2,250,000. Tho expenses of the
past year, both ordinary and extraordinary, havo
boan a little over $300,000; of this amount $125,
000-bave been applied to the reconstruction of I
that portion of the road destroyed by thewar and [
freshet; tire total income for the past year
has been S251.000; the actual debt Of th? road has,
in the past twelve months, increased; $50,000,
exclusive of |h?.' interest accruing : upon tho
bonded debt of the company. .
The Committee concurred in the suggestion of j
the. President, that the Act of the Legislature,
passed at the -session of 1866, relative to retiring
certain bonds-of the road, should be. adopted, and
recommend such adoption to this Convention.:

disfranchising clauses in the Reconstruction Acts,
will put a stop to the proscriptions of tho Boards

lersigned hereby assumes command of the Second Mili
Lary District constituted by the Act of Congress, Public
ito. 68, 2d March, 1867, entitled "An Act for the more
efficient government of the rebel States."
II. In the execution of the duty of the Commanding
Sien eral to maintain the security of the inhabitants in
their persons and property, to suppress insurrection, dis*
order and violence, and to punish or cause to be pun?
ished all disturbers of the public peace and criminals,
the local civil tribunals wiU be permitted to take juris?
diction of and try offenders, excepting only such casca aa
may by the order of the Commanding General be refered
to a Commission or other military tribunal for trial.
TIT The civil government now existing in North Caro?
lina and South Carolina is provisional only, and to all re?
spects subject to the paramount authority of the United
States, at shy time to abolish, modify, control gr super
cede the same. Local laws and municipal regulations
not inconsistent with the Constitution and laws of the
United States, or, tho proclamations of tba President, or
with such regulations as are or may be prescribed In the
ordere of the Commanding General, are hereby declared
to be in force; and, m conformity therewith, civil officers
are hereby authorized to continue the exercise of; their
proper functions, and wm. be respected and obeyed by
the inhabitante. ...
TV. Whenever any Civil Officer, Magistrate or boort
neglects or refuses to perform an official act properly re?
quired of such tribunal or officer, whereby due and
rightful security to person or property shall be diniert,
the case wm be reported by the Past Commander tojthess
Headquarters. !_
V. 'Post Commanders will causo to be arrested persona
charged with the commission of crimes and offences
when .the. civil san tb orri tl wi fail to arrest and bring, such
offenders to trial, and wm hold the accused in custody
for trial by Military Commission, Provost Court or other
tribunal organized pursuant to orders from these Head;
quarters, 'Arrests by military authority will bc repbrted
promptly. The chargea preferred will be accompanied
by the ?vidence on which they are founded.
