last mentioned are all paid for in stock, the
contractors working out the amounts of subscription.
Contracts have also been agreed
upon for the work between the Air Line Railway
and the town of Dallas.
It is very important that the road should
he completed to the Air-Line Railway by the
1st of October, as with it in operation to that,
point, the receipts will be more than doubled
over what the present earning amounts to,;
with no additional expense except that of fuel, j
And it would be of incalculable advantage if,
it could reach Lincolnton by the 1st of January,
1875. Whether it will do so or not, de- 1
pends solely upon the interest taken in it, by
those whom it would so greatly benefit. I re- '
gret to say they have been very slack in con^
tributing aid to the work. The failure of
nearly all of the counties in North Carolina
to vote the subscriptions which were so hopefully
counted on, has so changed the financial
aspect of the company as to render the pro
gress of the work uncertain, and it may take j
years to accomplish what should only be the I
work of months. The report of the Engineer |
shows that the whole road can he built and
put into operation for the sum of 8629,855; a ;
very small sum for an ojKirating road of over
one hundred miles, penetrating the most pro* i
duetive portion of the State. To meet this j
your Treasurer's Stock Book .shows only !
8277,000, leaving a deficiency of 8362,825.
How to meet this is a question for our consideration.
I can suggest no other way but by
the issue of bonds of the company. Could
we carry the road through to Lincolnton by
the 1st of January, we could have sixty miles
of operating road as a basis of credit, and the
bomis of the company would command from
eighty-five to ninety cents on the dollar.
An agreement has been effected with the
Wilmington, Columbia and Augusta, and the
Charlotte, Columbia and Augusta Railroad
Companies, to transport "all iron and rolling
stock to be used in the construction of our
road" over their roads, and to receive in payment
for the transportation of the same, stock
of the Chester and Lenoir Narrow Gauge
Railroad Company at its par value of one
hundred dollars per share.
I regret to be under the necessity of calling
your attention to the fact that a number of
the stockholders are not paying up their installments,
and hope you will adopt such
measures as will compel them to pay up I

off the contractors monthly, and complete the
road to Dallas without delay.

: The Finance Committee, appointed by the
President, pursuant to a resolution adopted by
the Board of Directors at Yorkville, 25th of
March last, made the following report which

Chester, S. C., May 8th, 1874.
The committee appointed to examine the
books and vouchers of the President and
Treasurer, respectfully beg leave to report
that they have carefully performed the duty
assigned them, and find them correct. They
also find that there is a balance due the Presideut
of ?1,485 95, cash advanced by him for
the company; and we hereby recommend
that they be received as eutirely satisfactory,
and the Treasurer be authorized to settle the
balance due the President.

The following gentlemen were then appointed
to examine and report at once upon the
several officers' reports, to wit: M. A. Moore, |?

of Chester, who retired at once. After an absence
of about an hour, they returned with
the following report, which was unanimously
adopted as a whole, to wit:

To the Jirst Annual Meeting of the Stockholders
of the Chester and Lenoir Narrow Gauge
Railroad Company:
The undersigned, a committee appointed to
report on the several officers' reports of said
company, respectfully submit the following
for the consideration and action of said meeting
We approve of the provisions contained in
said reports, and recommend the adoption of
the same, and express our satisfaction at the
prompt and energetic manner in which the officers
have discharged their several duties.
We take pleasure in stating that an early
completion of the enterprise may be expected
under the ability, energy and fidelity which
have hitherto characterized their labors. We
therefore suggest, with the view of carrying
out the recommendations as set forth in said
reports, the adoption of the following resolutions,
to wit:
Resolved, That in order to provide means
* to secure the early completion of the road,
ourchase iron and other material for the road,
and to fund the floatiug debt of the company,
the President and Board of Directors be authorized
to issue bonds of this company, at
the rate five thousand dollars per mile, said
bonds to run twenty years and bear interest
^ at the rate of seven per centum per annum,
payable semi-annually at such bank-or banks
in the State of South Caroling or North Carolina,
or in the city of New York, as the
President and Board of Directors shall determine.
Resolved, That, to secure the payment of
said bonds and interest thereon as it shall become
due, the President and Board of Directors
are hereby authorized to pledge, by way
of mortgage, the entire property, assets and
franchises of said company; provided said
bonds or any portioa of them shall not be put.
upon the market, except at such times, and in
such quantities, and at such prices as the President
and a majority of the Board of Direc-'
tors, in full meeting, shall approve and direct. \
Said bonds and mortgage to be signed, attested
*- and otherwise executed in such manner as the t
President and Board of Directors shall pre-j
scribe; but to remain in the custody of the ;
Treasurer until the same shall have been ne- i
gotiated, and only to be drawn from his hands
by order of the President and Board of Directors
after negotiation and sale.
In reference to the suggestion of the Presi- '
dent, in regard to the delinquency of stockholders
in paying the regular installments 1

Resolved, Thas the necessity of prompt
payment be urged upon the stockholders, and
that in case of default herein, the treasurer
be instructed to enforce collections by the most

The following resolutions, offeied by C. S.
Brice, Esq., were unanimously adopted, to
wit:
Resolved, That the resolution passed at the i
meeting of the stockholders of this company
at Chester, in the State of South Carolina, on
the 3d day of April last, in reference to the
matter of the sale or hypothecation of the
county bonds of the couuties of York and
Chester, in the said State be, and the same is
hereby rescinded.
Resolved, That the President and Board of
Directors be authorized and empowered to
locate the workshops and the necessary depots
f along the line of the road, as the progress of
| the work thereon and the exigencies and inI
tcrests of the company may require.

Resolved, That the Secretary of this company
be instructed to prepare, and have

copies, in pamphlet, of the reports of the President
and Chief Engineer, and with them all
of our charters in North Carolina and South
Carolina and amendments thereto, including
the charter of the North Eastern Railroad to
which the charter of the Chester and Lenoir
Narrow Gauge Railroad refers, and the charter
and amendments of the King's Mountain
Railroad, and also the By-Laws of this company.
On motion of V. A. McBee, of Lincolnton,
C. S. Brice and John C. McFadden were appointed
to assist the Secretary in carrying out
the provisions of the last resolution.
The meeting then proceeded to elect a
President and Board of Directors.
The feeling of the stockholders being so
unanimous in favor of the re-election of Dr.
Davega as President, it was suggested by
Col. John S. Wilson that the vote be taken
by acclamation, which was agreed to, and
Dr. A. H. Davega unanimously re-elected
President of the company.
The following gentlemen were then elected
Directors, to wit:

annual meeting of the stockholders of this
company was appointed for the second Wednesday
in May 1875, at Yorkville, South
Carolina.
Newspapers along the line, friendly to this
enterprise, are requested to publish these proceedings.
After a vote of thanks to the Chairman
and Secretaries, the meeting adjourned.

Greenville County, in the said District, duly declared

entitled "An Act to Establish a Uniform System of
Bankruptcy throughout the United Mates," Approved
2nd March, 1887, for adischargeand Certilicate
thereof, from all his debts and other claims provable
under the said Act; and the 1st day of

hearing of the same, before William I. Clawson,
one of the Registers in Bankruptcy of said Court,
