Clay Hill and the adjacent neighborhood, are
preparing to celebrate properly, and in a manner
to exhibit their devotion and enthusiasm,
that eventful criais in the world's hi?tory?the
fourth of July.
Dr. J. B. Hunter, we are informed, will read
the Declaration of Independence; Dr. T. W.
Campbell, a young man of worth and promise,
delivers the Oration. It is nothing but right
that we should oherish those days ; nay, it is our
dutyt I verily believe, "on proper occasions, to
recall and rekindle" the thoughts and emotions
which must have actuated the men of seventy
six. Let us endeavor to inspire our children,
our sisters and brothers, our fathers and moth
ers, "with more of that spirit of devotion to!
country and to the cause of justice and right, J
which were signally displayed by the men of the j
reTolotion. Let as celebrate joyfblly, each re j
turning Independence Day, and make the fourth j
gf July really and truly, a great holiday for all:

KUG'I MOUNTAIN RAIL. ROAD.
In pursuance of a notice heretofore given, a
apecial meeting of the stockholders of the King's
Mountain Railroad Company took place in the
Railroad Depot, this day, at 5 o'clock, p. m.,
when the following proceedings were bad :
W. E. Rose, President, was called to the Chair;
and J. H. Faywoux, Secretary.
The object of the meeting was explained by
the President?that he and a portion of the Directors
differed in opinion, and that they had filed
a Bill of Injunction against him, thereby restrain- j
ing him from performing certain duties of his j
offioe, and that he now left the matter to the
Stockholders for their decision.
On motion, the Chairman appointed the following
persons to verify proxies, viz: B. T.
Wheeler, Col. W. C. Beatty and D. J. Logan.
The Secretary proceeded to call the roll of
stockholders ; and upon the call having been
gone through with, the Committee on Proxies
reported that? ,
"The Board appointed to verify Proxies, re 1
port there are represented in person, three hundred
and eighty-five shades; and by proxy, six
hundred and fifty-eight?making in the aggregate,
one thousand and forty three?two thous- 1
and and thirty two being the amount of stock; 1
there is, consequently, a majority of the stock 1
represented, ant this meeting is, therefore, con- 1
stitutionally qualified to proceed to business." 1

Resolved, That in accordance with a provision
of the King's Mountain Railroad charter, con
tained in section 4th of said charter, "that any
of the Directors mar, at any time, be removed,
and the vacancy thereby occasioned be filled by
a majority of votes given, at any genernl 01
called meeting"?Messrs. E. A. Crenshaw, H
F. Adickes, R. S. Moore, J. L. Miller and 8. G
Hemphill, be removed from their places on tbe
Board of Directors, and that others be electeu
to fill their places.
The resolution was adopted by a vote of one
thousand and thirty-six shares.
On motion of Mr. Wheeler, it was agreed to
go into an election for five Directors, to fill vacancies
in the Board, whereupon the Chair appointed
D. J. Logan and S. B. Meacham tellers
of said election, and they report the following j
named persons duly eleoted, vl*: G. R. Ratcb
ford, Robert Whitesides, D. J. Logao, Gilbert I
Dickson and 8. B. Meaeham, by a rote of 1007

It was ordered that the proceedings of this j
meeting he published in the papers of the district. I
