The Supreme Court on May 17th, filed Its
opinion In the matter of the Troy Oil MiU.
involving the validity of an unrecorded j
mortgage as against a subsequent simple contract
creditor?the opinion containing the
first application made by the Courts of the 1
Actor 1398 requiring mortgages to be recorded 0
within forty days In order to be effective as '
against such creditors. The opinion is of faireachlng
importance to the public, and Is
quoted from at length on this point. Associate
Justice Wood, for the Court, nays:
"The D. A. Tompkins Compauv furnished ^
the machinery for the Troy Oil Mill uuder a
contract which provided it should retain title
to the machinery until payment of the pui- s
chase money. Tne date of the contract Is k
May 17,1901, but it was not recorded until De- E
cember 9,1904. It provided that xhlpments of r
power plant machinery were to begin July 1,
1904, and of oil mill machinery July 20, 1904.
Tbe only evidence of the actual date of deiiv- a
ery of machinery is the statement of the pres- t,
ldent of Troy Oil Mill that according to his .
recollection all the machinery was shipped L
and on the ground on August 2?, 1901, on g
which date a note for 85,000.00 was given to <j
First National Bank by tne Oil Mill Company,
and the proceeds paid on the machin- 1

"It was held by the Master and the Circuit I]
Court Judge that the bank could not assail a
the validity of the passage mortgage contract
for failure to record, because it dlo e

therein mentioned. As far as we cau dlscov - q
er ibere is do evidence that credit was not ex- ,
tended on the faith of the machinery ; but 11

seller of the machinery. Proof that a subsequent
creditor did not even know of the existence
of the property covered by an unre- ~
corded mortgage would not avail the mori- ?
gagee, for the reason that the statute makes r
no such exception In tne protection afforded
to subsequent creditors without notice. Si- e

In order to protect those who from design 01 ^
negligence fail to record their papers and
then when disaster comes set them up against e
subsequent unsecured creditors. But the
Master and the Clroult Judge further held L
that actual notice of the mortgage must be D
imputed to the bank from the faot that S. H. ?
McGhee, the president of the bank, was also :
attorney o' the Troy Oil MlH.and Dr. Neel, 1
the president of the oil mill company w^s a s
director and a member of the loan committee t
of the bank.
"Mr. McGhee says that he bad no notioe ol r
the mortgage contract, and did not eveD 3
know from whom the machinery was bought,

remember making any statement about the r

Company, at all events, has an equity to re- ?

note It holds, they being directors of tbe oil e

tbe Tompkins Company's contract as a pre- r

pany baa no equity superior to ibe sureties.
It Is true these sureties were directors of tbe
oil mill oompany, but being sureties tbey
were not primarily liable for the debt. There g
la no evidence that tbey bad dny part In i,
keeping the contract off tbe reoord, and It r
' would not beequltable to require them to pay 1
a debt to tbe exemption of tbe 'property 01 a

a oredltor who had lost his preference by bis

"No fee was claimed or proved before the H
Master, and there was no exception to bis re- f<
port on this point. Upon the hearlDg of the
F cause, however, tbe Circuit Judge ordered 1

opportunity to be heard, and we think tbe
Circuit Court erred in this particular. Tbe ~
claim for fees may still be brought before tbe C
Court in tbe munner above indicated. a
