H I' -V ? The Supreme Court on May 17th, filed Its opinion In the matter of the Troy Oil MiU. involving the validity of an unrecorded j mortgage as against a subsequent simple contract creditor?the opinion containing the first application made by the Courts of the 1 Actor 1398 requiring mortgages to be recorded 0 within forty days In order to be effective as ' against such creditors. The opinion is of faireachlng importance to the public, and Is quoted from at length on this point. Associate Justice Wood, for the Court, nays: "The D. A. Tompkins Compauv furnished ^ the machinery for the Troy Oil Mill uuder a contract which provided it should retain title to the machinery until payment of the pui- s chase money. Tne date of the contract Is k May 17,1901, but it was not recorded until De- E cember 9,1904. It provided that xhlpments of r power plant machinery were to begin July 1, 1904, and of oil mill machinery July 20, 1904. Tbe only evidence of the actual date of deiiv- a ery of machinery is the statement of the pres- t, ldent of Troy Oil Mill that according to his . recollection all the machinery was shipped L and on the ground on August 2?, 1901, on g which date a note for 85,000.00 was given to <j First National Bank by tne Oil Mill Company, and the proceeds paid on the machin- 1 ery. The question Is wneiter tbe contract e made with me D. A. Tompkins Company, be- f tag a contract in tne uaiure of a mortgage, _ not recorded wltbln forty days from tbe time I; its execution or delivery, is u valid lieu a?> i" against tbe banK claiming to be a subsequent creditor without notice of the terms of the t f&;-i contract. 1 "It was held by the Master and the Circuit I] Court Judge that the bank could not assail a the validity of the passage mortgage contract for failure to record, because it dlo e s%waritf nn thu faith i\f fhft nrnnflriv t nut CAICUU vt vu4 V vu ?U r'?r**v therein mentioned. As far as we cau dlscov - q er ibere is do evidence that credit was not ex- , tended on the faith of the machinery ; but 11 even if it was not, this could not avail tut- a seller of the machinery. Proof that a subsequent creditor did not even know of the existence of the property covered by an unre- ~ corded mortgage would not avail the mori- ? gagee, for the reason that the statute makes r no such exception In tne protection afforded to subsequent creditors without notice. Si- e b cret liens ought not to be favored, and we are P not Inclined to indulge in any attempts at re- fc er a flnement In the interpretation of the statute / In order to protect those who from design 01 ^ negligence fail to record their papers and then when disaster comes set them up against e subsequent unsecured creditors. But the Master and the Clroult Judge further held L that actual notice of the mortgage must be D imputed to the bank from the faot that S. H. ? McGhee, the president of the bank, was also : attorney o' the Troy Oil MlH.and Dr. Neel, 1 the president of the oil mill company w^s a s director and a member of the loan committee t of the bank. "Mr. McGhee says that he bad no notioe ol r the mortgage contract, and did not eveD 3 know from whom the machinery was bought, wben be made the loan, and there Is no evl dence to the contrary. Dr. Neel says: I don't 1 remember making any statement about the r mill to bank officers wben the 33,000 00 not* ? was trlven. When a loan Is made to one lndl virtually or wben be Is to any w?y Interested c or oonneoted wltb tbe borrower on tbe loan board, tbatone baa nothing to do wltb pane- ( ing on that loan. Another 1b appointed in talc stead. 'At tbe time this loan was made I did 8 not acquaint tbe bank wltb any of tbe lasts t wltb reference jo tbe Tompkins purchase.' ( This Is also uncontradicted. "In general notice to an attorney Is notice to bis client, but obviously n< tlce Is not lm- c puted to an attorney In all bis personal, pro- . xeeslonai and official connections from the fact that one of bis clients has notice. The bank ? p could not be charged with notice through f McGbee, Its president, of a mortgage of an- a It other corporation of which McGbee was the t attorney, wben McGhee himself had no no- c | tloe of such mortgage. Neel, tbe president ol t ! tbe oil mill company, wben prouuring a loan [ for it from tbe bank was not acting as a dlrec- . I tor of tbe bank or a member ot its loaD oom- ' \ mlttee, but on tbe contrary bis relation and <j r Interests were tbose of b borrower from tbe ? Bk;: V bank, and tbere Is no presumption that be in[ formed tbe bank of the morigage. The rule 8 PV Imputing to the principal tbe agent's knowl- g 5 edge, It Is said In Knobeiock v. Bank, 00 S. C. | 290, Is placed by majority of courts, Including i our own, "on tbe ground that It Is the duty oi 8 I, tbe agent to communicate to bis principal al< t 1 knowledge which be possesses material to tbe r 5 principal's business, and tbe presumption mai ne oas aoue mai amy, unaer me operation of thiB reason, what are sometimes call- c ed exceptions or qualifications to the rule a have gro^-n up. For example,an agent Is not presumed to bave common lea ted to bis prln- 1 o.lpal professional confidences received in representing a third person (Akers v. Kowan, 33 , "* S. C. 473), or knowledge acquired while acting /or blaioelf or for a tblrd person and not for the principal (same authority), or where tbe knowledge Is such tbat, according to buman f[ i nature and experience, the agent Is certain to } . conceal' or wbere the agent Is acting in an adversary relation to the principal, or medli'" tates a fraud against bis principal or some tbird person in bis own interest wblcb would be defeated by disclosure." Tbe knowledge of Neel as president of tbe oil mill company J la not therefore to be Imputed to the bank, ? though be was one of its directors and a ; member of Its loan committee. <3 But It is insisted that the D. A. Tompkins 1 Company, at all events, has an equity to re- ? L quire tbe bank to exhaust the sureties, on the note It holds, they being directors of tbe oil e mill oompany, before hssalilng tbe validity of t tbe Tompkins Company's contract as a pre- r I" ferred claim on the machinery. This position I K Is unsound. Tbe true mk) Is thus stated In 19 dm. <x r>u. Ciuujf. i?i. iocuwu iuc ui war- L sballDg being a rale of equity and having Its u foundation In principles of natural Justice, v Its application will not be enforced when It would so operate as to work substantial ln' Justice or Injury to any party In interest. Thus mafsballng will not be applied to the v detriment of a third person having an equity equal or superior to that of the, person seeking to invoke the rule." The Tompkins Com- ' pany baa no equity superior to ibe sureties. It Is true these sureties were directors of tbe oil mill oompany, but being sureties tbey were not primarily liable for the debt. There g la no evidence that tbey bad dny part In i, keeping the contract off tbe reoord, and It r ' would not beequltable to require them to pay 1 a debt to tbe exemption of tbe 'property 01 a the prlnolpal for tbe benefit and protecilon oi H a oredltor who had lost his preference by bis V>'-. own negligence. a "This disposes of all the questions Involved c fjfi'iIn tbe appeal except the con trovrirsy as t tbe t allowance of a fee to tbe attorney of the ^ Tompkins Company. Its contract coutalnea t a clause providing In case of default tbe t > ~ mortgage oredltor rhould have a right "to r take possession of tbe machinery and other r property named, and sell It by private or pub- t; I 11c sale, after tnlrtv days advertising, and g without process of law, and retain any bal- ? anoe that may be unpaid on all notes, togetber with Interest, traveling expenses, attor- C ney's and other fees oonneoted with collec- e * tlon, and pay purchaser anv surplus and col- u leci from purchaser any deficiency." "No fee was claimed or proved before the H Master, and there was no exception to bis re- f< port on this point. Upon the hearlDg of the F cause, however, tbe Circuit Judge ordered 1 "that the Master take testimony and report ' what Is a suitable fee for tbe attorney of tbe ! T\ A TAmnbirt'o Hrtmnonr'a nloim on/i hon<> same rank." The First National Bank submits tbe order was Improper, because tbe v.\ amount of olalm of tbe Tompkins Company bad been fixed by tbe report of tbe Master, to D wbtcb there was no exception. Tbe general 1 rale la tbat a Court of Equity may wlibtn its discretion allow claims to be proved as long as the court bas control or the funds from A which it is to be paid. Nayler v. Bmlth, 11 Rlch.Eq. 269. Bat when all parties have been beard, a report bad been made purporting to a cover all claims, and no exceptions have been died within the time required by law, a cred- fj itor wbo then makes application to bave hip olalm increased or amended should make }' some showing of excusable neglect, lnadvert C ance or surprise, and tbe other parties to the cause whose Interests are affected should be l given full opportunity to be beard as to the 0 propriety of allowing the matter to be reopened, and also as to tbe merits of the pro- i posed increase or amendment of tbe claim Tbe record does not indicate tbat. ihlB showing was made by the Tompkins Company or (. that other parties in interest were given an opportunity to be heard, and we think tbe Circuit Court erred in this particular. Tbe ~ claim for fees may still be brought before tbe C Court in tbe munner above indicated. a "Tbe Judgment of this Court Is that tbtcaase be remanded to the Circuit Court lor such farther proceedings as may be necessary to carry out tne views herein expressed."
